SECTION 1- THE ENTIRE CONTRACT It is agreed that this Contract represents the entire agreement. It is further agreed that any original Proposals and attachments and specifications, Contract Documents, Scope of Work, Plans and Specifications, and any other necessary documents, are incorporated into this Contract if included by reference, with the same force and effect as if the same were set forth at length herein and both parties are bound by any and all of said Contract Documents insofar as they relate in any part or in any way, directly or indirectly, to the work covered by this Contract. The CONSULTANT will not be held liable for any expenses, losses, costs, damages or liabilities of any nature whatsoever associated with or in any way arising out of any such changes including a substitution, deviation, or oversight by the OWNER, Architect, Engineer or any other party that may have control or influence over the Work. Extra Work invoices will be generated separately from Contract Billings. The CONSULTANT is not responsible to notify sureties, regulatory agencies or other interested parties of any change, alteration, modifications or deviations unless specified in writing. SECTION 7- GENERAL PROVISIONS A. Signature of this contract by the OWNER authorizes the CONSULTANT to sign as the OWNER'S AGENT in matters pertaining to securing applicable permits for the work included in this contract. B. Compliance. of the CONSULTANT with submitted schedules is subject to suitable weather conditions and availability of materials, and the CONSULTANT will not be responsible for delays caused by said factors. C. Unless otherwise specified in writing, Hanover's proposed fees are based on the assumption that Hanover Inc. will not encounter any underground structures, utilities, boulders, rock, water, running sand or other unanticipated conditions in the course of drilling or excavation, and Hanover Inc. shall be compensated for any additional efforts expended or costs incurred in addressing such conditions." All right of way is to be provided to the CONSULTANT at no cost or delay. D. All costs for County inspections and permits are included in the Contract Price E. The OWNER shall be responsible for any unmarked underground fixtures in the work area, or complications resulting from encountering said fixtures. The CONSULTANT shall exercise reasonable caution associated with the work. . F. The OWNER shall provide and pay for power and water used during the Work. G. All claims, disputes and other matters in question arising out of, or relating to, this Contract shall be decided by binding arbitration. The arbitration shall be conducted in accordance with the Construction Industry Rules of the American Arbitration Association then obtaining. In the event the CONSULTANT or OWNER institutes suit in court against the other party, the party which prevails in that suit shall be fully compensated for the costs of its participation in such suit, including the cost incurred for actual attorney's fee's and expert's fees.
