Skidmore -Wilhelm tension testing device was used to calibrate our dial -indicating torque ,wrench. Contractor's vernier click -type torque wrench was then set to the job test torque as indicated by our dial wrench. Bolts used in these structures were verified to be A325 cadmium plated bolts with hardened and cadmium plated nuts and washers. Three bolts of each size (5/8", 3/4" and 7/8") were selected at random from the excess stock of bolts used in these structures and used in the calibration procedures. It was our intent to test only the bolts in Buildings 1 and 2 today and no 7/8" bolts were used in these structures. Consequently, the torque wrenches were calibrated only for the 5/8" and 3/4" bolts. Average torque required to obtain the minimum specified tension for each size bolt was as follows: 5/8" = 235 ft -lb. and 3/4" = 400 ft -lb. The magnitude of the torque required for tensioning these bolts is significantly higher than would be expected for non -plated (black) bolts. When bolt testing/inspection was commenced in Building 3.,several bolts failed by reaching yield point before the job test torque was reached. These bolts were removed and replaced. Lengthy correspondence from the buildin manufacturer'(Metallic Buildings) stated that the high strength cadmium plated bolts supplied with their building kits must be lubricated prior to tightening. The correspondence also indicated that "turn -of -the -nut" tightening was the only recommended method of measuring tension in these bolts. In accordance with these instructions, a representative sample of three bolts of each size was again obtained from the excess stock. Using these samples the Skidmore -Wilhelm machine was used to correlate bolt tension, rotation of the nut and torque required to obtain 1/3 turn of the nut beyond a snug tight condition. Prior to conducting the tests, each bolt/nut/washer combination was thoroughly lubricated with light oil. The test bolts were brought to a snug -tight condition (about 100 ft -lb) and then marked to verify rotation of - the nut. When the specified minimum tension was reached, approximately 1/3 turn of the nut was observed, as was predicted by the manufacturer. At this tension and nut rotation condition, our. torque wrench was used to measure the amount of torque required to just cause further turning of the nut. The following average torque measurements were established for proper tensioning under the conditions stated above: 7/8" dia.= 390 ft -lb; 3/4" dia.= 230 ft -lb; 5/8" dia.= 120 ft -lb. Each bolt was individually removed, thoroughly lubricated and replaced prior to tightening to the job test torque established during yesterday's calibration procedures. 3/4" dia. bolts were tightened to 230 ft -lb and 5/8" dia. bolts.were tightened to 120 ft -lb of torque. A total of seventy two 3/4" bolts were tightened in the ridge and haunch connections and a total of forty 5/8" bolts were tightened in the end bay connections. Based on our calibration tests and observations of the tightening operations, it is our judgement that all A325 bolts installed in Building 063 have been tightened in accordance with the specifications of the AISC Manual of Steel Construction. Work was completed on Building 063 at 1200 hr. Verification of bolt tightening commenced on Building 061 at 1230 hr. Prior to commencing work on Building 061, contractor's torque wrench was again calibrated to insure torque settings were unchanged. No change was indicated. Building 061 is constructed with 3/4" HS bolts (104 total) in the ridge connections and 7/8" HS bolts (208 total) in the haunch connections. HS bolts installed in the end bay connections and in the wind stiffeners (72 total) are 5/8" dia. Contractor commenced work on the ridge bolts. Each 3/4" bolt was removed, thoroughly lubricated and reinstalled prior to tightening to 230 ft -lb. Declarant is the owner of a certain tract of land located in the County of Butte, State of California, more particularly described in Exhibit "A" attached hereto and incorporated by reference herein. Declarant intends to establish an industrial and commercial subdivision and a condominium development under the provisions of the California Condominium Act, providing for separate title to each unit within said project, each unit to have an undivided interest in all of the remaining property. This shall include any person having a fee simple title to any parcel but shall exclude persons or entities having any interest merely as security for the performance -of an obligations. 21. The term "Occupant" shall mean any Record Owner or any lessee, tenant, licensee, or other occupant of all or a portion of the parcel of any Record Owner. 22. "Person" means a natural person, a corporation, a partnership, a trustee, or other legal entity. 23. "Project" shall mean and refer to the entire real property above described, including all structures and im- provements erected or to be erected thereon. 24. "Property" or "Properties" means and includes the real property described in Exhibit "A" attached hereto, and all improvements erected thereon and all property, real, personal or mixed, intended for or used in connection with the condominium. 25. "Public Entity" means either the County of Butte or the City of Chico, depending upon whether or not the property is ultimately annexed to the City of Chico. 26. "Restricted Common Area" shall mean and refer to those portions..of the Common Area, if any, set aside for exclusive use of a parcel owner or owners, pursuant to Article II, Paragraph 2(c) hereof. 27. '"Share" means the percentages in and to the Common. Area attributed to and appurtenant to each unit, as set forth in Article II, Paragraph 2(b). 28. "Unit" shall mean and refer to the elements of the condominium, as defined in Article II, Paragraph 2(a), which are not owned in common with the owners of other condominiums in the Project. .29. "Unit Designation" means the .number, letter or combination thereof, or other official designations shown on the Condominium Plan. • - 4: - COVENANTS. CONDITIONS AND RESTRICTIONS ARTICLE II DESCRIPTION OF PROJECT, DIVISION OF PROPERTY AND CREATION OF PROPERTY RIGHTS 1. DESCRIPTION OF PROJECT: The Project consists of the underlying real property with condominium Units and all other improvements located thereon. There exists upon the premises three (3) buildings divided into Units, hereinafter referred to as Buildings A, B and C. Reference is made to the plans referred to in the Condominium Plan. 2. DIVISION OF PROPERTY: The property is hereby divided into the following separate freehold estates: (a) Units: Each of the Units, as separately shown, numbered and designated in the Condominium Plan and in- corporated by reference, consists of the space bounded by and contained within the interior unfinished surfaces of the perimeter walls, floors, ceilings, windows and doors of each Unit, each of such spaces being defined and referred to herein as a "Unit". Each Unit includes both the portions of the building so described and the airspace so encompassed. The Unit does.not include those areas and those things which are defined as "Common Area" in Article I, Paragraph 6. In interpreting deeds and plans, the then existing physical boundaries of a Unit, whether in its original state or re- constructed in substantial accordance with the original plans thereof, shall be conclusively presumed to be its boundaries rather than the boundaries expressed in the deed or plan, regardless of settling or lateral movement of the building and regardless of minor variance between boundaries shown on the plan or deed and those of the buildings. (b) Common Areas: The portion of the property re- ferred to herein as "Common Area" or "Common Areas" shall include, without limitation, all of the elements set forth in Article I, paragraph 6. (c) No Separate Conveyance of Undivided Interests: The foregoing undivided interests are hereby established and are to be conveyed with the respective Units, as indicated above, and cannot be changed, except as herein set forth, and Declarant, his successors, assigns and grantees, covenant and agree that the interests of Thorntree Industrial Park Association in the Common Areas and the fee title to the respective parcels conveyed therewith, shall not be separated or separately conveyed, and such interest, which includes but is not limited to the mutual easements con- tained herein, shall be deemed to be a part of the Thorntree Industrial Park Association even though the description in -5- COVENANTS, CONDITIONS AND RESTRICTIONS the instrument of conveyance or encumbrance may refer only to the fee title to the Unit. 3. PARTITION PROHIBITED: The interests in the Common Areas shall remain undivided as set forth above. No Owner shall bring any action for partition, it being agreed that this restriction is necessary in order to preserve the rights of the Owners with respect to the operating and management of the Project. Judicial partition by sale of a single Unit owned by two or more persons and division of the sale proceeds is not prohibited hereby, but partition of title to a single Unit is prohibited. ARTICLE III ASSOCIATION, ADMINISTRATION, MEMBERSHIP AND VOTING RIGHTS 1. ASSOCIATION TO MANAGE COMMON AREAS: The management of the Common Area shall be vested in the Association in accordance with its Bylaws. The Owners of all the parcels covenant and agree that the administration of the Project shall be in accordance with the provisions of this Declaration, the Articles and Bylaws of the Association. 2. MEMBERSHIP: The Owner of a Unit shall auto- matically, upon becoming the Owner of same, be a Member of the Association and shall remain a Member thereof until such time as his ownership ceases for any reason, at which time his, membership in the Association shall automatically cease. Membership shall be held in accordance with the Articles and Bylaws of the Association. An Owner may designate an Occupant as a member. 3: TRANSFERRED MEMBERSHIP: Membership in the As- sociation shall not be transferred, pledged, or alienated in any way, except upon the sale or. encumbrance of the Unit to which it is appurtenant, and then only to the purchaser, in the case of a sale, or Mortgagee, in the case of an encum- brance of such Unit. Upon death of a Member, his membership passes automatically, along with title to his Unit to his heirs. A Mortgagee does not have membership rights until he becomes an Owner by foreclosure or deed in lieu thereof. Any attempt to make a prohibited transfer is void. No member may resign his membership. In the event the Owner of any parcels should fail or refuse to transfer the membership registered in his name to the purchaser of his Unit, the Association shall have the right to record the transfer upon its books and may issue a new certificate to the purchaser of said Unit and thereupon, any old membership 'outstanding in the name of the seller shall be null and void. -6!- COVENANTS, CONDITIONS AND RESTRICTIONS 4. MEMBERSHIP CLASSES AND VOTING RIGHTS: The As- sociation shall have one (1) class of voting membership. Each Owner shall be entitled to one' (1) vote for each Unit owned. When more than one person holds an interest in any Unit, all such persons shall be Members. The vote for such Unit shall be exercised as they among themselves determine, but in no event shall more than one vote be cast with re- spect to any Unit. ARTICLE IV ASSESSMENTS 1. CREATION OF THE LIEN AND PERSONAL OBLIGATION OF ASSESSMENTS: The Declarant, for each Unit owned within the Project, hereby covenants, and each Owner of any Unit, by acceptance of a deed therefor, whether or not it shall be so expressed in such deed, is deemed to covenant and agree to pay to the Association: (1) annual assessments or charges; and (2) special assessments for capital improvements, such assessments to be established and collected, as herein pro- vided. The annual and special assessments, together with interest, costs and reasonable attorney's fees, shall be a charge on the Condominium and shall be a continuing lien upon the Condominum against which each such assessment is made, the lien to become effective upon recordation of a notice of assessment. Each such assessment, together with interest, costs and reasonable attorney's fees, shall also be the personal obligation of the person who was the Owner of such Condominium at the time when the assessment fell due. No Owner of a Condominium may exempt himself from liability for his contribution towards the Common Expenses by waiver of the use or enjoyment of any of. the Common Areas, or by the abandonment of his Condominium. 2. PURPOSE OF ASSESSMENTS: The assessments levied by the Association shall be used exclusively to promote the recreation, health,•safety and welfare of all the residents in the entire Project and for the improvement and main- tenance of the Common Area for the common good of the project. 3. SPECIAL ASSESSMENTS: In addition to the annual assessments authorized above, the Association may levy, in any assessment year, a special assessment applicable to that year only, for the purpose of defraying, in whole or in part, the cost of any construction,. reconstruction, repair or re- placement of a capital improvement upon the Common Area, including fixtures and personal property related thereto, provided that any such assessment shall have the vote of written assent of all Members. -7- COVENANTS, CONDITIONS AND RESTRICTIONS 4. NOTICE AND QUORUM FOR ANY ACTION AUTHORIZED UNDER ARTICLE IV, PARAGRAPH 3: Any action authorized under Article IV, Paragraph 3, shall be taken at a meeting called for that purpose, written notice of which shall be per- sonally delivered to all -Members not less than thirty (30) nor more than sixty (60) days in advance of the meeting. 5. DIVISION OF ASSESSMENTS: The initial charges per Unit shall be Fifteen Dollars ($15.00) per month for each 1,000 square feet owned by a Unit Owner. In addition, each Unit Owner shall be charged Ten Dollars ($10.00) per month for each 2,000 square feet owned by a Unit Owner to be applied to general liability and fire insurance for the Common Areas and activities of the Association. 6. DATE OF COMMENCEMENT OF ANNUAL ASSESSMENT: DUE DATES: The regular assessments provided -for herein shall commence as to all Units covered by this Declaration on the first day of the month following the conveyance of the first Condominium to an individual Owner. 7. EFFECT OF NONPAYMENT OF ASSESSMENTS: Any assess- ment not paid within thirty (30) days after the due date shall bear interest at the rate of ten percent (100) per annum from the due date until paid. 8. TRANSFER OF UNIT BY SALE OR FORECLOSURE: Sale or transfer of any Unit shall not affect the assessment lien. However, the sale or transfer of any Unit -pursuant to Mort- gage foreclosure shall extinguish the lien of such assess- ments as to payments which become due prior to such sale or transfer (except for assessment liens recorded prior to the Mortgage). No sale or transfer shall relieve such Unit from liability for any assessments thereafter becoming due or from the lien thereof. Where the Mortgagee of a first Mortgage of record, 6r other purchaser of a Condominium obtains title to the same as a result of foreclosure of such first Mortgage, such acquirer of title, his successor and assigns,, shall not be liable for the share of the Common Expenses or assessments by the Association chargeable to such Condominium; which became due prior to the acquisition of title to such. Condominium by such acquirer. Such unpaid share of Common Expenses or assessments shall be deemed to be Common Expenses collectible from all of the Condominiums, including such acquirer, his successor and assigns. F 9. PRIORITIES; ENFORCEMENT; REMEDIES: When a notice of assessment has been recorded, such assessment shall con- stitute a lien on each respective Condominium prior and superior to all other liens except (1) all taxes, bonds, -8- COVENANTS, CONDITIONS AND RESTRICTIONS assessments and other levies, which, by law, would be superior thereto; and (2) . the lien or charge of any first Mortgage of record (meaning any recorded Mortgage or deed of trust with first priority over other Mortgages or deeds of trust) made in good faith and for value. Such lien, when delinquent, may be enforced by sale by the Association, its attorney, or other person authorized to make the sale, after failure of the Owner to pay such assess- ment in accordance with its terms, such sale to be conducted in accordance with the provisions of Sections 2924-2924h. of the California Civil Code,, applicable to the exercise of powers of sale in Mortgages and deeds of trust, or in any other manner permitted by-law. The Association, acting on behalf of the Condominium Owners, shall have the power to bid for the Condominium at foreclosure sale, and to acquire and hold, lease, Mortgage and convey the same. Suit to recover a money judgment for unpaid Common Expenses, rent and attorney's fees shall be maintainable without foreclosing or waiving the lien se- curing the same. The Board may suspend•the voting rights of a Member who is in default in payment of any assessment, as provided in the Bylaws. 10. UNALLOCATED TAXES: In the event that any taxes are assessed against the Common Area, or the personal prop- erty of the Association, rather than against the Units, said taxes shall be included in the assessments made under the provisions of Article IV, Paragraph 1, and, if necessary, a special assessment may be levied against the Units in an amount equal to said taxes, to be paid in two installments, thirty (30) days prior to the due date of each tax install- ment. ARTICLE V DUTIES AND POWERS OF THE ASSOCIATION 1. DUTIES: In addition to the duties enumerated in its Bylaws, or elsewhere provided for in this Declaration, and without limiting the generality thereof, the Association shall perform.the following duties: (a) Maintenance: In addition to the provisions of Article VI, Paragraph 3, the Association shall maintain, repair, replace, restore, operate and manage all of the Common Area and all facilities, improvements,' furnishings, equipment and landscaping thereon, and all property that may be acquired by the Association. Maintenance shall include -9- COVENANTS, CONDITIONS AND RESTRICTIONS (without limitation): painting, maintaining, repairing and replacing of all Common Areas, exterior glass surfaces, land- scaping (except for areas which are to be maintained by Owners as per Article VIII, Paragraph 7). The respon- sibility of the Association for maintenance and repair shall not extend to repairs or replacements arising out of or caused by the willful or negligent act or neglect of an Owner, or his guests, tenants or invitees, the cost of which is not covered by insurance. The repair or replacement of a building exterior resulting from such excluded items shall be the responsibility of each Owner; provided, however, that if an Owner shall fail to make the repairs or replacements which are the responsibility of such Owner, as provided above, then the Association shall have the right (but not the obligation) to enter the parcel and make such repairs or replacements, and the cost thereof shall be added to the assessments chargeable to such parcel and shall be payable to the Association by the Owner of such parcel. (b) Insurance: The Association shall maintain such policy or policies of insurance as are required by Article VIII, Paragraph 9 of this Declaration. (c) Discharge of Liens: The Association shall dis- charge by payment, if necessary, any lien against the Common Area, and assess the cost thereof to the Member or Members responsible for the existence of said lien. (d) Assessments: The Association shall fix, levy, collect and enforce assessments, as set forth in Article IV hereof. (e)- Payment of Expenses: The Association shall. pay all expenses and obligations incurred by the Association in the conduct of its business, including, without limitation, all licenses, taxes, or governmental charges levied or im- posed against the property of the Association. (f) Enforcement: The Association shall enforce this Declaration. 2. POWERS: In addition to any other powers, and with- out limiting the generality thereof, the- Association shall have the following powers: (a).=Utility Service: The Association shall have the authority to obtain, for the benefit of all of the Condominiums all water, gas, and electric service and refuse collection and janitorial or window cleaning service. (b) Easements: The Association shall have authority to grant easements, where necessary, for utilities and sewer _10 - COVENANTS, CONDITIONS AND RESTRICTIONS facilities over the Common Area to serve the common and open space areas and the Condominium Units. In connection there- with, Declarant does hereby establish in favor of and grant to the Record Owners of the Project, for the benefit of such Record Owners and the Occupants of the Project, their custo- mers and invitees, nonexclusive easements for the ingress and egress and for the passage and parking of motor vehicles into, out of, on, over and across all parking areas, drive- ways and service areas established within the Project, as provided in Exhibit "B", and any additional parking areas, driveways and service areas as may be established in the future so that the Project may be used as an integrated area by the Record Owners and the Occupants thereof and their customers and invitees. Declarant does hereby further establish in favor of and grant to the Record Owners of any parcel within the Project nonexclusive easements under, through and across all areas of the Project for installation, maintenance, removal and replacement of water drainage systems or structures, water mains, sewers, water sprinkler system lines, telephones or electrical conduits or systems, gas mains and other public utilities and service easements. The specific locations of the water line, drain line and sewer service easements are more particularly described in the map and plans approved by the Public Entity. (c) Adoption of Rules: The Association may adopt reasonable rules not inconsistent with this Declaration re- lating to the use of the Common Area and all facilities thereon, and the conduct of Owners and their tenants and guests with respect to the property and other Owners. (d) Access: For the purpose of performing the main- tenance authorized herein, or for any other purpose reason- ably related to the performance by the Association or the Board of Directors of their respective responsibilities, the Association's agents or employees shall have the right, after reasonable notice to the Owner thereof, to enter any Unit or to enter any portion of the Common Area at reason- able hours. Such entry shall be made with as little in- convenience to the Owner as practicable, and any damage caused thereby shall be repaired by the Board at the expense of the Association. (e) , Assessments, Liens. and Fines: The Association shall have the power to levy and collect assessments in ac- cordance with the provisions of Article IV hereof. The Association may impose fines or take disciplinary action against any Owner for failure to pay assessments or for violation of any provision of the Documents. Penalties may • -11- COVENANTS, CONDITIONS AND RESTRICTIONS include, but are not limited to: fines, temporary suspen- sion of voting rights or other appropriate discipline, pro- vided that the accused Member is given notice and the op- portunity to be heard with respect to the alleged violations before a decision to impose discipline is made. (f) Enforcement: The Association shall have the authority to enforce this Declaration, as per Article VIII hereof. (g) Acquisition and Disposition of Property: The As- sociation shall have the ,power to acquire (by gift, pur- chase, or otherwise), own, hold, improve, build upon, operate, maintain, convey, sell, lease, transfer or other- wise dispose of real or personal property in connection with the affairs of the Association. Any transfer of property shall be by document signed or approved by all Members. (h) Loans: The Association shall have the power to borrow money, upon the assent of each Member, to Mortgage, pledge, deed in trust, or hypothecate any or all of its real or personal property as security for money borrowed or debts incurred. i (i) Dedication: The Association shall have the power to dedicate all or any part of the Common Area to any public agency, authority or utility for such purposes and subject to such conditions as may be agreed to by the Members. (j)' Contracts: The Association shall have the power to contract for goods and/or services for the Common Area(s), facilities and interests or for the Association, subject to limitations elsewhere set forth in the Condominium Docu- ments. (k) Delegation: The Association'shall have the power to delegate its authority and powers to committees, officers or employees of the Association. (1) Architectural and Aesthetic Review: The Associa- tion shall have the power and the right to require that all Unit owners maintain their respective units in a manner which is architecturally and aesthetically pleasing. The Association may require fencing or other site obscurity construction in order to maintain a pleasing view for all owners. , -12- COVENANTS, CONDITIONS AND RESTRICTIONS ARTICLE VI UTILITIES 1. OWNERS' RIGHTS AND DUTIES: The rights and duties of the Owners of Condominiums within the Project with re- spect to sanitary sewer, water, electricity, gas and tele- phone lines and facilities and hearing and air conditioning facilities shall be as follows: (a) Whenever sanitary sewer, water, electricity, gas, television receiving, telephone lines or connections, heat- ing or air conditioning conduits, ducts or flues are installed within the Property, which connections, or any portion thereof, lie in or upon Condominiums owned by other than the Owner of a Condominium served by said connections, the Owners of any Condominiums served by said connections shall have the right, and are hereby granted an easement to the full extent necessary therefor, to enter upon the Condominium or to have the utility companies enter upon the parcels in or upon which said connections, or any portion thereof, lie, to repair, replace and generally maintain said connections as and when necessary. (b) Whenever sanitary sewer, water, electricity, gas or telephone lines or connections are installed within the Property, which connections serve more than one Condominium, the Owner of each Condominiumserved by said connection shall be entitled to the full use and enjoyment of such portions of said connections as service his or her Condominium. 2. EASEMENTS FOR UTILITIES AND MAINTENANCE: Easements over and under the Property for the installation, repair and maintenance of electric, telephone, water, gas and sanitary sewer lines and facilities, able or master television antenna lines, drainage facilities, walkways, and land- scaping, as shown on the recorded map of the Property, and as may be hereafter required or needed to service the Property, are hereby reserved by.Declarant and his succes- sors and assigns, including the Association, together with the right to grant and transfer the same. 3. ASSOCIATION'S DUTIES: The Association shall main- tain all utility installations located in the Common Area except for those installations maintained by utility com- panies, ,public, private or municipal, and exterior positioned air conditioning compressors and appurtenances thereto. The Association shall pay all charges for utilities supplied to the Project, except those metered or charged separately to the Units. In particular, the As- sociation shall maintain and service all sewer or septic lines located on the Common Area and assess each Owner for -13- COVENANTS, CONDITIONS AND RESTRICTIONS said Owner's 'proportionate share of said maintenance and service. ARTICLE VII USE RESTRICTION In addition to all of the covenants contained herein, the use of the Project and each Unit therein, is subject to the following: 1. NUISANCES: No noxious, illegal or offensive activities shall be carried on upon any Condominium or in any part of the Property, nor shall anything be done thereon which may be or may become an annoyance or a nuisance to or which may in .any way interfere with the quiet enjoyment of each of the Owners of his respective Unit, or which shall in any way increase the rate of insurance for the Project, or cause any insurance policy to be cancelled or to cause a refusal to renew the same, or which will impair the structural integrity of any building. 2. VEHICLE RESTRICTIONS: No trailer, camper, mobile home, commercial vehicle, truck (other than standard size pickup truck), inoperable automobile, boat or similar equip- ment shall be permitted to remain upon any area within the Property other than temporarily. Commercial vehicles shall not include sedans or standard size pickup trucks which are used both for business and personal use, provided that signs or markings of a commercial nature on such vehicles shall be unobtrusive and inoffensive. No noisy or smoky vehicles shall be operated upon the Property. No off-road un- licensed motor vehicles shall be operated upon the Property. 3. GARBAGE AND REFUSE DISPOSAL: All rubbish, trash and garbage shall be regularly removed from the Property, and shall not be allowed to accumulate thereon. Trash, garbage and other waste shall not be kept except in sanitary containers. All equipment for the storage or disposal of such materials shall be kept in a clean and sanitary condition. All equipment, garbage cans, or storage piles shall 'be kept screened and concealed from view of other Units, streets and Common Areas. 4. ARCHITECTURAL CONTROL: No building, fence, wall obstruction, balcony, screen, patio, patio cover, tent, awning, carport, carport cover, improvement or structure of any kind shall be commenced, erected,.painted or maintained upon the property, nor shall any alteration or improvement of any kind be made thereto until the same has been approved in writing by the Association. Plans and specifications showing the nature, kind, shape, color, size, materials, and -14- COVENANTS, CONDITIONS AND RESTRICTIONS location of such improvements, alterations, etc., shall be submitted to the Association for approval as to quality of workmanship and design and harmony of external design with existing structures, and as to location in relation to sur- rounding structures,' topography and finish grade elevation. No permission or approval shall be required to repaint in accordance with Declarant's original color scheme, or to rebuild in accordance with Declarant's original plans and specifications. No permission or approval shall be required to repaint in accordance with a color scheme previously approved by the Association, or to rebuild in accordance with plans and specifications previously approved by the Association.. No landscaping visible from the street or from the Common Area not involving the use of natural plants, grass, trees,or shrubs, and which does involve the use of synthetic materials,. or of concrete, rock or similar materials, shall be undertaken by any Owner until plans and specifications showing the nature, kind, shape and location of the materials shall have been submitted to and approved in writing by the Association. ARTICLE VIII GENERAL PROVISIONS 1. ENFORCEMENT: The Association, or any Owner, shall have the right to enforce, by any proceeding at law or in equity, all restrictions, conditions, covenants, reserva- tions, liens and charges now or hereafter imposed by the provisions of this Declaration, and in such action shall be entitled to recover reasonable attorney's fees as are ordered by Court. Failure by the Association or by any Owner to enforce any covenant or restriction herein con- tained shall in no event be deemed a waiver of the right to do so thereafter. 2. INVALIDITY OF ANY PROVISION: Should any provision or portion hereof be declared invalid or in conflict with any law of the jurisdiction where this Project is situated, the validity of all other provisions and portions hereof shall remain unaffected and in full force and effect. 3. TERM: The covenants and restrictions of this Declaration shall run with and bind the Property, and shall inure to the benefit of and shall be enforceable by the As- sociation, or the Owner of any Property, subject to this Declaration, their respective legal representatives, heirs, - successors and assigns, for a term of thirty (30)' years from the date this'Declaration is recorded, after which time they shall be automatically extended for successive periods of • -15.- COVENANTS, CONDITIONS AND RESTRICTIONS ten (10) years, unless an instrument, in writing, signed by �$ a majority of the Owners of the Condominiums has been re- corded within the year preceding the beginning of each successive period of ten (10) years, agreeing to change said covenants and restrictions, in whole or in part, or to terminate the same. 4. AMENDMENTS: This Declaration may be amended only by the affirmative vote of all Members of the Association. Any amendment must be recorded and shall become effective upon being recorded in the Recorder's Office of the County of Butte, and shall include approval of all first Mort- gagees. 5. ENCROACHMENT EASEMENTS: Each Condominium within the Property is hereby declared to have an easement over all adjoining Condominiums and the Common Area for the purpose of accomodating any encroachment due to engineering errors, errors in original construction, settlement or shifting of the building, or any other cause. There shall be valid easements for the maintenance of said encroachments as long as they shall exist, and the rights and obligations of Owners shall not be altered in any way by said encroachment, settlement or shifting; provided, however, that in no event shall a valid easement for encroachment be created in favor of an Owner or Owners if said encroachment occurred due to the willful misconduct of said Owner if said encroachment occurred due to he willful misconduct of said .Owner or Owners. In the event a structure is partially or totally destroyed, and then repaired or rebuilt, the Owners of each Condominium agree that minor encroachments over adjoining Condominiums or Common Areas shall be permitted and that there shall be valid easements for the maintenance of said encroachments so long as they shall exist. In Units where air conditioning equipment is installed, an easement over the Common Area into which the air conditioning equipment encroaches shall exist for the purpose of maintenance, replacement and repair of said equipment. 6. RIGHTS OF INSTITUTIONAL LENDERS: No breach of any of the covenants, conditions and restrictions herein con- tained, nor the enforcement of any lien provisions herein, shall render invalid the lien of any first Mortgage (meaning a Mortgage with first priority over any other Mortgage) on any parcel made in good faith and for value, but all of said covenants,,conditions and restrictions shall be binding upon and effective against any Owner whose title is derived through foreclosure or trustee's sale, or otherwise. 7. OWNER'S RIGHT AND OBLIGATION TO MAINTAIN AND REPAIR: Except for those portions .of the Project which the Association is required to maintain and repair, each Unit -161!- COVENANTS, 16-COVENANTS, CONDITIONS -AND RESTRICTIONS Owner shall, at his sole cost and expense, maintain and re- pair his Unit and shall maintain and repair such areas which are a part of the Restricted Common Area, keeping the same in good condition. Each Owner shall have the exclusive right to paint, plaster, panel, tile, wax, paper, or other- wise refinish and decorate the inner surfaces of the walls, ceilings, floors, windows and doors bounding his Unit. 8. ENTRY FOR REPAIRS: The Association or its agents may enter any Unit when necessary in connection with any maintenance, landscaping or construction for which the As- sociation is responsible. Such entry shall be made with as. little inconvenience to the Owner as practicable and any damage caused thereby shall be repaired at the expense of the Association. 9. INSURANCE; DAMAGE OR DESTRUCTION: In the event of damage to or destruction of any Unit, the Owner shall re- construct the same as soon as reasonably practicable, and substantially in accord with the original plans and specifi- cations therefor. The Association shall obtain and continue in effect a master policy of insurance covering all of the real property and improvements of the Project, including the Units, and protecting the interests of the Association and its Members, including, without limitation, fire and extended. coverage (special form) and insuring the full replacement value of all improvements in the Project, including the Units, and public liability insurance insuring the Association and each Owner for his liabilitv for the Common Area with "sever- ability of interest provision" and "waiver of subrogation provision". In addition to the master liability policy which the Association shall carry, each Unit Owner shall carry personal liability insurance covering damage to property or injury to person of others within the Project resulting from negligence of the Owner "or his or her agents, in an amount not less than $500,000.00 for each occurrence. 10. TERMINATION OF ANY RESPONSIBILITY BY DECLARANT: In the event Declarant shall convey all of his right,•title and interest in and to the property to any partnership, individual or individuals, corporation or corporations, then and in suph event, Declarant shall be relieved of the per- formance of any further duty or obligation hereunder, and such partnership, individual or individuals, corporation or corporations, shall be obligated to perform all such duties and obligations of the Declarant. • -17.- COVENANTS, CONDITIONS AND RESTRICTIONS 11. OWNERS' COMPLIANCE: Each Owner, tenant or occu- pant of a Condominium shall comply with the provisions of this Declaration, the Bylaws, decisions and. resolutions of the Association or its duly authorized representative, as lawfully amended from time to time, and failure to comply with any such provisions, decisions or resolutions, shall be grounds for an action to recover sums due, for damages, or for injunctive relief. All agreements and determinations lawfully made by the Association in accordance with the voting- percentages established in this Declaration or in the Bylaws shall be deemed to be binding on all Owners of parcels, their suc- cessors and assigns. 12. NOTICES: Any notice permitted or required by the Declaration (Articles) or Bylaws may be delivered either personally or by mail. If delivery is by mail, it shall be deemed to have been delivered seventy-two (72) hours after a copy, of the same has been deposited in the United States mail, postage.prepaid, addressed to each person at the cur- rent address given by such person to the Secretary of the Board, or addressed to the parcel of such person if no address has been given to the Secretary. 13. FAIR HOUSING. No Owner shall, either directly or indirectly, forbid or restrict the conveyance, encumbrance, leasing or mortgaging or occupancy of his or her Unit to any person of a specified race, color, religion, ancestry or national origin. ARTICLE IY ENFORCEMENT BY COUNTY OF BUTTE 1. There exists within the Project described and de- picted on the Condominium Map for the Project certain common sewer easements, common storm drains, facilities, common parking and access easements, hereinafter referred to as "Common Easements", which Common Easements are now or here- after will be improved with certain facilities (hereinafter referred to as "Common Facilities"). 2. The Common Easements and the Common Facilities shall be and are hereby dedicated to the use and enjoyment of the Owner of any Unit within the Project as well as such Unit Owner's invitees, and guests. 3. The Common Easements and the Common Facilities are not intended, nor have they been dedicated to, the public use; provided, however, that if any portion of the Common. Easements are coextensive with a public utility easement -18- COVENANTS, CONDITIONS AND RESTRICTIONS `= described and depicted on the Parcel Map, then such portion of the Common Easements and the right of each Owner of a Unit within the Project, to the use and enjoyment of the Common Facilities located therein, shall be subordinate to the public's right to the use and enjoyment of such public utility easement. 4. No Owner of a Unit within the Project shall cause or permit any structure, plant, material, or thing 'to be placed within the Common Easements which may damage or inter- fere with the operation and maintenance of the Common Facili- ties. 5. No Owner of a Unit within the Project shall connect the following devices to the Common Facilities or any sewer lateral --connected to the Common Facilities: (a) Storm drains, gutters, roof pipes, or other devices used or capable of being used for the purpose of conducting storm waters to the'sewer system; (b) The drain line of an evaporative cooler or other cooling device. 6. No Owner of a Unit within the Project shall cause or permit the following substances or waste waters contain- ing the following substances to be discharged to the Common Facilities or any sewer lateral connected to the Common Facilities: (a) Petroleum products or petroleum by-products; (b) Combustible substances; (c) Toxic substances. 7. The'Owners of all Units within the Project and the Association shall be jointly responsible for maintaining the Common Easements and the Common Facilities in a manner which will permit the normal and unobstructed passage of sewage through the Common Facilities to the sewer system owned and operated by the. Public Entity, in a manner which will pre- vent unreasonable amounts of inflow and/or infiltration to the Common Facilities; provided, however, that each Owner of a Unit within the Project shall be individually responsible for maintaining any sewer lateral which connects the drainage system serving a building or structure on his or her Unit to a sewer main located within the Common Easements, as pro- vided above, even though a portion of such sewer lateral is located within the boundaries of the Common Easements. -19- COVENANTS, CONDITIONS AND RESTRICTIONS' 8. Notwithstanding anything in this Article to the contrary, in the event any portion of the Common Easements or the Common Facilities which serve a particular Unit within the Project are in need of emergency repairs, then the Owner of the Unit within the Project served by such portion of the Common Easements or the Common Facilities shall have the right to unilaterally make such repairs with- out the prior approval or concurrence of any other Unit Owner and, after completion of such repairs, shall also have the right to recover from each remaining Unit Owner in the same percentage as set forth in ARTICLE V, Paragraph 2. (b) the amount of all the costs of such repairs which were in- curred in good faith and reasonably necessary to eliminate the emergency which gave rise to the need for such repairs, such costs to be due and payable by the remaining Unit Owners not later than thirty (30) days following presenta- tion of a demand for same by the Unit Owner having incurred them. For purposes of this Section, the term "emergency re- pairs" shall include and be limited to the following: (a) Repairs to a sewer main or drainage facility located within the Common Easements which are necessary to eliminate an existing obstruction which prevents or seriously interferes with the passage of sewage or water from a sewer lateral or drain serving a building or structure on the property of the Unit Owner making repairs to the sewer system or drain owned and operated by the Public Entity. (b) Any other repairs which are necessary to eliminate or mitigate any conditions existing within the Common Easements or the Common Facilities which present an imminent and serious threat to the health and safety of the Unit Owner or the Unit Owner's invitees, and guests. 9. The Public Entity, following a determination by the Public Entity's Director of Public Works that the Owners of the Units within the Project are in default of their duties and obligations to maintain the Common Easements and the Common Facilities in the manner hereinbefore provided by this Declaration, shall have the right to enter upon such Common Easements and to undertake any work necessary to maintain such Common Easements or the Common Facilities, all for the account of and at the cost and expense of the parcel Owners, provided, however, that prior to entering upon the Common Easements for the purpose of undertaking work necessary to maintain the Common Easements or the Common -20- COVENANTS, CONDITIONS AND RESTRICTIONS [.c Facilities, the Public Entity's Director of Public Works shall present to each Unit Owner a written notice which shall describe the nature of the Unit Owner's default in his or her duties and obligations to maintain the Common Ease- ments and the Common Facilities, shall set a date not less than ninety (90) days from the date of the presentation of such notice within which the Unit Owners may cure such default, and shall specifically advise the Unit Owners that upon the failure to cure the default within the time set forth in the notice, the Public Entity will enter upon such Common Easements and perform such maintenance work to the Common Easements and the Common Facilities, all for the ac- count of and at the cost and expense of the Unit Owners; provided further, that in the event any Unit Owner does not concur in the determination by the Public Entity's Director of Public Works that the Unit Owners are in default of their duties and obligations to maintain the Common Easements and the Common Facilities, such Unit Owner shall be entitled to appeal such determination to the Public Entity by filing a written notice of appeal with the County Clerk not more than thirty (30) days after the date the Director of Public Works presented such Unit Owner with a notice of default. 10. In the event the Public Entity shall enter upon the Common Easements and undertake the work of maintaining the Common Easements or the Common Facilities following a determination by the Public Entity's Director of Public Works that the Unit Owners are in default of their duties and obligations to maintain the Common Easements or the Common Facilities, then each Unit Owner shall, upon presentation of a written demand by the Public Entity, reimburse the Public Entity in the same proportionate share as each Unit Owner pays to the Association for the costs incurred by the Public Entity in performing such work, such reimbursable costs to be due and payable immediately upon the presentation of a demand for the same. 11. In the event a Unit Owner shall fail to reimburse the Public Entity for his or her proportionate share of any costs incurred by the Public Entity in performing the work of maintaining or repairing the Common Easements and the Common Facilities immediately following the presentation by the Public Entity of a written demand for same, then the Public Entity shall be entitled to make such reimbursable costs a lien upon the property of the Unit Owner benefited by such work by recording a notice that it has incurred re- imbursable costs under the terms of this Declaration in the Official Records of the Butte County Recorder. In addition to stating that costs have been incurred by the Public Entity under the terms of this Declaration, such notice shall set forth the amount of such reimbursable costs, the date they became due and payable, and shall state that until paid, -21- COVENANTS, CONDITIONS AND RESTRICTIONS such reimbursable costs shall bear interest at the legal rate from the date such reimbursable costs became due to the date such costs are paid. Moreover, in the event a Unit Owner fails to reimburse the Public Entity for his or her proportionate share of any costs incurred by the Public Entity in performing the work of maintaining and repairing the Common Easements or the Common Facilities immediately following the presentation by the Public Entity of a written demand for same, then the Public Entity may, as an alterna- tive to the recordation of a lien against such�Unit Owner's property, file a legal action seeking recovery of such costs; provided that, if the the Public Entity is the pre- vailing party in such an action, then the Public Entity shall be entitled, as part of the .judgment entered in such action, to interest on such costs computed at the legal rate from the date such reimbursable costs became due -to and in- cluding the date that such costs are paid, plus reasonable attorneys' fees in an amount fixed by the Court. The Public Entity's right to enforce the Unit Owners' obligations under this Declaration in the manner provided by this ARTICLE shall not preclude the Public Entity from .._.entering upon the Common Easements, performing any work necessary to maintain the Common Easements and the Common Facilities, and assessing the Unit Owners for the costs of such maintenance work, all in accordance with the provisions. of any applicable special assessment laws now or hereafter enacted by statute or ordinance, and the provisions of this ARTICLE shall not constitute a waiver of the Public Entity's rights pursuant to such special assessment laws. 12. All Unit Owners shall jointly and severally hold the Public Entity, its officers, boards and commissions and members thereof, its employees and agents harmless and free from any and all liabilities for personal injury and prop- erty damage which might arise out of or relate to the con- dition or the maintenance and repair of the Common Easements and/or the Common Facilities. Should the Public Entity, or any of its officers. boards and commissions and members thereof, its employees or agents, be named in any suit or should any claim be made against it or any of them, by suit or otherwise, whether the same be groundless.or not, arising out of or related to the condition or the maintenance and repair of the Common Easements and/or the Common Facilities, then the Unit Owners shall defend the Public Entity, its officers,, boards and commissions and members thereof, its employees and agents, and shall indemnify them for any judgment rendered against them, or any sums paid out in settlement or otherwise. 13. In. the event any amendment of this Declaration affects the duties and obligations of the Unit Owners in -22- COVENANTS, CONDITIONS AND RESTRICTIONS regard to the use, maintenance or repair of the Common Sewer Easement or the Common Sewer Facilities, or affects the right of the Public Entity to enter upon the Common Sewer Easements and to maintain or repair the Common Sewer Easements or the Common Sewer Facilities, then such amendment shall also require the written approval of the Public Entity, which shall be recorded in the Office of the Butte County Recorder. Moreover, in the event such amend- ment affects the lawful interest of the holders of the first mortgage or first deed of trust on any property within the Project, then such amendment shall also require the written approval of the Owner of such first mortgage or first deed of trust and such approval shall be recorded in the Official Records of the Butte County Recorder. . 14. 'No Owner of a parcel, or an Owner's successor in interest, shall cause or permit any structure, plant, material or thing to be placed on the property which may cause damage or interference with the ground or ground water. This prohibition includes any toxic material which has been identified by the State Department of Health. Each Owner agrees to be bound by the terms and condi- tions of. the Development Agreement entered into between Thorntree Industrial Park (Thomas P. Reed) and the County of Butte, recorded March 14, 1990, in the Official Records of the County of Butte, State of California under Series No. 90-010144. Each Owner, and each Owner's successor in in- terest, must obtain approval from the Butte County Planning Department, the Butte County Health Department and the Butte County Fire Department if such Owner's business in any way would threaten a violation of this provision relating to toxic materials. I 15. The use of the property is further restricted, subject to approval by Butte County, to no more than one (1) office employee for every 1,300 square feet of building area. Insurance. Property Owner shall obtain. the insurance required under this paragraph and receive the approval of the Butte County Counsel as to form, amount and carrier. Property Owner shall maintain the insurance during the term of this Agreement. The insurance shall extend to the County, its elective and., -appointive boards, commissions, officers,.agents, employees, and representatives and to the Property Owner and each contractor and subcontractor performing work on the Project. a. Worker's Compensation Insurance. Property Owner shall require Worker's Compensation insurance for all persons employed at the site of the Project. Property Owner shall require each contractor and subcontractor similarly to provide Worker's Compensation insurance for their respective employees. Property Owner•agrees to indemnify the County for damage resulting from his failure to. take out and maintain such insurance. b. Public liability and property damage insurance. Property Owner shall maintain public liability insurance in an amount: not less than $1,000,000.00 for injuries (including death) to any one person and subject to the same limit for each person.in an amount not less than $3,000,000..00 on account of. any one occurrence; and property damage 6 insurance .in the amount of notless than. $500,000.00 for damage to the property. of each person on account -of anyone occurrence.. 13.. Evidence of Insurance. Property,'Owner..shall furnish County concurrently with the execution -of this Agreement satisfactory evidence of the -insurance required and evidence that the carrier is required to give the County at least 30 days prior written notice of the cancellation or reduction -in coverage of a P01id. Y• 14. Specific Restriction on Development of Real Property. In addition to zoning- classification,"the following specific restrictions shall also govern°the use.of the property: (a) Permitted uses are those permitted by the M-1 zoning classification of the County of Butte as in existence on the date of this Development. Agreement except the. property shall not be used for any of the following purposes: (1)' Junk yard (2) Auto wrecking yard (3) A business engaged.,in the purchase, sale or storage of scrap metal except when conducted entirely within a building:, (4) Any residential use.. .(5) Industrial or manufacturing uses generating '. .industrial waste water with the potential to >.� contaminate surface water or groundwater 7 s unless such contamination threat is mitigated .. to the satisfaction of the County Health Department and the State Regional Water Quality Control Board. (c) The maximum density or intensity of use shall -be as permitted by the M-1 zoning classification and the subdivision regulations of the County on the date of this Development Agreement. Property Owner agrees to provide the .following' public improvements, facilities and services: (a) Property Owner shall, as part of each building permit application, submit a landscape plan consistent with accepted landscaping standards for the City of Chico, as 'amended from time to time, which shall include a landscaped area along the west side of AP 048-01-0-042 as well as the areas shown .on the development plan attached. Said landscaping to be completed.within one, (1) year from the execution•of the -agreement. Trees to be a species that grows no higher than 20 to 25 feet, planted'on 20 ft. or less centers with a permanent. irrigation system._ (b) Property owner shall install and maintain in good condition landscaping of the portions of the property required by Paragraph .15(a); said landscaping to be installed upon each parcel at.. such time as the final inspection*on the first building in each parcel is performed. In lieu of the above, landscaping may be bonded and subsequently installed within one (1) year of the final inspection. (c) Property Owner -shall submit drainage plans to the. 9_ U] 0 County Public works Department for approval in connection with each building permit.. IU) Property Owner will install such drainage facilities as shall be required by County pursuant_ to Paragraph 15(c). (e) All lighting installed upon any parcel shall be situated or shielded so.as to minimize distraction to motorists., neighboring properties, and aircraft. (f) Any storm drainage retention pond constructed on the. property must be constructed to meet the requirements of the Butte County Mosquito Abatement District. This section does not imply that any proposed sewage disposal or other disposal pond will be approved by the County -of Butte or. the California State Regional water Quality Control Board, Central valley Region. (g) If any materials. are stored outside a building they will be stored behind a sight obscuring masonry wall not less than six (6) feet in height no part of which shall be erected within the road setback area. (h) Before each parcel is developed, approval from the County Environmental Health Department must be .obtained for sewage 'disposal— system and water. supply . 10 a . Submit plans to the County Fire Department for review and recommendations at the time of application for each building permit. Meet the requirements of the County Fire Department for on- site fire' protection measures prior* to final. inspection,on each parcel as it develops. (j) At the time each parcel develops, provide receptacles as needed for the disposal of hazardous materials, wastes, chemicals and substances, if any. (k) Meet the requirements of the applicable utility companies, and service' companies. Companies include, but are not limited to, PG&E for natural gas and electrical service, Pacific Bell, California Water SErvice Company, and solid waste disposal companies. (1) Diligently pursue, in coordination with the City of Chico, the potential establishment of bus stop locations (Chico Area Transit System), near the parcels, for use by future employees and patrons. (m) Submit development plans to Butte County Public Works for review and conditions for appropriate road sections.and develop Thorntree Drive, Reed Lane and Whitchurch Lane to the RS -3B Standard, modified to require _8" of Class 2 AB, 3/4" maximum and -2" Type B AC, 1/2 ".maximum with one foot no- 11 12 0 access on both sides of Vispera Drive and the south side of Viento Drive. Establish a Property Owner Association for'Landscaping and Maintenance. (n) Comply with applicable .regulations of .the Butte County air Pollution Control District. (o). Comply with applicable regulations -of the State Regional. Water Quality Control Board and the Nitrate Action Plan, for disposal of waste water and hazardous wastes. Additionally, comply with County of Butte and State of California Hazardous Materials Management Plan requirements.. (p) Meet the requirements of the Butte County Air Pollution. Control District for authority to construct and permit to operate. (q) Meet the requirements of Title. 22 of the ® California Health and Safety Code, including but not limited to: Department of Health.Services permits, Environmental. Protection Agency permits, Butte County Environmental Health Department permits,'and meeting the requirements for storage and disposal of hazardous waste. (r) Meet the requirements of. the Uniform Fire Code, 1979 edition, as amended from time to time, as' administered by the Butte County. Effect of Agreement 00 Land Use Regulations: The rules, regulations, and official policies governing -permitted - uses of the property, the density of the use of the real property, the design, improvements and construction standards and specifications applicable to development the real property are those rules, regulations and official policies in'.force ,at the time of the execution of this Agreement. This Agreement does not prevent the County in subsequent actions applicable to the real property from applying- new rules, regulations and policies which do not conflict with those rules, regulations and policies applicable to•property in effect on the date of the adoption of this development agreement.
