EUVENE GILBERT and -B. ERNESTINE GILBERT, husband and wife as tenants in common (collectively "Landlord") and CHARLES R. GRAIN, JR. ("Tenant"), who agree as follows: 1. Term and Premises. Landlord leases to Tenant, and Tenant leases from Landlord, the real property located in Butte County, California, described in Exhibit "A" (the "Property") for a term expiring on December 31, 2038 on the terms and provisions of a Cash Rent Lease and Option to Purchase (the "Lease") between the parties, which Lease is dated as of the same date as this Memorandum. The Lease -provisions are incorporated into this Memorandum by reference. 2. . Tenant's Option to Purchase Premises. Reference is made to Paragraph 20 of the Lease, in which Landlord grants to Tenant an option to purchase the Property pursuant to the provisions in that paragraph. 3. Provisions Binding on. Landlord. The provisions of the Lease to be performed by Landlord are intended to and shall bind Landlord and Landlord's successors and assigns and shall inure to the benefit of Tenant and Tenant's successors. 4. Purpose of Memorandum. This Memorandum is prepared for the purpose of recordation and shall not alter or affect in any way the rights and obligations of Landlord and Tenant under the Lease. In the event of any inconsistency between this Memorandum and the Lease, the terms of the Lease shall control.
