AND OPTION TO PURCHASE PREMISES CHICO, CALIFORNIA
TIMCOR FINANCIAL CORPORATION, herein called "Lessor". hereby,
leases to RICHARD N. ARCHER and CAROLYN R. ARCHER, Trustees U/D/T
of the Richard N. Archer and Carolyn R. Archer 1991 Trust dated
June 17, 1991, herein called "Lessee", those certain premises
herein called "said premises" commonly known as Vacant Land,
identified as Assessor's Parcel Number 047-130-170.
ARTICLE i - TERM Or LEASE
Section 1.01. Original Term
This lease shall be for a term at the will of the Lessee
commencing on the closing date, which has been established as
June 22, 1992. ' Lessee' may terminate this lease at any time upon
giving written notice to Lessor.
ARTICLE II - RENT
Section 2.01. BgrL
Lessee shall pay to Lessor as minimum monthly rent without
deduction, set-off, prior notice or demand, the sum of $25.00 per
month,.which sum is payable in advance on the lst day of each and
every month. Any partial month shall be prorated.
Section 2.02. Real Prope rty Taxes
Lessee shall pay all real property taxes and general and
special assessments ("real property taxes") levied and assessed
against the building, other improvements, and land of which the
premises are a part. Lessee shall pay the real property taxes
semi-annually not later than ten days b . efore the taxing
authority's delinquency date. Lessee's liability to pay real
property taxes shall be prorated on the basis of a 365 day year
to account for -any fractional portion of a fiscal tax year
included in the term at its =ommencement and expiration.
ARTICLE III - USE OF PREMISES
.Section 3.01 Permitted Use

only f or lawful purposes in compliance with all federal, state
and local ordinances regulating health, safety, zoning and
environmental'hazards. I
ARTICLE'IV - UTILITIES
Section 4.01, Payment of Utility Charges
Lessee shall pay, and hold Lessor and the property of Lessor
free and harmless from, all charges for all utilities.
ARTICLE V - MAINTENANCE AND REPAIRS

Lessee accepts said premises, "as well as the improvements
thereon and thelacilities appurtenant thereto, in their present
condition.
Section 5.02. Maintenance by Lessee
Lessee covenants and agrees to keep and maintain the entirety
of the demised premises in good order at Lessee's sole cost and
expense. Lessor is to be at absolutely no cost or expense for
,maintenance or repairs.
Section 5.03, Alterations and Liens
Lessee may make or permit any other person(s) to make any
alterations to said premises provided same comply with all
applicable building and safety codes..
ARTICLE VI - INSURANCE
Section 6.01. Liability Insurance
Lessee shall, at Lessee's expense, obtain and keep in force
during the term of this Lease a policy of combined single -limit
bodily injury and property damage insurance insuring Lessor and
Lessee against any liability arising out of the ownership, use,

occupancy ofmaintenance of the. premises and all areas pertinent
thereto. Such insurance shall be a combined single -limit policy
in an amount not less than $1 million per occurrence. The policy
shall assure performance by Lessee of the indemnity provisions of
Section 6.03. The limits of said insurance shall not, however,
limit the liability of Lessee hereunder.
section 6.02, Property Insurance
Lessee shall obtain and keep in force during the term of this
lease a policy or policies of insurance covering loss . or damage
to the 'premises, An the amount of the full replacement value
thereof, as the. same mayl exist from time to time, which
replacement value is now $100,000.00, but in no event less than
the total amount required -by lenders having liens on the
premises, against all perils included within the classification
of fire, extended coverage, vandalism, malicious mischief, flood
(in the event same -is required by a lender having a lien on the
premises), and special extended perils ("all risk". as such term
is used in the insurance industry). Said insurance shall provide
for payment of loss thereunder to Lessor, Lessee, or to the
holders of mortgages or deeds of trust in the premises, as their
respective interests may appear.
Section,6.03. Indemnity
Lessor shall not be liable to Lessee for any damage to Lessee
or Lessee's property from any cause. Lessee waives all claims
against Lessor for d . amage to person or property arising for any
reason. Lessee shall hold I Lessor harmless from -all claims or
liability arising out of any damage to any person or property
occurring in, -on Pr about the demised premises, including
attorney's fees.
ARTICLE VII - ASSIGNMENT AND SUBLETTING
Section 7.01. Assignment and Subletting
Lessee has the right to let or sublet the whole or any
portion of the demised premises.

ARTICLE VIII DESTRUCTION OF PREMISES
Section 8.01. -Destruction of Premises.
If during the term of this lease the building or premises are
destroyed by the elements of fire, earthquake or other
catastrophe or casualty without fault, so as to render said
premises unfit for occupancy or use, then and in that event" this
lease, shall stay. in full force' and effect. Lessee shall bear
this risk.
ARTICLE IX - MISCELLANEOUS
Section 9.01. Notices
Except as otherwise expressly provided by law, any and -all
notices or other communications required or permitted by this
lease or by law to be served on or given to either party hereto
by the other party hereto shall be in writing and shall be deemed
duly served and given when personally delivered to the. person to
whom they are directed, or in.lieu of such personal service, when
deposited in the United States.Mail, first class postage prepaid,
addressed to Lessee at the premises, or to the Lessor at the
address given for the payment of rent. Either party, Lessor or
Lessee.may change his address for the purpose of this section by
giving written notice of such change to the other party in the
manner provided in this section.

Section 9.'02. Binding on Heirs and Successors
.This lease shall be binding on and shall inure to the benefit
of the heirs, executors, administrators, successors and assigns
of the parties hereto.
Section 9.03, Partial Invalidity
Should any' provision of this lease be held by a court of
competent jurisdiction to be either invalid, void or
unenforceable, the remaining provisions of this lease shall
remain in full force and effect unimpaired by the holding.
Section'9.04.. Attorney' -s Fees
If either party commences an action against the other party
arising out of or in connection with this lease, the prevailing
party shall be entitled to have and recover from the losing party
reasonable attorney's fees and costs of suit.
ARTICLE X - OPTION TO PURCHASE PREMISES
Section 10,01. Grant of Option to Lessee
Timcor Financial Corporation ("Timcor") grants to Lessee the
qpt ion to purchase the premises in accordance with the provisions
of this lease, as long as Lessee is not in default at the time
Lessee.exercises the option.
Section 10.02.* Option Period
Lessee shall have the right to exercise the option to
purchase at any time during the term of this,lease.
Section 10.03, Method of Exercising Option
.Lessee shall exercise the option by giving the purchase price
of $65,079.79 to Timcor.
Section 10.04. Title to'Premises
Timc.or shall deliver to Lessee an executed grant deed in
recordable form conveying the premises. * Title to the premises
shall be conveyed by owner to Lessee free and clear of all liens,
encumbrances, covenants, conditions, restrictions, easements, and
rights of way of record, leas es of other tenancy agreements,- and

other matters of record, except current taxes, a lien not yet
delinquent, those portions of current assessments, a lien not yet
due and payable, anything of record or not of record that in any
Way affects title to the premises resulting from the acts or
omissions of Lessee.
The sale.,shall-be consummated without an escrow. Title shall
pass on the date the grant deed is recorded.
Section 10.05, Closing Costs
Transfer taxes and recording fees in the deed shall be paid
by Lessee. The cost'of the.title policy shall be paid by Lessee.
.Charges of escrow and All other closing costs shall be paid by
Lessee. Lessor shall - be at absolutely no expense in this
transaction.
Section 10.06. Assignability -of Option
Tenant may assign its intere st, or any portion of its
interest, in the option granted by paragraph 10.01 without
Lessor's consent.
Section 10.07. Close of Escrow
On - close of escrow this lease shall terminate, and the
parties shall be released from all liabilities and obligations
under this lease.
