DELIVERY -Requested shipping or pick-up dates, or ASAP, SAP, etc., shall mean the Buyer's requested delivery date only, subject to within a reasonable time atter accepted delivery date by WedgCor. Accepted delivery date means the approximate available ppick-up or,delivery date of the goods made available by Manufacturer. Approximate accepted delivery dates will be supplied in writing upon request. On all accepted delivery dates supplied In writing by WedgCor, Manufacturer promises to make available for delivery sooner, but not more than thirty (301 days after such date or pay a penalty, but subject to the Force, Majeure Clause on Purchase Order, It is not possible for the Se ler to deliver exactly on specified hours, days or to coordinate with construction, but Seller will cooperate whenever practical. If road conditions prevent delivery to the Buyer's site, Buyer shall obtain storage /oration accessible to Seller's truck, or meet Seller's truck at delivery point, in which case, Seller will com- pensate Buyer for his extra expense, not to exceed $50.00. This applies only to complete unassembled manufactured buildings by WedgCor, not partial shipfrtent, and Buyer will not be required to go 0vaY;-fl?0 miles from site. in lieu of all other damages, WedgCor manufactured goods must be offered for Dealer and/or Customer pick-up or delivery through Seller's Trucking Com- pany'within 30 days after accepted delivery date by WedgCor's authorized corporate officer, or pay Buyer $5.00 per day penalty, not to exceed $200.00 maxlmum..Seller's $5.00 per day penalty applies only for complete unassembled buildings. If building goods delivery is delayed by Dealer and/or Buyer for revisions, or any other Buyer's reason, or under the Force Majeure Clause, the penalties do not apply in this.paragraph, unless WedgCor's new accepted delivery date Is established by an authorized corporate officer in writing. Buyer and/or Dealer agrees to pay damage charge of $250.00 plus freight and 3 storage per month for failure to accept delivery or show at scheduled C.P.U.. In event of breached contract, 49 below will apply. 6. UNLOADING -When the materialis delivered by Sunward Trucking, the truck driver will assist the Buyer to unload the goods and to verify any messing or damaged items on the bill of material. Strict inventory by Buyer or Buyer's Agent will be necessary. Any discrepancies must be made in writing. ' 7. INSURANCE -Once the goods are delivered by Seller's Trucking Co., or picked up by Buyer, Buyer is responsible for the goods. The Buyer agrees to carry risk insurance to cover the Buyer, Seller and Manufacturer for loss or damage before, during con- struction and after it is completed like any other valuable property. During construction, buildings are vulnerable to wind damage, water damage, and vandalism and Buyer should make certain it is adequately protected by Insurance and holds Seller and Manufacturer harmless against such losses. 8. DEFINITIONS -As used herein, the terms 'Buyer and Dealer" shall mean the UNDERSIGNED, the term "Manufacturer" and "WedgCor" shall mean WedgCor, Inc., and affiliate Corporations. "Seller" means the Dealer who submits this Purchase Order to WedgCor, Inc. "Buyer's Agent" means the person or Company receiving the goods from the Manufacturer. F.A.S. means Freight Along Side. C.P.U. means Customer Pick -Up. Assignment for funds only - does not affect agreement between parties. LL/WL means live loadlwind load. 9. EFFECT -If any provision of this contract shall be prohibited by or invalid under the law, such provisions shall be ineffective to the extent of such prohibition of invalidity without invalidating the remainder of such provisions or the remainder of the pro- visions of this contract. 10. SOLE AUTHORITY AGREEMENT -Buyer acknowledges that Dealer or contracting erector is not an agent of WedgCor. This is the only agreement between Buyer and Seller and it may be modified or rescinded only in writing by both parties. There are no other written or unwritten agreements. The Buyer will hold Seller and WedgCor harmless of any liability resulting from special deals, oral promises, or recommendations made between Buyer and Seller's Independent representative unless explicitly put in writing and signed by Dealer and Manufacturer's authorized corporate officer. Buyer agrees he has received all documentation pertinent to the contract. 11. ADVERTISING -Some Buyer's make an inquiry to the Factory for the purchase of a structure. The Manufacturer refers such in- formation to the Dealer and disclaims any liability of warranty concerning the building style, purpose to be used for, or the actual decision to purchase based upon the literature, brochures, pictures, and ads that may have been used or supplied by r Manufacturer or affiliates, and relies solely on the warranty terms and the written Purchase Order Contract. 12. SUMMARY -The Manufacturer has only authorized the Dealer to market Manufacturer's goods. All Purchase Orders for Manu- facturer's goods mus( be accepted by Manufacturer's Authorized Corporate Officer. This warranty and agreement is only valid when Dealer Purchase Order is accepted by an officer in writing of WedgCor. Inc. The Buyer acknowledges that the Manu- facturer's sale warranties are limited as above stated. Any agreements or representations between Dealer and Buyer relating to delivery, construction, modifications or any other items are solely between Buyer and Dealer and do not involve the Manu- facturer in any way. The Buyer acknowledges that Buyer relies solely on Dealer's references as to the experience, competence and reliability of Dealer. The Limited Warranty covers only unassembled parts to build structure. WedgCor does not construct the material, therefore disclaiming any warranty as to the quality of construction. Buyer acknowledges that Dealer or contract- ing erector is not an agent or officer of WedgCor. Buyer relies solely on the terms and conditions herein.
