alias, deceased, having filed his WAIVER OF ACCOUNTING AND PETITION
FOR FINAL DISTRIBUTION herein on September 1S, 1986, and the WAIVE3t
AK -D PETITION having come on this 14th day of October, 1986,
regularly for hearing in Department 4 of the above -entitled court,
the court finds:
A. Notice of hearing of the WAIVER AND PETITION has been
regularly given as prescribed by law.
B. All acts,and transactions of the Executor of the Will of
Carlene J. Testa, alias, deceased, since his appointment are truly
shown and should be approved, and all -allegations of the PETITION
for its settlement and for final distribution are true.

C. CARLENE J. TESTA, alias, deceased, died testate on
January 6, 1986, in Marin County, California, and was at the time of
her death a resident thereof.
D. On March 3, 1986, KENNETH P. TESTA vas appointed Executor•
of the decedent's Mill dated February 16, 1983, and qualified as
such on March 3, 1986. Since that date, KENNETS P. TESTA has been
and now is the Executor of the decedent's will. On March 3, 1986,'
KENNETH P. TESTA was granted authority ,to administer the estate
without court supervision under the Independent Administration of
Estates Act. This authority has not been revoked.
E. Notice of death has been given as required by lav, the Use
for filing and presenting claims has expired, and the estate now is
in a condition to be closed. No claims have been filed with the
court or presented to the Executor.
F. All debts of the decedent and of the estate and all
expenses of administration have been paid, except closing expenses
and the fees Riede, Rosenberg, McCall i Cahill, petitioner's
attorneys..
C. A federal estate tax return has been filed for the estate,
showing no tax to be due. Therefore, no California estate tax
return has been filed, nor is any California estate tax due. The
federal return has not yet been audited, and the Executor has not
been released from personal liability for estate taxes.
H. All California and federal income taxes due and payable by
the decedent have been paid. There are no California or federal

income taxes due or payable by the estate in that the estate has not
experienced any income during the period of administration.
I. •o personal property .taxes are due or payable by the
estate.
J. The closing expenses of the estate have been assumed and
will be paid by KENNETH P. TESTA, petitioner herein.
K. The estate consists entirely of the separate property of
the decedent.
L. Distribution should be ordered as requested and specified
below.
K. MMMETH P. TESTA, as the sole residuary beneficiary of the
estate, should be allowed to waive an accounting.
IT IS ORDERED AND ADJUDGED thats
1. The administration of the estate is brought to a close
without the requirement of an accounting.
2. The Executor has in his possession, belonging to the
estate, a balance at the appraised value of $230,000.00, none of
which is is cash.
3. All acts and transactions of the Executor relating to the
matters set forth in the WAIVER AND PETITION are confirmed and
approved.'
4. KENNETH P. TESTA has assumed full responsibility for and
shall pay any and all closing expenses experienced in the estate.
S. KENNETH P. TESTA has waived his right to'compensation for
ordinary and extraordinary services rendered in the administration
of this estate.

6. Riede, Rosenberg, McCall &.Cahill are entitled to fees for
ordinary services rendered in the administration of this estate in
the amount of $5,750, and KENNETH P. TESTA has assumed full
responsibility for and shall pay said fees to said attorneys
subsequent to the entry of this JODG14ENT. Said attorneys have
waived their right to fees for extraordinary services as outlined i
the WAIVER AND PETITION filed on September 15, 1986.
7. Notice of death has heen given as required by law.
S. No California or federal estate taxes are due and payable
by the estate. No California or federal income taxes are due by tt
estate in.that no income was experienced by the estate during
administration.
9. The .state in the possession of the Executor remaining for
distribution shall be distributed to the following beneficiaries of

Terms and Conditions of Trust

A. The Trustee shall pay to or apply for the

-benefit of KENNETH P. TESTA, during his lifetime, all
of the income of the trust estate, quarter—annually or
25
at more frequent intervals.

B. On KENNETH P. TESTA's death, the trust shall
terminate and be distributed as follows:

11. Any accumulated or as -yet -undistributed
income earned through the date of KENNETH P. TrSTA•s
death shall be distributed to his estate, or to the
persona' representative thereof, for the benefit of his
3 estate.
4 2. The principal of the trust shall be
distributed to ROBERT JAMES RICKARD, if he survives
S KENNETH P. TESTA, or if he does not, to his issue by
right of representation, and failing the same, equally
6 between.HOLL7 MARIE WHITE and KEVIN BRADYSH WHITE.
7 3. To the extent possible, the trustee shall.
retain title to the residence commonly known as
8 307 Prince Poyal Drive, Corte Madera, California,
during the lifetime of KENNETH P. TESTA so that he can
9 live in the residence if he so desires during his
lifetime and the same is available for distribution to
10 the remaindermen beneficiaries of this trust upon his
death.
11 4. No interest in the principal or incoae of
12 the trust shall be anticipated, assigned, or
encumbered, or subject to any creditor's claia'or to'
13 legal process,.prior to its actual receipt by the
beneficiary.

15 Trustee is vested with the following powers with
respect to the trust estate and any part of it, in
16 addition to those powers now or hereafter conferred by

D. To borrow money, and to encumber or
hypothecate trust property by mortgage, deed of

insurance of such kinds and in such amounts as the

mixed, and every kind of investment, specifically

common, including the corporate Trustee's own stock
(if a corporate Trustee is then acting), shares of

investment trusts, investment companies, and mutual
funds, and mortgage participations, which men of

prudence, discretion, and intelligence acquire for
their own account, and any common trust fund

administered by the corporate Trustee.

1. With respect to securities held in the
trust, to have all the rights, powers and privi—

leges of an owner, including but not by way of
limitation, the power to vote, give proxies, and

pay assessments) to participate in voting trusts,
pooling agreements, foreclosures, reorganizations,

consolidations, mergers, liquidations, sales, and
leases, and incident to such participation to

purchase of bonds or other obligations. Except
insofar as the Trustee shall exercise this
discretion, matters relating to principal and
income shall be governed by the provisions of the
California Principal and Income Law from time to
time existing. c
K. In any case in which the Trustee is
required, pursuant to the provisions of the trust,
to divide any trust property into parts or shares
for the purpose of distribution, or otherwise, the
trustee is authorized, in the trustee's absolute
discretion, to make the division and distribution
(pro rate or otherwise) in kind, including
undivided interests in any property, or partly in
kind and partly in money, and for this purpose to
make such sales of the trust property as the
Trustee may deem necessary on such terms and
conditions as the Trustee shall see fit.
L. The Trustee, in the Trustee's discre—
tion, may make payments to a minor or other
beneficiary under disability by making payments to
the guardians of his person, or to any suitable
person with whom he resides, or the Trustee may
apply payments directly for the beneficiary's
benefit. The Trustee, in the Trustee's discretion,
may make payments directly to a minor if, is the
Trustee's judgment, he -is of sufficient age and
maturity to spend the money properly.
M. The Trustee need not make any physical
segregation or division of the trust except as
segregation or division may be required by the
termination of the trust.
. N. So long as any real property is held in .
trust herein, the Trustee shall administer it for
the sole benefit of KENNETH P. TESTA in such a
manner that it will qualify as a transfer 'to a
trustee for the beneficial use of . . . the
surviving spouse' under Revenue and Taxation Code
Section 63(a).
