The parties are currently operating a well and water system for their mutual benefit and desire to establish the rules and procedure for the continued operation of said well and water system. C. Said well is located on the WEIR parcel and said water lines run parallel to Tippitoe Lane for the BRANN and HENDERSON parcels and across Tippitoe Lane for the SAWICKI parcel, as more fully set forth in Exhibit "E" attached hereto and incorporated herein by this reference. NOW, THEREFORE, in consideration of the mutual promises and covenants set forth herein, the parties do hereby mutually agree:. 1. Grant of Easement.: The parties do hereby grant to each other, for the benefit of the above described real prop- erties, mutual easements for the construction' maintenance, repair and use of a well and water pipe system. It is the intent of the parties that the easements created herein shall benefit and burden -each of the other parcels of real property and be subject to all rights, including, but not limited to, Civil Code Section 845. 2. Nature of Right and Agreement: It is further agreed 88-08347 ny ana neLween Lne parties that they will construct and maintain the water system in order for all parties to enjoy a reasonable supply of water for the benefit of the properties. No right is given or intended by the parties to allow further land division or use by other parties of this water system. 3. Maintenance of Facilities: The parties agree to pay an amount no less than quarterly to WEIRS for the main- tenance and operation of the existing system and well. These payments are to cover electrical costs and normal maintenance. Until such time as the SAWICKIS' parcel is developed, the SAWICKIS, or their successors, shall be exempt from quarterly charges. In addition, the parties contemplate construction of an additional well and related facilities, together with water meters., The parties agree to share such expenditures equally. Each party, WEIRS, HENDERSONS, SAWICKIS and BRANNS, shall have one (1) vote and a three-quarters (3/4) vote shall be sufficient for all acts under this Agreement, including modification of this Agreement. Notice shall be sent to all parties of all proposed modifications, and notice shall be sent to all parties within ten (10) days of acts or modifications under this Agreement. 4. Enforcement: Should any property owner, their suc- cessors or assigns, fail to make the payments as set forth herein, then the other parties may exercise their rights -3- i89 -0834 Ll under Civil Code Section 845 in any court of competent juris- diction. If any party to this Agreement is required to take formal action to enforce this Agreement, the prevailing party shall be entitled to their reasonable attorney's fees and costs. 5. Binding Effect: The parties intend this Agreement to be binding upon their successors, assigns and personal representatives. If any owner of property desires to with- draw from this Agreement, they may do so by giving the other members sixty (60) days' written notice. Upon withdrawal from the Agreement, that property will no longer have any right to use this water system. Withdrawal from the water system shall not, however, affect the easement rights created for the benefit of the remaining properties herein, which easement rights are permanent and irrevokable. 6. A further continuity test shall then be made between the grounding electrode and the chassis of the mobilehome.
