SECTION 1- THE ENTIRE CONTRACT It is agreed that this Contract represents the entire agreement. It is further agreed that any original Proposals and attachments and specifications, Contract Documents, Scope of Work, Plans and Specifications, and any other necessary documents, are incorporated into this Contract if included by reference, with the same force.and effect as if the same were set forth at length herein and both parties are bound by any and all of said Contract Documents insofar as they relate in any part or in any way, directly or indirectly, to the work covered by this Contract. SECTION 2- WORK TO BE PERFORMED CONSULTANT agrees to furnish all materials and labor, and perform supervision of the subcontractors to complete the scope of work defined in the Hanover Proposal to install remediation system, startup, operation and maintenance, and perform the excavation of contaminated soils as per the Remedial Action Plan dated January 7, 2004 for the Lake Club located at 48 Hurleton Rd., Oroville, Ca. SECTION 3- PRICE CLIENT agrees to pay CONSULTANT for the strict perforniance of his work: On a time & materials basis, to be billed as per the "Schedule of Fees" attached as Exhibit "A", not to exceed the sum of $115,379.00 for all materials and labor complete the scope of work as defined in Section 2,.subject to additions and subtractions for changes in work as may be agreed upon and as set forth in Section 6 of this Contract, and to make " payments in accordance with the Payment Schedule, as set forth in Section 5. SECTION 5- PAYMENT TERMS To be billed as the work proceeds, based on monthly progress. A finance charge of 1.5% per month will be assessed on all outstanding balances after 30 days of receipt of billing. SECTION 6 -CHANGES IN WORK All extra wTk requested by the CLIENT, his employees, agents, or assigns must be approved in writing on Change Orders to be produced by the CONSULTANT as required. These Change Order documents must be.signed -and returned to the CONSULTANT before the extra work will be performed. The CONSULTANT will not be held liable for any expenses, losses, costs, damages or liabilities of any nature whatsoever associated with or in any way arising out of any such changes including a substitution, deviation, or oversight by the CLIENT, Architect, Engineer or any other ' party that may have control or influence over the Work. Extra Work invoices will be generated separately from Contract Billings. The CONSULTANT is not responsible to notify sureties, regulatory agencies or other interested parties of any change, alteration, modifications or deviations unless specified in writing. SECTION 7- GENERAL PROVISIONS A. Signature of this contract by the CLIENT authorizes the CONSULTANT to sign as the CLIENT'S AGENT in matters pertaining to securing applicable permits for the work included in this contract. r B. Compliance of the CONSULTANT with submitted schedules is subject to suitable weather conditions and availability of materials, and the CONSULTANT will not be responsible for;delays caused by said factors. C. All right'of way is to be provided to the CONSULTANT at no'cost or delay. 1 D. Either CONSULTANT or the CLIENT may terminate this agreement by giving 15 days written notice to the other party. In such an event, the outstanding billing will be submitted by CONSULTANT and paid by the CLIENT immediately. E. The CLIENT shall be responsible for any unmarked underground fixtures in th`e work area, or complications resulting from encountering said fixtures. Paler 3 of 6 The Lake Club 48 liurleton Rd., Onrville, Ca Client Initials Hanover Initials GENERAL CONDITIONS OF CONTRACT TERMS Invoices for services will be submitted at Hanover Incorporated (Hanover) option, on a periodic basis or when the work is completed. Invoices will be due within'30 days of receipt and a charge of 18% annually will be added to the overdue invoice amount beginning at the expiration of the 30 -day grace period. The Client has 30 days to dispute invoices after which time their right is waived and payment is expected in full. SAMPLES All soil, rock, water and other samples will be disposed of 30 calendar days after issuance to the CLIENT of the initial instrument of services that relates data obtained from them unless CLIENT advises Hanover otherwise. All samples shall be deemed CLIENT's property at all times and CLIENT shall be responsible for transport and disposal of such samples. Upon reques� Hanover will deliver samples to CLIENT at CLIENT's expense, or Hanover will store them for an agreed storage charge. RIGHT OF ENTRY CLIENT shall provide for Hanover's right to enter from time to time property owned by CLIENT and/or other(s) in order for Hanover to fulfill the scope of services indicated hereunder. Hanover will use reasonable care to minimize damage to property. However, CLIENT understands that use of exploration equipment may unavoidably cause some damage, the correction of which is not part of this AGREEMENT. If Hanover is asked to restore the property, Hanover will charge an additional amount to so restore the property. I BURIED UTILITIES CLIENT will furnish to Hanover information identifying the type and location of utility lines and other man-made objects beneath the site's surface to the extent CLEINT has such information. Hanover will take reasonable precautions to avoid damaging these man-made objects. CLIENT agrees to waive any claim against Hanover and to defend, indemnify and hold Hanover harmless from any claim or liability or injury or loss allegedly arising from Hanover's damaging underground utilities or other man-made objects that were not called to Hanover's attention or which were not properly located on plans furnished to Hanover. LIMITATIONS OF LIABILITY CLIENT hereby agrees; that to the fullest extent permitted by law, Hanover's total liability to CLIENT, all consultants, contractors, subcontractors or any third party for any and all injuries, claims, losses, expenses or damages whatsoever, including without limitation, attorneys fees and costs, arising out of or in any way relating to the services covered by this AGREEMENT from any cause or causes including but not limited to Hanover's negligence, errors, omissions, strict liability, breach of contract, or breach of warranty shall not exceed the greater of the total amount paid by the CLIENT for the services of Hanover under this contract or $500,000, whichever is greater. NO SPECIAL OR CONSEQUENTIAL DAMAGES CLIENT and Hanover agree that, to the fullest extent permitted by law, Hanover shall not be liable to the CLIENT for any special indirect or consequential damages whatsoever, whether caused by Hanover's negligence, errors, omissions, strict liability, breach of contract, breach of warranty or other cause or causes whatsoever. INDEMNIFICATION To the fullest extent permitted by law, CLIENT agrees to defend, indemnify and hold Hanover, its agents, subcontractors and employees harmless from and against any and all claims, defense costs, including attorneys' fees, damages and other 02/202004 1 MOVER, INC. Pae 4 ot'6 'rhe Lake Club 48 1lurleton Rd., Oroville, Ca Client Initials Hanover Initials liabilities arising out of or in anyway related to Hanover's reports or recommendations concerning this AGREEMENT, Hanover's presence on the project property, or the presence, release or threatened release of asbestos, hazardous substances or pollutants on or from the project property, provided the CLIENT shall not indemnify Hanover against liability for damages to the extend directly caused by the sole negligence or intentional misconduct of Hanover, its agents, subcontractors or employees. GENERAL LIABILITY INSURANCE AND LIMITATION Hanover is protected by Workmen's Compensation and Employer's Liability Insurance, and by Public Liability Insurance for bodily injury and property damage with a combined limit of $1,000,000, and will furnish certificates thereof upon request. Hanover assumes the risk of damage to its own supplies and equipment proximately resulting from Hanover's sole negligence or willful misconduct. If CLIENT's contract or purchase order places greater responsibilities upon Hanover or requires further insurance coverage, Hanover, if specifically directed by CLIENT, will take out additional insurance (if procurable) at CLIENT's expense; but Hanover shall not be responsible for property damage from any cause, including fir?, and explosion, beyond the amounts and coverage of Hanover's insurance. STANDARD OF CARE Hanover will strive to perform services under this AGREEMENT in a manner consistent with that level of care and skill ordinarily exercised by members of the profession currently practicing in the same locality under similar conditions. No other representation, expressed or implied, and no warranty or guarantee is included or intended in this AGREEMENT, or in any report, opinion, document or otherwise. DISCOVERY OF UNANTICIPATED HAZARDOUS MATERIALS If pollutants are discovered that pose unanticipated risks while Hanover is performing these services, it is hereby agreed that the scope of services, schedule, and the estimated project cost will be reconsidered and that this contract shall immediately become subject to renegotiations or termination. In the event that the AGREEMENT is terminated because of the discovery of pollutants posing unanticipated risks, it is agreed that Hanover shall be paid for our total charges for labor performed and reimbursable charges incurred to the date of terminations of this AGREEMENT, including, if necessary any additional labor or reimbursable charges incurred in demobilizing. CLIENT also agrees that the discovery of unanticipated hazardous substances may make it necessary for Hanover to take immediate measures to protect health and safety. Hanover agrees to notify CLIENT as soon as possible should unanticipated hazardous substances or suspected hazardous substances be encountered. CLIENT authorizes Hanover to take measures that in Hanover's sole judgment are justified to preserve and protect the health and safety of Hanover's personnel and the public. CLIENT agrees to compensate Hanover for the additional cost of working to protect employees and the public health and safety. Upon completion of the above procedure, the power supply cord or feeder assembly conductors shall be connected to the site service equipment.. A further continuity test shall then be made between the grounding electrode and the chassis of the mobilehome.
