If the irrigated crops

intention to ta?e water to Bank and shall upon the elapse of
that period take the water in as rapid a manner as reasonably
passible to provide for completion of the irrigation. Notice

9.6,4 (d); Schohr shall, pay its
proportional costs of the installation, maintenance, con--
strtction and reconstruction of the dams, the pump-ing intaket
structure intake screens and cleaning and maintenance of the
facilities appurtenant to such facilities annually commencing
with the 1987 irrigation season. The costs shall be advanced

by Bank and shall be ac. intkl for at the end of the normal
irrigation season on the basis of the acreage irrigated by
Schohr in the Headquarters Parcel proportioned to the acreage
irrigated by Bank from these facilities. Schohr shall provide,
at its cost upon execution hereof' for the installation and

shall not interfere directly or indirectly, burden, or make

that they, on behalf of themselves and on behalf of all
successor owners, occupants and tenants thercof do hereby;
(i) waive and give up any and all claim for damages arising
from the existence of such water levels, flows or conditions
in whatever form or nature these damages, expenses or claims
may occur which' may exist or arise at any time against Bank,
its officers; agents, tenants, successors in ownership or
occupancy of the property of Bank, employees or any other
persons working for such parties (hereinafter referred to as

ment to exercise reasonable and customary procedures to
reduce the likelihood or extent of seepage and subflow upon

provided in Paragraphs (a) and (b) above shall be maintained

seepage and subflow upon the portion of the Schohr Property
located between the Cherokee levees and the maintenance of
said water levels shall not interfere with the reasonable
farming practices of said Schohr Property so long as the
reasonable practices of said portion of the Schohr Property
shall be consistent with the reasonable and customary farming
and irrigation practices upon the Bank property. The water
levels so maintained shall be consistent with the Schohrs
being able to farm all of said property, including ground

property of Bank. Schohr shall provide for the maintenance
of such customary berms, embankments, drains, and other
facilities reasonably necessary to reduce, eliminate or

include a duty on the part of Bank to provide for the
reduction or removal of boards rrom the dams when water

As used herein the phrase "custom-
ary" shall refer to the customary means within the Butte
County area of operating water -facilities of the type exist'-
ing now or hereafter constructed by the respective parties,
together with the customary means of cutivating planting,
harvesting and otherwise farming the lands of the respective
parties, together with the reasonable and customary means of
coordinating the use of the faQili,ties of the parties and the
respective use of the properties of the parties so as to
maximize Lhe economic benefits to tach party and to minimize
the operating, maintenance andother costs of each party.
(g) Determination. Of Reasonable And
Customary Procedures; The determination of reasonable and
customary procedures shall be made by the arbitrator and
through the arbitration procedure pi:ovided herein it there
shall be any dispute between the parties. No action for

lation of the customary and reasonable procedure by either �
