PACIFIC MUNICIPAL CONSULTANTS REGARDING STAFFING OF THE BUTTE COUNTY AIRPORT LAND USE COMMISSION (ALUC) This Agreement dated April 1, 1998 by and between The County of Butte, hereinafter referred to as "COUNTY" andPacific Municipal Consultants, hereinafter referred to as "CONSULTANT". WITNESSETH WHEREAS, CONSULTANT represents he is a CONSULTANT of long standing in this area with the professional expertise necessary to provide the services required. WHEREAS, COUNTY desires to have services provided by CONSULTANT. NOW, THEREFORE, the parties agree as follows: 1. DESCRIPTION OF SERVICE: Beginning on April 1, 1998 CONSULTANT will provide services in connection with providing professional staff to the Butte County ALUC as described in EXIHIBIT A. 2. PERFORMANCE OF SERVICES: Services shall be performed by the CONSULTANT under direction of the Department of Development Services. 3. PAYMENT TO CONSULTANT: Payment will be made monthly, based on the rates agreed to in EXHIBIT A, and upon submittal of an invoice for services rendered and verified by the Director of Development Services. The maximum amount payable under this contract is $5,000.00. 4. TERM: This Agreement covers the period the period beginning April 1, 1998 and ending July 30, 1998 5. SUPPORT SERVICES FOR CONSULTANT: COUNTY will provide secretarial services and support in preparing agendas, minutes and proofing and finaling staff reports for ALUC. 6. RELATIONSHIP OF PARTIES: It is understood by the parties that CONSULTANT is an independent CONSULTANT and not an employee of COUNTY. COUNTY will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit for the profit of CONSULTANT. 7. CONSULTANT'S EMPLOYEES/SUB-CONSULTANTS: CONSULTANT' employees subconsultants, if any, who perform SERVICES for COUNTY under this AGREEMENT, shall also be bound by the provision of this Agreement. 8. INSURANCE REQUIREMENTS: CONSULTANT shall procure and maintain for the duration of the contract insurance against claims for injuries to persons or damages to property which may arise from or in connection with the performance of the work hereunder by the CONSULTANT, his agents, representatives, employees or subconsultants. A. Mnimum Limits of Coverage - CONSULTANT shall maintain no less than: Worker's Compensation - in compliance with the statutes of the State of California. 2. General Liability - insurance with a minimum limit of liability per occurrence of $1,000,000 for bodily injury and $1,000,000 for property damage. This insuranceshall indicate on the certificate of insurance the following coverages and indicate the policy aggregate limit applying to premises and operations and broad form contractual (and professional liability). Automobile Liability - insurance with a minimum limit of liability per occurrence of $1,000,000 for bodily injury and $500,000 for property damage. This insurance shall cover bodily injury and property damage, owned automobiles, and non -owned automobiles. 4. Professional Liability Insurance - maintain professional liability insurance (errors and omissions) for bodily injury, property damage, personal injury, and claim expenses - $1,000,000 claim: Annual aggregate. B. Deductibles and Self -Insured Retentions Any deductibles or self-insured retentions must be declared to and approved by the County. At the option of the County, either: the insured shall reduce or eliminate such deductibles or self-insured retentions as respects the County, its officials and employees; or the CONSULTANT shall procure a bond guaranteeing payment of losses and related investigations, claims administration and defense expenses. C. Other Insurance Provisions - The above listed policies shall contain or be endorsed to contain the following provisions: General Liability, Automobile Liability, Professional Liability Coverages a. The County, its officials, employees and designated volunteers are to 2 be covered as insured as respects: liability arising out of activities performed by or on behalf of the CONSULTANT; products and completed operations of the CONSULTANT; premises owned, leased or used by the CONSULTANT; or automobiles owned, leased, hired or borrowed by the CONSULTANT. The coverage shall contain no special limitations on the scope of protection afforded to the County, its officials, employees or volunteers. b. The CONSULTANT's insurance coverage shall be primary as respects the County, its officials, employees and volunteers. Any insurance or self-insurance maintained by the County, its officials, employees or volunteers shall be excess of the CONSULTANT's insurance and shall not contribute with it. C. Any failure to comply with reporting provisions of the policies shall not affect coverage provided to the County, its officials, employees or volunteers. d. CONSULTANT's insurance shall apply separately to each insured against whom claim is made or suit is brought except with respects to the limits of the insurer's liability. 2. All Coverages. Each insurance policy shall be endorsed to state that coverage shall not be suspended, voided, canceled by either party, reduced in coverage or in limits except after 30 days.prior written notice by certified mail, return receipt requested, has been given to the County. D. Acceptability of Insurers. Insurance is to be placed with insurers with a Best's rating of no less than A: VII. E. Verification of Coveraee. CONSULTANT shall furnish the COUNTY with certificates of insurance and with original endorsements affecting coverage required by this clause. The certificates and endorsements are to be on forms provided by the COUNTY and are to be received and approved by the COUNTY before work commences. The certificates and endorsements for each insurance policy are to be signed by a person authorized by the insurer to bind coverage on its behalf. The COUNTY reserves the right to require complete, certified copies of all required insurance policies at any time. F. Subconsultants - CONSULTANT shall include all subconsultants as insured under its policies or shall furnish separate certificates and endorsements for each sub - consultant. All coverages for subconsultants shall be subject to all the requirements stated herein. 3 9. INDEMNIFICATION: CONSULTANT agrees to indemnify and hold COUNTY harmless from all claims, losses, expenses, fees including attorney fees, costs, and judgments that may be asserted against COUNTY that result from the, acts or omissions of CONSULTANT, CONSULTANT's employees, and CONSULTANT's agents. 10: ASSIGNMENT: CONSULTANT's obligations under this Agreement may not be assigned or transferred to any other person, firm or corporation without prior written consent of COUNTY. 11. ENTIRE AGREEMENT: This Agreement contains the entire understanding of the parties and there are no other promises or conditions in any other agreement, whether oral or written. This AGREEMENT supersedes any prior oral or written agreements between the Parties. 14. AMENDMENT: This Agreement may be modified or amended, if the amendment is made in writing and is signed by both parties. 15. SEVERABILITY: If any provisio of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. 16. WAIVER OF CONTRACTUAL RIGHT: The failure . of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provisions of this Agreement. I 17., APPLICABLE LAW: This Agreement shall be governed by the laws of the State of California. 4 18. TERMINATION FOR CONVENIENCE OF THE COUNTY: The County may terminate this Agreement at any time by giving notice to CONSULTANT of such termination and specifying the effective date thereof, at least ten (10) days before the effective date of such termination. In such event, all finished or unfinished documents and other materials shall, at the option of the County, become its property. If this Agreement is terminated by the County as provided herein, CONSULTANT shall be paid an amount which bears the same ratio to the total services of CONSULTANT covered by this Agreement, less payments of compensation previously made. 19. TERMINATION OF AGREEMENT FOR CAUSE A. The COUNTY may, by written notice to CONSULTANT, terminate the whole or any part of this Agreement in any of the following circumstances: If CONSULTANT fails to perform the services called for by this Agreement within the time specified herein, or any extension thereof; or 2. Should CONSULTANT fail to perform the services set forth in this Agreement or fail to make progress so as to endanger the overall performance of this Agreement, this Agreement may be terminated immediately after the giving of ten (10) days written notice of corrective action needed and no positive steps are being taken to remedy the shortcomings. B. CONSULTANT may terminate this Agreement upon disability, illness, injury, death, acts of God or other circumstances that may render the CONSULTANT unable to fulfill his contractual responsibilities. C. In the event the COUNTY or CONSULTANT terminates this Agreement in whole or in part as provided in paragraph A and B above, the COUNTY may procure services similar to those terminated from a different CONSULTANT. D. CONSULTANT shall be liable' for any excess costs including defaults of subconsultants. CONSULTANT shall not be liable for any excess costs if the failure to perform arises out of causes beyond the control and without the fault or negligence of CONSULTANT. Such causes include, but are not limited to, acts of God or of the public enemy, acts of government, in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, and unusually severe weather. E. Should this Agreement be terminated as provided in paragraph A and B above, CONSULTANT shall provide the County with all finished and unfinished documents, data, studies, services, drawings, maps, models, photographs, and reports. CONSULTANT shall be paid the value of the work performed, less payments of fees previously made by the COUNTY to CONSULTANT. Payment of fees previously made by the COUNTY to CONSULTANT shall be credited to the amount payable to CONSULTANT for allowable costs as provided herein except, however, CONSULTANT shall be entitled to proportionate fee, if any, which in the opinion of 5 the County, it has legitimately earned and was not related to the cause for which this Agreement was terminated. F. If after notice of termination of this Agreement, as. provided for in this article, it is determined' for any reason that CONSULTANT was not in default under the provisions of this article or that the default was excusable under the provisions of this article, then the rights and obligations of the parties shall be the same as if the Agreement had been terminated for the convenience of the COUNTY. We are confident that the quality and experience of our Senior level staff, familiarity with Butte County and its cities, and the Myers Street location of PMC's Oroville Office, will ensure that the County's needs are met in a professional and highly responsive manner. UNDERSTANDING OF THE ASSIGNMENT Based on previous informal discussions, it is our understanding that staff within the Butte County Department of Development Services has historically served as staff to the Butte County Airport Land Use Commission (ALUC). However, due to changing priorities and staff needs within the Department, and the desire by the Commission to eventually have an independent staff, your agency is considering the possibility of contracting the position. The individual selected to fill this position would initially function as an extension of Development Services Department staff and would be responsible for the following "Standard ALUC Staff Activities": Analyzing proposed land use actions within the vicinity of all existing airports to determine their consistency with the current airport land use plan or other official policies applicable to the involved airport. Completing any necessary coordination with other local agency staff, to obtain information regarding specific projects to be reviewed by the ALUC. • Preparing all necessary staff reports, notices and agendas for ALUC hearings. (It is assumed that County administrative staff will be responsible for distributing, publishing and mailing, unless otherwise specified). (Proposed staff commitments are based on the assumption that the Commission will continue to meet once per month. It is also assumed that County administrative staff would be responsible for the preparation of meeting minutes). Notifying local agencies of Commission decisions/recommendations on items submitted for review. The County of Butte is also in the process of obtaining grant funding to assist with the preparation of updated Comprehensive Land Use Plans (CLUPs) for all four airports within the County. Depending upon the amount of funding that is acquired, the County may elect to hire independent consultants to complete either one CLUP which addresses all four airports, or separate CLUP, for each airport. Another option under consideration is to contract for preparation of the CLUPs for the Chico and Oroville Municipal Airports and prepare in-house the CLUPs for the Ranchero and Paradise Airports. Until the preferred approach for CLUP preparation is selected, precise duties cannot be determined. However, the following list outlines a range of potential responsibilities: Coordinating with the Caltrans Division of Aeronautics (CDA) throughout the RFP, consultant selection and document preparation process. Editing and distributing RFP's for the preparation of the CLUPs based on CDA and County staff input. • Reviewing scopes, qualifications and cost estimates from consultants responding to the RFP and developing recommendations for consultant selection in conjunction with the CDA and County staff. • Managing contract and grant administration activities. • Serving as the point of contact for all consultants relative to CLUP preparation and processing. • Interacting, as necessary, with other local jurisdictions during the preparation of the CLUPs to facilitate their input and involvement. (Consultants are anticipated to have primary coordination responsibilities with regard to local jurisdictions). • Determining, in conjunction with the Development Services Director, the most appropriate environmental documents for the consolidated CLUP and/or multiple CLUPs. • Reviewing and responding to all consultant generated documents. • Preparing one or more in-house generated CLUP, if that option is preferred by the County. • Overseeing the preparation of environmental documents and/or preparing environmental documents depending upon the approach that is selected. • Processing environmental documents including distribution and the preparation of public notices. (It is anticipated that County administrative staff would 'be responsible for document reproduction, distribution, and notice'publication, unless otherwise specified). Again, all of the above tasks and duties are presented based on our current understanding of the assignment. These items can be refined, if necessary, based on additional input from County staff to more precisely address both short- and long-term desires and expectations. RECOMMENDED STAFFING As a municipal consulting firm specializing in providing a variety of services to cities and counties throughout California and Nevada, our firm is particularly well-suited for this assignment. Since we do not work for private developers, there is no real or perceived conflict of interest with the development community. Depending upon the desires of the County and the ALUC, our staff can also serve as either an extension of County staff or as an independent contractor. Laura. Webster, who functions as both a Senior Planner and Manager of PMC's Oroville Office, is recommended to fill the position. Prior to joining PMC three years ago, Laura was employed as the Planning Manager for the City of Oroville. In that position she was responsible for all current and advanced planning functions including reviewing current development projects and long range planning documents for their conformity with the City's 1985 Airport Land Use Plan and 1990 Airport Master Plan. Other responsibilities included serving as staff to the Oroville City Council, Planning Commission and Development Review Board. Therefore, she has extensive experience preparing staff reports, environmental documents, and conducting public presentations. She is also fully aware of all public hearing notice and agenda requirements. As a Senior Planner for PMC, Laura has served in either a senior staff or project management role on a number of General Plan Updates for community's including the City of Oroville, County of Sutter, City of Sand City, and City of Redding. Due to the presence of both the Redding Municipal Airport and Benton Airpark within the City of Redding's Planning Area, that particular assignment required that she deal extensively with airport safety and land use compatibility related issues involving both facilities. In general, her advanced planning experience will be particularly important when evaluating the consistency of individual land use actions with applicable airport land use plans. This experience will also undoubtedly be an asset if a decision is made to prepare one or more of the CLUPs in-house. - As an additional consideration, Laura has been responsible for budget preparation, and contract and budget management throughout her work at both the City of Oroville and PMC. Laura's full resume has been attached for your convenience. SUGGESTED APPROACH The following section outlines our recommended approach to providing staff services for the Butte County ALUC. TASK 1 REVIEW EXISTING DOCUMENTS In order to effectively function as staff to the Commission and perform associated duties, a certain amount of initial document review will be necessary. This, review should include, but not be limited to: ' Mr. Tom Parilo March 20, 1998 Page 4 • Current Airport Land Use Plans for each airport. • Chico Airport Environs Plan and FAR Part 150 Airport Noise Compatibility Program • MOU between the County of Butte and Butte County ALUC. • Sample staff reports, notices and agendas. We have estimated that 40 hours of staff time will be necessary to complete the document review outlined above. Because the nature of the task is to essentially familiarize the designated staff person with current procedures and the overall regulatory environment, the standard hourly billing rate will be reduced from $60 to $45 per hour for this task. TOTAL ESTIMATED COST $1,800.00 TASK 2 INITIAL STAFF SERVICES The designated staff person will complete all tasks described as "Standard ALUC StaffActivities" and the first three bullet items associated with the CLUP RFP process and consultant selection, within an estimated time frame of not more than 16 hours per month during the three month period between April 1, 1998 and June 30, 1998. The standard hourly billing rate for these professional services will be $60.00 per hour. TOTAL ESTIMATED COST $2,880.00 ($960.00 per month) Note - The above estimate regarding monthly workload and staffing needs is based upon preliminary input from County staff. TASK 3 RE-EVALUATION OF STAFF DEMANDS AND NEEDS By the end of the three month period described above, both PMC staff and the County will have a more well defined vision regarding the actual average monthly staff time needed to effectively perform tasks associated with standard Commission activities. It is also anticipated that the County will have determined its desired approach toward CLUP preparation within that time. Due to the changes in workload that are likely to occur, particularly once preparation of the CLUPs is initiated, we recommend that the scope of services and hours of dedicated monthly service be re-examined by both parties in the latter part of June and modified as appropriate to address foreseeable changes.
