THE COUNTY OF BUTTE
AGREEMENT WITH
NORTHSTAR ENGINEERING INC.
REGARDING MONITORING SERVICES OF RECLAMATION ACTIVITIES AT CARR
MINE, BUTTE COUNTY, CALIFORNIA
This Agreement dated July 5, 1995 between Butte County Department of
Development Services\Planning Division (COUNTY) and North Star Engineering
Inc., (CONTRACTOR).
CONTRACTOR, A civil engineering firm of long standing in this area
staffed with the professional personnel necessary to provide the services
required.
COUNTY desires to have services provided by CONTRACTOR.
Therefore, the parties agree as follows:
1. DESCRIPTION OF SERVICE: Beginning on July 10, 1995, CONTRACTOR
will provide monitoring services for the reclamation work being done at
the Carr Mine site in Butte County.. The services to- be provided by the
CONTRACTOR are described in Exhibit .A, (SCOPE OF WORD.
2. PERFORMANCE OF SERVICES: SERVICES shall be performed by the
CONTRACTOR in coordination with the Butte County Department of
Development Services.
3. PAYMENT TO CONTRACTOR: COUNTY will pay a fee to CONTRACTOR
based on a time and materials basis at the rates and with the key
personnel as shown in Exhibit B to a maximum amount of $5,000.
Payment shall be made monthly, and no later than the (29th) twenty ninth
day of the month following the period during which SERVICES were
performed.
Payment will be made upon receipt of an invoice for services rendered.
Verification of services, approved by William F. Farrel, Butte County
Director of Development Services is required for payment.
Upon termination of this AGREEMENT,, payments under this paragraph
shall cease. Provided, however, that CONTRACTOR shall be entitled to
payments for periods or partial periods that occurred prior to the date of

termination and for which CONTRACTOR has not yet been paid.
4. TERM: AGREEMENT is for the period' beginning July 10, 1995 through
December 31, 1995.
5. SUPPORT SERVICES FOR CONTRACTOR: COUNTY will not provide
support services, including office space and secretarial services.
COUNTY will provide copies of requested documents it has on file.
6. RELATIONSHIP OF PARTIES: It is understood by the parties that
CONTRACTOR is an independent contractor with respect to COUNTY, and
not an employee of COUNTY. COUNTY will not provide fringe benefits,
including health insurance benefits, paid vacation, or any other employee
benefit for the profit of CONTRACTOR.
7. CONTRACTOR'S EMPLOYEES: CONTRACTOR's employees, if any, who
perform SERVICES for COUNTY under this AGREEMENT, shall also be
bound by the provision of this AGREEMENT. At the request of COUNTY,
CONTRACTOR shall provide adequate evidence that such persons are
CONTRACTOR's employees.
8. INSURANCE REQUIREMENTS: CONTRACTOR shall procure and maintain
for the duration of the contract insurance against claims for injuries to
persons or damages to property which may arise from or in connection
with the performance of the work hereunder by the CONTRACTOR, his
agents, representatives, employees or subcontractors. The cost of such
insurance shall be included in the CONTRACTOR's compensation for
services.
A. Minimum Limits of Coverage - CONTRACTOR shall maintain no less than:
1. General Liability: $1,000,000 combined single limit per occurrence
for bodily injury, personal injury and property damage.
2. Automobile liability: $1,000,000 combined single limit per accident
for bodily injury and property damage.
3. Workers' Compensation and: Employers Liability: Workers'.
Compensation limits as required by the Labor Code of the State of
California; and Employers Liability limits of $1,000,000 per accident.
B. Deductibles and Self -Insured Retentions - Any deductibles or self-
insured retentions must be declared to and approved by the County. At
the option of the County, either: the insured shall reduce or eliminate

such deductibles or self-insured retentions as respects the County, its
officials and employees; or the CONTRACTOR shall procure a bond
guaranteeing payment of losses and related investigations, claims
administration and defense expenses.
C. Other Insurance Provisions - The above listed policies shall contain or be
endorsed to contain the following provisions:
1. General Liability Automobile Liability, Professional Liability
Coverages
a. The County, its officials, employees and volunteers are to be
covered as insured as respects: liability arising out of
activities performed by or on behalf of the CONTRACTOR;
products and completed operations of the CONTRACTOR;
premises owned, leased or used by the CONTRACTOR; or
automobiles owned, leased, hired or borrowed by the
CONTRACTOR. The coverage shall contain no special
limitations on the scope of protection afforded to the County,
its officials, employees or volunteers.
b. The CONTRACTOR's insurance coverage shall be primary as
respects the County, its officials, employees and volunteers.
Any insurance or self-insurance maintained, by the County, its
officials, employees or volunteers shall be excess of the
CONTRACTOR's insurance and shall not contribute with it.
C. Any failure to comply with reporting provisions of the policies
shall not affect coverage provided to the County, its officials,
employees or volunteers.
d. CONTRACTOR's insurance shall apply separately to each
insured against whom claim is made or suit is brought except
with respects to the limits of the insurer's liability.
2. Workers' Compensation and Employers Liability Coverage
The insurer shall agree to waive all rights of subrogation against the
County, its officers, officials and volunteers for losses arising from
work performed by CONTRACTOR for the County.
3. All Coverages
Each insurance policy shall be endorsed to state that coverage shall

not be suspended, voided, cancelled by either party, reduced in
coverage or in limits except after 30 days prior written notice by
certified mail, return receipt requested, has been given to the
County.
D. Acceptability of Insurers
Insurance is to be placed with insurers with a Best's rating of no less than
A:VII.
E. Verification of Coverage - CONTRACTOR shall furnish the County with
certificates of insurance and with original endorsements affecting
coverage required by this clause. The certificates and endorsements are
to be on forms provided by the County and are to `be received and
approved by the County before work commences. The certificates and
endorsements for each insurance policy are to be signed by a person
authorized. by the insurer to bind coverage on its behalf. The County
reserves the right to require complete, certified copies of all required
insurance policies at any time. 1.
F. Subcontractors - CONTRACTOR shall include all subcontractors as
insured under its policies or shall furnish separate certificates and
endorsements for each subcontractor. All coverages for subcontractor
shall be subject to all the requirements stated herein.
9. INDEMNIFICATION: CONTRACTOR agrees to indemnify and hold COUNTY
harmless from all claims, losses, expenses, fees including attorney fees,
costs, and judgments that may be -asserted against COUNTY that result
from the acts or omissions of CONTRACTOR, CONTRACTOR's
employees, and CONTRACTOR's agents.
10. ASSIGNMENT: CONTRACTOR's obligations under this AGREEMENT may
not be assigned or transferred to any other person, firm or corporation
without prior written consent of COUNTY. ,
11. CONFIDENTIALITY: CONTRACTOR recognizes that COUNTY has and will
have business affairs, customer lists, and other proprietary information
(collectively INFORMATION) which are valuable, special and unique assets
of. COUNTY. CONTRACTOR agrees that CONTRACTOR will not at any time
or in any manner, whether directly or indirectly, use any INFORMATION
for CONTRACTOR's own benefit, or divulge, disclose -or communicate in
any manner any INFORMATION to any third party without the prior written
consent of COUNTY.

CONTRACTOR will protect the INFORMATION and treat it as strictly
confidential. A violation of this paragraph shall be a material violation.
a. Unauthorized Disclosure of Information: If it appears that
CONTRACTOR has disclosed or has threatened to disclose
INFORMATION in violation of this AGREEMENT, COUNTY shall be
entitled to an injunction to restrain from disclosing, in whole or in
part, such INFORMATION, or.from providing any services to any
party to whom such INFORMATION has been disclosed or may be
disclosed. COUNTY shall not be prohibited by this provision from
pursuing other remedies, including a claim for losses and damages.
b. Confidentiality After Termination of Employment: The confidentiality
provisions of AGREEMENT shall remain in full force and effect after
the termination of AGREEMENT.
12. NOTICES: All notices, required or permitted under AGREEMENT, shall be
in writing and shall be deemed delivered when delivered in person or
deposited in the United States mail, postage prepaid, addressed as
follows:

written notice in the manner set forth above.
13. ENTIRE AGREEMENT: This AGREEMENT contains the entire
understanding of the parties and there are no other promises or
conditions in any other agreement,' whether oral or written. This
AGREEMENT supersedes any prior oral or written agreements between
the Parties.
14. AMENDMENT: This AGREEMENT may be modified or amended, if the
amendment is made in writing and is signed by both parties.

15. SEVERABILITY: If -any provision of this AGREEMENT shall be held to be
invalid or unenforceable for any reason, the remaining provisions shall
continue to be valid and enforceable. If a court finds that any provision of
this AGREEMENT is,invalid or unenforceable, but that by limiting such
provision it would become valid and enforceable, then such provision
shall be deemed to be written, construed, and enforced as so limited.
16. WAIVER OF CONTRACTUAL RIGHT: The failure of either party to enforce
any provision of this AGREEMENT shall not be construed as a waiver or
limitation of that party's right to subsequently enforce and compel strict
compliance with every provisions of this AGREEMENT.
17. APPLICABLE LAW: This AGREEMENT shall be governed by the laws of
the State of California.
18. TERMINATION FOR CONVENIENCE OF THE COUNTY: The County may
terminate this Agreement at any time by giving notice to CONTRACTOR of
such. termination and, specifying the effective date thereof, at least ten (10)
days before the effective date of such termination. In such event, all
finished or unfinished documents and other materials shall, at the option
of the County, become its property. If this Agreement is terminated by the
County as provided herein, CONTRACTOR shall be paid an amount which
bears the same ratio to the total services of CONTRACTOR covered by
this Agreement, less payments of compensation previously made.
19. TERMINATION OF AGREEMENT FOR CAUSE
A. The County may, by written notice to CONTRACTOR,
terminate the whole or any part of this Agreement in any of
the following circumstances:
1.. If CONTRACTOR fails to perform the services called for by
this Agreement within the time specified herein, or any. -
extension thereof; or
2. If CONTRACTOR fails to perform the services called for by
this Agreement or so fails to make progress as to endanger
performance of this Agreement in accordance with its terms.
In either of the -two circumstances above should contractor
not correct such failure within a period of ten (10) days (or
such longer period as the County may authorize in writing),
teirmination of this agreement shall'be effective immediately.

B. CONTRACTOR may terminate agreement upon disability,
illness, injury, death, acts of God or other circumstances that
may render the CONTRACTOR unable to fulfill the
contractural agreement.
C. In the event the County or CONTRACTOR terminates this
Agreement in whole or in part as provided in paragraph "A"
and "B" above, The County may procure services similar to
those terminated from -a different source.
D. CONTRACTOR shall be liable for any excess costs including
defaults of subcontractors. CONTRACTOR shall not be liable
for any excess costs if the failure to perform arises out of
causes beyond the control and without the fault or negligence
of CONTRACTOR. Such causes include, but are not limited
to, acts of God or of the public enemy, acts of government, in
either its sovereign or,contractual capacity, fires, floods, -
epidemics, quarantine` restrictions, strikes, and unusually
severe weather.
E. Should the Agreement be terminated as provided in
paragraph "A" and "B" above, CONTRACTOR shall provide the
County with all finished and unfinished documents, data,
studies, services, drawings, maps, models, photographs,
reports, etc., prepared. CONTRACTOR shall be paid the
value of the work performed, less payments of fees
previously made by the County to CONTRACTOR. Payments
of fees previously made by the County to CONTRACTOR shall
be credited to the amount payable to CONTRACTOR for .
allowable costs as provided herein except, however,
CONTRACTOR shall be entitled to proportionate fee, if any,
which in the opinion of the County, it has legitimately earned
and was not related to the cause for which this Agreement
was terminated.
F. If after•notice of termination of this Agreement, as provided
for in this article, it is determined for any reason that
CONTRACTOR was not in default under. the provisions of this .
article or that the default was excusable under the provisions
of this article, then the -rights and obligations of the parties
shall be the same as Jf the Agreement had been terminated
for the convenience of the County.

SCOPE OF WORK
MONITORING ACTIVITIES, CARR MINE
The monitor will conduct the following activities,'and others deemed appropriate
in their judgment and in consultation with,the County..
(1) An initial site visit to become familiar with the present condition of the site.
The monitor will conduct no less then five (5) additional site visits. The time of
those visits will be mutually agreed upon by the Department of Development
Services and the monitor. The monitor will provide written reports after each site
visit. A final report summarizing clean up and abatement progress at the site
will be provided upon conclusion of on site monitoring activities.
(2) During the initial visit, work with Republic Gold's on site geologist, Skip
Matlick, to review further specific steps that can be taken within the summer
months to mitigate the impacts of past mining and focus work on the following
areas:
(a) Slope restoration.
(b) Erosion control.
(c) Pond and drainage stabilization:
(d) Sediment extraction
(3) Contribute to identifying areas of work that will help correct the most serious
impacts of past mining.
(4) In the initial report, list specific work objectives agreed upon with Republic
Gold personnel. These agreed upon objectives will provide the basis for future
monitoring activities.
(5) Secure a detailed map of the site delineating work areas. This map is being
developed by Republic Gold as part of the interim clean up and abatement work
plan for the site.
(6) Coordinate with Phil Woodward in the Redding office of the Regional Water
Quality Control Board to avoid redundancy in the monitoring and inspection
effort.
(7) Notify the County of any changes in conditions at the site that may require
immediate emergency or corrective action.
