RESOLUTION CONSENTING TO THE ASSIGNMENT TO GRANITE
CONSTRUCTION COMPANY OF RIGHTS AND DUTIES UNI?ER THE DEVELOPMENT
AGREEMENT BETWEEN THE COUNTY OF BUTTE AND ROBINSON & SONS
WHEREAS, the County of Butte and Robinson & Sons entered into a
Development Agreement on December 18, 1990, recorded on October 22,
1996 as No. 96-040130; and
WHEREAS, Robinson & Sons has entered into an Asset Purchase and
Sale Agreement with Granite Construction Company on February 28, 2002;
and
WHEREAS, Robinson & Sons is selling its leasehold interest in the
mining operations located on the three parcels that are the subject
of the Development Agreement; and
WHEREAS, Robinson & Sons in the document entitled Assignment and
Assumption of Contracts and Permits is assigning its mining permits
including use permits, conditional use permits, and reclamation plans
to Granite Construction Company; and
WHEREAS, in the document Assignment and Assumption of Contracts
and Permits, Granite Construction Company is assuming the assignment
and expressly agreeing to keep, fulfill, and perform all of the
obligations imposed upan Robinson & Sons by the mining permits, the
reclamation plan, and the Development Agreement.
NOW, THEREFORE, BE IT RESOLVED that the Butte County Board of
Supervisors consents to the assignment of the Development Agreement,
recorded as No. 96-040130, by Robinson & Sons to Granite Construction
Company; and
BE IT FURTHER RESOLVED that this consent is contingent upon the
execution of the Assignment and Assumption of Contracts and Permits,
which document will then be attached to this resolution as Exhibit A.
PASSED AND ADOPTED by the Butte County Board of Supervisors this
