RESOLUTION OF 'THE BOARD OF SUPERVISORS OF THE COUNTY OF BUTTE
APPROVING 'T IIE ISSUANCE OF THE CALIFORNIA STATEWIllE COMMUNITIES
DEVELOPMENT AUTHORITY INSURED HEALTH FACILITY REVENUE BONDS
(DEL NORTE CLINICS, INC.), 2003 SERIES A, IN AN AGGREGATE PRINCIPAL
AMOUNT NOT TO EXCEED $9,000,000 FOR THE PURPOSE OF FINANCING THE
ACQUISITION, CONSTRUCTION, IMPROVEMENT AND EQUIPPING OF
FACILITIES OF DEL NORTE CLINICS, INC. AND CERTAIN OTHER MATTERS
RELATING 'THERETO
RESOLVED, by the Board of Supervisors (the "Board") of the County of Butte (the
"County"}, as follows:
WHEREAS, Del Norte Clinics, Ine., a California nonprofit public benefit corporation
(the "Corporation"), has requested that the California Statewide Communities Development
Authority (the "Authority") issue its revenue bands in an aggregate principal amount not to
exceed $9,000,000 (the `Bonds") in part to finance (a) the acquisition and renovation of a
building currently leased by the Corporation located at 9520 Kentucky Street in the City of
Gridley (used as a family health clinic), (b) the acquisition and renovation of a building currently
leased by the Corporation located at 680 Cohasset Road in the City of Chico (used as a family
health and dental center}, and (e} construction of a new health and dental facility on a parcel of
land owned by the Corporation on Lincoln Boulevard south of Oro Dam Boulevard in the City of
Oroville, all to be owned by the Corporation and used in connection with its provision of primary
health care services (the "Project");
WHEREAS, pursuant to section 147(f) of the Internal Revenue Code of 1986 (the
"Code"), the issuance of the Bonds by the Authority must be approved by the County because the
Project is located within the territorial limits of the County;
WHEREAS, the Board is the elected legislative body of the County and is one of the
applicable elected representatives required to approve the issuance of the Bonds as a member the
Authority under section 147(f) of the Cade; the Bonds will be issued by the Authority and the
County will have no obligations with respect thereto;
WHEREAS, the Authority has requested that the Board approve the issuance of the
Bonds by the Authority in order to satisfy the public approval requirement of section 147(f} of
the Code and the requirements of Section 9 of the Amended and Restated Joint Exercise of
Powers Agreement, dated as of September 1, 1988 (the "Agreement"), among certain local
agencies, including the County; and
WHEREAS, ptu-suant to section 147(1) of the Code, the Board has, following notice duly
Qiven, held a public hearing regarding the issuance of the Bonds, and now desires to approve the
issuance of the Bonds by the Authority;
NOW THEREFOKE, BE IT RESOLVED by the Board of Supervisors of the County
of Butte, as follows:
Section 1. The Board hereby approves the issuance of the Bonds by the Authority. It is the
purpose and intent of the Board that this resolution constitute approval of the issuance of the
Bonds by the Authority, for the purposes of (a) section 147(f) of the Code by the app]icable
elected representative of the governmental unit having jurisdiction over the area in which the
Project is to be located, in accordance with said section 147(f), and {b) Section 9 of the
Agreement.
Section 2. The officers of the County are hereby authorized and directed, jointly and
severally, to da any and all things and to execute and deliver any and all documents which they
deem necessary or advisable in order to carry out, give effect to and comply with the terms and
intent of this resolution and the financing transaction approved hereby.
Section 3. This resolution shall take effect immediately upon its adoption.
PASSED AND ADOPTED by the Butte County Board of Supervisors this 18`h day of
November 2003 by the following vote:
AYES: Supervisors Dolan, Houx, Yamaguchi and Chair Beeler
NOES: None
ABSENT: Supervisor Josiassen
NOT VOTING: None -
