Youth With A Mission -Springs of Living Water is a conference grounds at Richardson Springs, Chico. They provide accommodations and meals for conference participants. The Butte County Department of Behavioral Health requests approval from the Board of Supervisors to enter into an agreement with Youth With A Mission -Springs of Living Water to provide accommodations and meals for high school students attending the High School Reach for the Future Conference. The term of the agreement will begin March 7, 2013 and will terminate March 9, 2013. The maximum financial obligation under this agreement shall not exceed $34,829. Fiscal Impact: This contract will be funded by Substance Abuse Prevention and Treatment (SAPT)funding and Mental Health Services Act (MHSA)funding. There is no impact to the County General Fund. Personnel Impact: Does not apply. Action Requested: Approve the agreement and authorize the Chair to sign subject to review by County Counsel and Auditor-Controller. Guaranteed minimum number:125 Maximum number:357 5. The above guarantee may not be changed except by a written mutual agreement between Youth With A Mission(hereafter referred to as YWAM) and my group. Permission must be granted by the Conference Director to exceed the maximum number. 6. We(the above named group/conference)agree to inform YWAM of the final actual number of conferees that will be in attendance no later than 7 days prior to the start of the conference. 7. We agree to pay the full minimum amount due even if our conference falls below the guaranteed minimum for part or all of our conference. We understand YWAM may have refused other groups'use of the facilities based on the guaranteed minimum attendance in this agreement. 8. The group rate: 40 persons or less N/A The rate per person: 41 persons or more For 2 nights and 6 meals Final count must be confirmed by 7 days prior to start of the conference,whereby a Pre-Invoice Billing will be generated to assist your final payment. Assigned Housing: to be confirmed by February 21,2013 Assigned Meeting Rooms:to be confirmed by February 21,2013 9. The minimum amount due is1$ 1,250. The maximum amount due shall not exceed$34,829. A contract amendment shall be required if total charges exceed the maximum amount due. Final itemized invoice shall be calculated using the rate specified in Item 8 above and the following: Unscheduled meals: Breakfast$6.00, Lunch$7.00,Dinner$8.00;Extra night charge: $40 per person;Speaker lodging charge: $40 per person per night for full service; Projector use:$70;Copies: $.15 per copy;$2.50 per fax;Transient Occupancy Tax: 2.4%. 11. The Advance Deposit of$1,125(10%of m minum amount due)shall be paid within 15 days of full execution of this Agreement and receipt of a YWAM generated invoice. 12. By beginning of conference,balance of minimum amount due less advance deposit will be remitted. Upon receipt of the final itemized invoice for total incurred charges,any remaining balance will be paid within 30 days. 13. Cancellation of this contract after January 17,2013 will result in forfeiture of the entire deposit. We understand this is necessary due to loss of revenue to YWAM through inability to fill the vacancy caused by our short notice of cancellation. 14. We agree that the purpose of this dual indemnity clause is to provide security against damage,loss,or injury to both of the parties to this Conference Agreement. Therefore,to the extent permitted by law under the provision of California Civil Code Section 1668,the parties to this Conference Agreement shall indemnify and hold each other,their employees and agents harmless from any injury,losses,damages,claims,demands, liability or causes of action,related to or arising from this Conference Agreement.Group(County)shall,at its own expense,and for the duration of this Conference Agreement,maintain and keep in full force and effect,sufficient funding within the self-insurance program to maintain a minimum of(One Million)$1,000,000.00 per occurrence of Excess General Liability,Automobile Liability and Worker's Compensation Insurance and to adequately cover all personal property belonging to the Group(County). No less than thirty(30)days prior to the Conference beginning date Group (County)shall deliver to YWAM for their approval certificates of insurance with proper endorsements attached,affecting coverage required by this section,naming YWAM as additional insured,but only with respect to liability related to or arising out of this Conference Agreement. Certificates of insurance shall state that the insuring agency agrees to deliver timely notice to YWAM should any of the policies described herein be cancelled. 15. We agree that the essential purposes of our conference are in harmony with those of Youth With A Mission as stated on the reverse hereof. YWAM acknowledges that their clients,and/or conferees,may or may not endorse the same doctrines as YWAM.However,notwithstanding the above,the objective of this conference is similar to that of Y WAM,as we understand it,and that it espouses the adoption of an alcohol and drug free lifestyle which in turn makes possible a high sense of morality in the participant. 16. We further agree to comply faithfully with the policies of YWAM as described on the reverse hereof. The signer of this contract also accepts responsibility for the compliance to these policies by all conferees. 17. We understand that this agreement shall be legally binding when signed by an authorized representative of our group/conference,and officially signed and accepted by a representative of Y WAM. This agreement is contingent upon approval by the Butte County Board of Supervisors. Page 2 of 3 THE FOLLOWING RULES AND REGULATIONS ARE DEEMED PART OF THE CONFERENCE AGREEMENT ON THE PRECEDING PAGE. COMMUNICATION AND ENFORCEMENT OF SAME SHALL BE THE RESPONSIBILITY OF THE PERSON NAMED IN Lb(on front page) 1.COUNSELOR RATIO for youth groups,high school and younger must not exceed eight conferees per counselor. Applicant is requested to provide the names and ages of counselors upon arrival. 2. REGISTRATION PROCEDURE a. The Registrar is required to present YWAM the completed registration forms the night before your departure. b. Registration cards hearing the name and address of each conferee must be filled out and submitted to the office to comply with the law. At that time keys to accommodations will be given out. c. All groups are asked to forward to YWAM Reservations copies of all publicity as distributed and to submit a detailed schedule of the conference one week in advance of the conference. 3. FOOD SERVICE a.Meal times for your conference are as follows: 8:00 AM breakfast,12:00 PM lunch and 5:30 dinner except Friday dinner which is 6.00pm. b. Name badges afford admittance to the dining room. c. Since food is served buffet style for the first half-hour of each meal,promptness is essential. d. No reduction in cost is possible because ofmissed meals. e. Arrangements must be made in advance with the YWAM Conference Director if programs beyond ten minutes duration are planned for around the tables following meals. 4. C URFE W HOUR is 11:00 PM to respect our guests who are here to study and meditate and our neighbors who are adjacent to our property. 5. DUE CAUTION is to be advised by leader of group to all conferees in view of the hilly nature of the grounds,especially on the hail system. Your group should be warned of poison oak. 6. SMOKING: Though YWAM recognizes that some people smoke,we request that group leaders discourage smoking for reasons of fire safety and health. SMOKING IS NOT PERMITTED IN ANY BUILDING OR ROOM AT THE FACILITY. SMOKING IS ALLOWED ON THE WEST END OF THE VERANDA OF THE HOTEL ONLY. 7. ALCOHOL AND DRUGS: Alcoholic beverages and illegal drugs are not permitted at Youth With A Mission Northern California Conference Center. 8. SALE OF MERCHANDISE: Permission must be obtained in advance for the sale of literature and other articles,and shall be subject to 10% gross sales to remuneration to YWAM. An accounting shall be submitted to YWAM at the conclusion of the conference. 9. APPLICANT agrees to share rights to the facilities when the minimum number contacted is less than 150. 10. COOPERATION: THE YWAM STAFF pledges to assist and serve the conference in every way possible. A representative of YWAM will assist in any necessary explanation of camp procedures. The applicant agrees to uphold the regulations and spirit of YWAM,taking notice of appropriate use of the facilities and reasonable closing time 11. NO PETS are to be brought to the conferences. 12. CHECK-IN TIME for all conferees is 3:00 PM and CHECK-OUT TIME for all conferees is no later than 12:00 noon unless prior arrangements have been made. 13. THE GROUP hereby concurs in the basic STATEMENT OF PURPOSE adopted by YWAM and agrees that its program content will uphold, rather than detract from these principles of faith. YOUTH WITH A MISSION STATEMENT OF PURPOSE YOUTH WITH A MISSION(YWAM)is an international movement of Christians from many denominations dedicated to presenting Jesus Christ personally to this generation,to mobilizing as many as possible to help in this task,and to the paining and equipping of believers for their part in fulfilling the Great Commission. As Christians of God's Kingdom,we are called to love,worship and obey our Lord,to love and serve His body,the Church,and to present the whole Gospel for the whole man throughout the whole world. We,in Youth With A Mission,believe that the Bible is God's inspired and authoritative word,revealing that Jesus Christ is God's Son,that man is created in God's image,that He created us to have eternal life through Jesus Christ,that although all men have sinned and come short of God's glory, God has made salvation possible through the death on the cross and resurrection of Jesus Christ,that the repentance,faith,love and obedience are fitting responses to God's initiative of grace towards us,that God desires all men to be saved and to come to the knowledge of the hath,and that the Holy Spirit's power is demonstrated in and though us for the accomplishing of Christ's last commandment:"...go ye into all the world,and preach the gospel to every creature."(Mark 16:15).
