The Butte County Association of Governments is created to establish an agency by cooperative agreement among its members, whereby discussion, study and the preparation of long-range general plans for the physical development of the county in those problems and needs which require action on an area-wide basis, can be most effectively and expeditiously developed. 2. The Butte County Association of Goverrunents is based upon the principle of equality of membership and nothing contained in these bylaws shall authorize the association to intervene in matters which are strictly within the jurisdiction of any member without its consent. 3. The Butte County Association of Governments is not intended to be in any farm a substitute for local government. Its prime purpose is an organization through which individual governmental units can work with other governmental units on area-wide problems and coordinate their efforts. Article I - Functions The functions of the Butte County Association of Governments are as follows: 1. To provide an association for discussion and study of area-wide prablems of mutual interest to the member governments. 2. To insure through cooperation, coordination, and the pooling of common resources, maximum efficiency and economy in governmental aperations. ` 3. To inventory, classify and identify problems that amy be solved through a comprehensive plan involving multi-city and county cooperation. 4. To facilitate actions and agreements among the governmental units for specific project development. 5. To provide for the adoption of common policies ..with respect to problems which are common to the various members of the association. Article II - Definitions 9 10' 11 12° 13 1~ 7.5 as' 17 18' 19 20 21 22 23 24 25 26 27 28 29 30 31 32 For the purpose of these bylaws certain terms and words are herein defined: 1. Association - Association means the Butte County Association of Governments. 2. Voting Member - Voting Member means the elected repre- sentatives of the incorporated cities and the members of the County Board of Supervisors. 3. Secretary - Secretary means the administrative staff of the Association. She County Administrative Officer is ex-officio secretary of the Association. 4. Standing Committees - Standing Committees shall mean the permanent committees formed to conduct studies and projects on a continuing basis. 5. S ep cial Committees -Special Committees shall mean committees formed on a temporary basis for special studies and proj ects. Article III - Membership The membership of the Butte County Association of Governments shall be composed from the political entities of Butte County as follows: a. Butte County,.City of Biggs, City of Chico, City of Gridley, and City of flroville. b. The Voting Members shall be the Butte County Board of Supervisors and one Elected Official from each of the Incorporated Cities. c. No persons shall be eligible for appointment as a Voting Member to the Association unless he is serving in an elected position in a member governmental jurisdiction. d. Any representative of the Association who shall for any reason, no longer be in the service of a member - 2 - 1 2 3 4 5 6 7 8 9 10' 11 12 13 i4 15 16 17 18 19 20 21 22 23 24 25 26 2'7 28 29 30 33. 32 governmental jurisdiction shall have his position vacated automatically and such vacancy shall be filled as prescribed in that certain joint powers agreement dated April 15, 1969. Article 1V - Meetings Regular meetings of the Association shall be held at least .once each calendar quarter and special meetings may be called by 'the Chairman upon request of a member of the Association. a. The time, date, and location of regular meetings shall be determined by the Association. b. Notice of regular or special meetings shall be given to the official representatives at least five days prior to each meeting and accompanying the notice shall be an agenda specifying the subject of the meeting. co The Association may adopt its own rules and procedures for their meetings. d. The Standing and Special Committees shall meet on the call of their Chairman with notification to the committee two days prior to the meeting. Article V - Powers The powers of the Association shall include, but not be limited to the following: a. The formulation of policy decisions and the determina- . tions of policy matters. b. The approval and adoption of a budget for each fiscal year. c. The initiation and/or request for studies to be undertaken by any method deemed appropriate. d. The appointment of such Standing and Special Committees as considered necessary for the purpose of the Association. e. Article Vi - Voting Voting on the Association shall be conducted in the following manner: a. A majority of the members shall constitute a quorum. b. Each political subdivision shall have the authority to designate an alternate to represent said member; however, such designation must be in writing and submitted to the secretary two days in advance of such meeting, c. When a quorum is present at any meeting, the vote of a majority of the members present shall decide any ques- tions brought before such meeting. Article VII - Officers The Officers of the Association shall be as follows: a. A Chairman and Vice-Chairman shall be chosen by a majority of the members from its own membership. b. The officers shall hold office for a one-year term. c. Upon a vacancy occurring in the office of Chairman, the Vice-Chairman shall automatically become Chairman for the balance of the unexpired term. d. Upon a vacancy occurring in the office of Vice-Chairman, the members shall select a Vice-Chairman to serve the balance of the unexpired term. Article VIII - Finance The fiscal year of the Association shall commence on July 1. a. The Association shall prepare annually a budget for the ensuing fiscal year and shall, prior to March 1 of each year, submit the same for ratification to the governing body of each participating entity which contributes to the budget. The County of Butte and incorporated cities shall be the contributing entities and, upon ratification of such budget, each such contributing entity shall - 4 - l finance that pardon of the budget the funds for which 2; are not made available through grant, gift, or other 3 source pursuant to California Statutes, or other law. 4 b. It is assumed that, from time to time, special assess- 5 ments for planning and related activities and projects 6, will be necessary. Such special assessments shall be 9 made upon those entities which are directly benefited 8: by the plan ar project and according to an agreement 9 with the benefiting entities. The use of employees of IO the benefiting entities shall be taken into considera- 11. Lion when determining their respective shares of such 12 special assessments. 13 c. The Association may employ consultants when the costs of 14 such employment are budgeted or, in the case of a project 15 for which special assessments are to be levied pursuant is to Paragraph B of this Article, when the entities bene- 17 Elting from such project shall have agreed to bear the lg ..: casts of such employment. lg d. Any expenditures in accord with the approved budget for 2p which funds are allocated shall be approved by the As- 21 sociation and disbursed by the County. 22 e. Any member whose annual dues have not been paid within g3 three months after the commencement of the new fiscal 24 year, shall not be entitled to vote or participate at 2g any meeting until said dues are paid. 2g f. An annual audit shall be made by the County Auditor at 27 the end of each fiscal year and the report made available 2g to ail members. Zg Article IX - Secretary 30 a. The Secretary shall maintain the correspondence, 37: library, records, and archives of the Association. 32 b. The Secretary shall furnish the necessary staff support for the Association. Article X - Withdrawal This Cooperative Agreement may be terminated prior to the expiration of such term by any entity a part hereto, provided said entity gives the Association thirty (30) days written notice of said entity's intent to withdraw. In the event an entity does wit draw, the Association shall continue at the discretion of the re- maining entities party hereto, and provided further, that such termination shall not be effective unless. and until adequate pro- visions shall have been made for the assumption by the then par- ticipating political subdivisions of all outstanding indebtedness and/or contractual obligations of the Association theretofore in- curred, which said provisions for assumption shall have first been accepted in writing by the obligees of such obligations Article XI - Amendments Amendments to these bylaws malt.. be proposed by any official representative, acid may be amended by a majority vote of the total membership; provided the proposed amendment shall have been submitted in writing to the Secretary and the Secretary shall submit the proposed amendment to each member at least fifteen days prior to a meeting. Article XII - Effective date These bylaws shall become effective immediately upon the passage of the Cooperative Agreement by all members of the Association. - 6 -
