RESOLUTION APPROVING AGREEMENT AND
AUTHORIZING CHAIRMAN TO SIGN
WHEREAS, this board wishes to enter into an agreement with
the Division of Highways, State of California with regards to
sharing of cost for maintenance of traffic signals and intersection
lighting on state highways; and
WHEREAS, said agreement has been prepared and is attached
hereto as Exhibit "A",
NOW, THEREFORE, BE IT RESOLVED by the Board of Supervisors of
the County of Butte, State of California, that this board approves
said agreement attached hereto as Exhibit "A", and the chairman
of this board is hereby authorized to execute said agreement on
behalf of the County of Butte.
PASSED AND ADOPTED by the Board of Supervisors of the County
of Butte, State of California, this 19th day of August, 1969, by
the following voter

AGREEMENT FOR MAINTENANCE OF TRAFFIC SIGNALS AND
INTERSECTION LIGHTING ON STATE HIGHWAYS IN THE
COUNTY OF BUTTE
THIS AGREEMENT, made and executed this ~ 2~ day of
?~ , 19~, by and between the Department of Public
rks f the State of California, acting by and through the
Division of Highways, hereinafter called the "Department" and
the County of Butte , hereinafter referred to as "County".
WITNESSETH:
RECITALS:
The parties, pursuant to the provisions of Section 130
of the Streets and Highways Code, desire to apportion the expense
of maintenance of certain approved traffic signals and highway
lighting facilities at the intersection of county roads and State

Highways within the County, and to arrange herein for the particular
maintenance functions to be performed by the County and the Department
and to specify the distribution of the costs of such maintenance
between the respective parties.
AGREEMENT:
This Agreement shall supersede all previous agreements
with respect to maintenance of traffic signals and intersection
lighting.
In consideration of the mutual covenants and promises
herein contained, it is agreed:

1. The County will furnish service for or perform such
maintenance work as is specifically delegated to it and the
Department will .furnish service for or perform the work not
otherwise assigned to the County, all as shown in Exhibit "A"
attached hereto.

2. Routine maintenance work to be performed will include
patrolling, furnishing of electric energy and the necessary repairs
or replacements as required to insure a satisfactory service.
Installation of additional facilities is not a maintenance function
under provision of this Agreement.
3. The agency to perform the maintenance work or provide
the required service shall be as indicated in said Exhibit "A".
The percentage of costs to be borne by the agency performing the
maintenance or providing the service shall be in accordance with
that shown in said Exhibit "A".
~. It is agreed that estimated monthly rates sha11 be
established for operation and maintenance of Traffic Signals and
Flashers based on cost per unit. The unit cost and monthly rate
for work to be performed by the Department will include overhead
and administrative charges in accordance with the State Adminis-
trative Manual. It is also agreed than an estimated monthly rate
shall be established for maintenance and energy costs of each type
of intersection light.
It is further agreed that said estimated monthly rates
shall be revised or adjusted as of June 30th of each year if
necessary to insure an equitable annual cast.
St is agreed that the estimated monthly rates applicable
to each intersection, as~shown on Exhibit "A", shall apply to the
period July 1st through June 30th.

S. TRAFFIC SIGNALS. The basis of sharing. operation

and maintenance costs of signals shall be in the same ratio that
the number of intersecting County roads bears to the total number
of intersecting County roads and State Highways. Flashers or
other electrically operated traffic control or warning devices
are also included under this section.
6. HIGHWAY LIGHTING. Where highway lighting has been
specifically approved~at an intersection, the maintenance and
energy costs thereon shall be shared between the Department and
the County in the same ratio that the number of intersecting
County roads bears to the total number of intersecting County
roads and State Highways.
7. Sills for routine maintenance as defined above sha11
be submitted semi-annually on December 31st and June 30th of each
year. Billings sha11 be in accordance with that shown on said
Exhibit "A",
8. Extraordinary expense, such as for repair or re-
placement of extensive damage, shall. be assessed directly against r
the particular installation 3nvolvecl. Billings far such costs
shall be a.temized as to materials, including service and expense,
salaries and wages, and equipment rental.
9. LEGAL RELATIONS AND RESPONSIBILITIES: Nothing in
the provisions of this Agreement is intended to affect the legal
liability of either party. to the contract by imposing any standard
of care respecting the maintenance of State Highways. different
from the standard of care imposed by law.

It is understood and agreed that neither the State, they
Department, nor any officer or employee thereof is responsible
for any damage or liability occurring by reason of anything done
or omitted to be done by the County under or in connection with
any work, authority or jurisdiction delegated to the County under
this Agreement for Maintenance. Tt is also understood and agreed
that, pursuant to Government Code Section 895.x, the County sha11
fully indemnify and hold the State harmless from any damage or
liability occurring by reason of anything done or omitted to be
done by the County under or in connection with any work, authority
or jurisdiction delegated to the County under this Agreement.
It is understood and agreed that neither the County nor
any officer or employee thereof, is responsible for any damage or
liability occurring by reason of anything done or omitted to be
done by the Department under or in connection with any work,
authority or jurisdiction not delegated to the County under this
Agreement for Maintenance.. It is also understood and agreed that,
pursuant to Government Code•Section 895.x•, the Department shall
fully indemnify and hold the-County harmless from any damage or
liablllty occurring by reason of anything done or omitted to be
done by the Department under or in connection with any work,
authority or jurisdiction not delegated to the County under this
Agreement.
10. It is agreed that upon approval of the parties
hereto, acting by and through their authorized representatives,
signal installation and/or intersection lighting facilities, for
maintenance purposes, may be deleted from or added to this
Agreement by submittal of revised Exhibit "A", which shah

become part of said Agreement and shall supersede and cancel all
previous exhibits. For purposes of this paragraph, County hereby
designates its as its duly authorized
representative.
11. This Agreement shall become effective this 1st
day of Jul , 19,b~, and shall remain in full force and effect
until terminated upon thirty days notice by either party.
IN WITNESS WHEREOF, the parties hereto have set their
hands and seals the day and year first above written.
