subdi.visi.an af the State of CaZigornia, hereinafter cal.led I'irst
Party, and P~URRAY & MCCORiViiCIC, ~NC. , a California corpora~ion,
her~inaf~er called Second Party;

That for and in consaderation of th~ muEual covenants
and agreements herein contained, the parties hereto agree as ~ollows:
1. Fixs~ Party proposes to initiate speciai assess--
men~ proceedings for the imp~ovements and acquisitions to be
made in Parac3ise Pin~s Uni~s No. 5 and 6 Assessment District, County.
of Butt~, State of Ca~ifornia.
2. First Farty employs Second Party as Project Engineer
for the doing of all necessary work and exercising all engineer-
ing func~ions provided for by the provisians of the Municipal
Improvement Act of 1913 in connection wi~h the said improvezn~nts and
acquisitions to be made in said district. Said services shall
include the fo~.lowing:
a. Doinq of a].]. necessary e~iqineerinq work and
~xercising of all engineering f~nctions pro-
vided for under the provS.sions of ~.he Muni-
cipal Improvement Acc of 1913; ~
b. Prepazati.on and furnishing nf all surv~ys,
original dxawings, maps and blueprints, plans •
~ and specifications, preparati.on af assessment
roll, assessment diac~ram, and anX.and all
other services wha.ch may be rec~uired under
the provisions of the said biunicipal Imprnve-
ment Act of 1913;
c. Supervision and direction cf all engineering
work reguxred to be ~aken by First Party or
i~s officexs, agents or e~playees, in con-
nectiion with said improvemen~s. Said du~ies
shall inalude furnishing, on oz befo~e the
da~e tixed for filing of ~he Engineer's
Re~ort, a list of the names and addresses _
of a~l property owners within the bound-
aries of the district as shown on ~he l~st
equalized roll for taxes or as kno~m ta
the Engineer. Said 1is~ sha~i include
coardination o~ ~he name and address with
~he assessment and dia~ram number, and the
proper descrzp~ion of ~he property or the
County Assessor's parce~ number of each lot,
piece, o~ parcel of land shown on the assess-
ment diagram, when appropriate.
d. Renditian of ganeral consultation and advice
to First Par~y, i~s officers, aqen~s, or
employees ~ai~h respect to the planning, pre-
paration and handling of all enqineering phases
of the a~o~esaid proceed~ngs;
e. Attendance at such confezences and public
meetings with Firs~ Party as may be reasonably
necessaxy to per~orm this con~ract of emplayment.
3. Second Party shall receive compensa~ion foz the
above services as tol~ows:
The sum of $ 58,855.00.
The above amount shall be paid by First Party out oP
the proceeds of assessmen~s levied and bonds to be issued in said
proceedings.
4. Tn the event said proceedings are not cazried ~hrough
to cnnclusion, or sha11 be abandoned, then Second Party shall
reaeive nothing.
IN WITNESS WIiEREO~, the parties have hereunto subscribed
~heir names, ~irst Party by i~s Chairman of the Board of Supervisors,
attested by its Coun~y Clerk the day and year in this agreement
~irst above written.
