aF Galifornia, hereinafter referred to as "COUNTY", and the STATE 0~" CALIFORNIA, acting
by and through the Division of H~ghways aF the Department of ~'ublic ~Vorks, hereinafter referred
tU AS "STATE".
WITNESSETH
WHEREAS, under the provisions of Title 23, United States Cade and other FederaI-aid
Highway Acts Federal funds are authorized to be apprapriated for expenditure on a system af
secondary roads to be selected by the state highway departments in cooperatian wath Iocal coad
officials, and such a system has besn selected and Federal fnnds ha~e been appropriated for
expenditure th~reon; and -
WHEREAS, as provided by ~he Secondary Highways Act, of 1951 (Section 220~ et seq, of
the Streets and Highways Code) Federal funds and certain tnatching manies from the State High-
way Fund ha~e been ~ apportioned to CounCy for the construction of the ~'edera]-aid secondary
system project selected by COUNTY in cooperataon with STATE and described in Exhibit "A"
hereto; and ~
FYHEREAS, under Federal Law, STATE is required to enter into an agreement with COUNTY
relati~e to prosecution of the sa3d proj~ct anci maintenance of the completed work.
NOW, THEREFORE, the parties agreE as follows:
ARTICLE T - Contract A~minis~ra~ion
J.. The project or projects described in Exhibit A, hereinafter referred ~o as "th~ project",
shali be constructed as provided in this agreement.
2..Constructian work shall be performed by contract. ~TATE shall make final preparations

3. Th~ ~stimated cast of the project is as shown in Exhibit A hereto. A contract for an
amount in excess of said estimate may bE awarded and project expenditures may exceed said

4. At any timE przor to the scheduled time for b~d opez~ing COUNTY may deposit with the
D'svision of Highways its share of the estimated cost specified in Exhibit A in order ta permit

posited whieh are in excess of requirements shalI he irr~mediately refunded to COUNTY. in any

3. ~Vhen STATE has determined that COUNTY'S right oP way acquisitian procedures meet
I'ederal requirements, COUNTY may claim reimbursement from ~'ederal and available State match-
ing funds for expenditures to purchase rights oF way specified in Exhibit "A".
~RTICLE iII - Enginearing
1. "Preliminary engineering" as used herein inc[udes all prelirr-inary wprk related to the
~raject, including but not restricted to preliminary surveys and reports, laboratory work, soil
investi~ations, preparation of plans, design, and advertising. "ConsLruction engineering" as
Used herein inc9udes actua~ inspection ared super~ision of construction work,construcLion staking,
laboratory and fie~d testing, field reparts and records, estimates, fina] reparts, and allawable
expenses of ~mployees engaged in such activities.
2. Pre~iminary and canstructian engineering costs included in the esti~nate cantained in
Exhibit A may i~e financed with project funds. The remainder oF such costs shali be financed by
COUNTY without reimbursement. Unless otherwise agreed, ~'ederal funds shail not participate
in the cost of engineering. «'hen preliminar,y engineering or canstruction engineering costs in-
curred ~y COUNTY are to he financed with pro3ect Func~s, STATE shaIl reimburse COUNTY for
services perfarrr-ed on the basis of the actual cost thereof to COL3NTY, including compensation
and expense of personnel workin~ on the pro~ect, required materiais, and automotive expense,
provided, however, that COUNTY shall contribute its general administrati~e and pverhead ex-
pense. Payments for such services shall be made by STATE upon recezpt of invoices from COUNTY
prepared in such Form and supported by such detail as may be prescribeci by STATE.
3. Unless the parties shall otherwise agree in writing, COUNTY'S employees shall perform
all engineering work. When preliminary or construction engineering far the project is performed
}~y STATE, charges therefor shall include an assessment on direct labor casts in aecordance
with Section 8755.1 of the State Aciministrati~e Manual. The portion of such charges not financed
with Federal funds or State-supplied matching funds shall be paid. fram funds af COUNTY de-
posited in advance for the purpose.
ARTICLE ~V - Miscellaneaus Pro~isions
1. This agreement shall have no Porce or effect~ unless and until the project is approvec~ by
tt~e United States, nor shall any af the Federal and State matching funds provided herein I~e
expended unIess and until the Federal Go~ernment has agreed and is obiSgated to rei~nburse
STATE in full for the amount of Federal funds to be expended.
2. In the e~ent that the project is Programmed on a stage constructian basis, COUNTY
shall complete the project to its final stage, with or withou~ Federal aid, at such t,irne as tra~fic
or o#,her canditions waerant and in a manner satisfactory to STATE. Should the work covered by
this agreement in~olve a bricige without approaches, withiza a period of two (2) years aFter com-
pletion af tE~e bridge COUNTY shall cause such approaches to be constructed, with or without
Federa.l aid, to design standards acceptable to STATE.
3. The cast of maintenance performed by COUNTY forces during any temporary suspension
of the ~vork may be charged to County Funds in the praject if such are availabie therefor.
