Backqround ' , 7.'he Butte County.Cpmmunity Hospital was designated : an Ente~prise FnnB`Activity by the Butte County Board oE Supervi.sors on July 5, 1966. Pursuant to recommendations cantained in a recent survey of"the Hospzta]., entitled "Alterna~cives E'or The Euture° dated December 15,.~970, the Board of Supervisors establis?~ed. a Board o~ Trustees for the Butte County Community Haspita3. and assigned to them the responsil~ility for the administration of Hospital affazrs and operations of.the ~Iospital facility as set forth in.Board o~ Supervisors Minutes (Items No. 71-73 and ~o. 71-333) adopted or January 12, 19'71 and February 23, ].971. 2. Duties and Pesponsibilities of the Soard of Trustees. The duties and:responsiAilities of tl~e Board of Trustees ir.clude but are not necessarily limited tv the follew-- ing: the administration and operation of the Butte . Caunty Commiinity Hospital with relation to co~amunity needs. b. Provi.de facili.ties, equipment and personnel. consistent with community needs`and writhin the Limi~s of fi.nancial avai.lability. ~ c. Maintain ,proper professionaI. standards in cari,ng for the sick. . ~ d. Coordinate professional interests with admi.nistzative, financial, and community need5. e. Provide adeq~a~e financing by securing income from servi~ces rendezed and/or by appro-- priations provided by the Board of Suparvisors. f. Maintain accurate records of Hospital finanaes and activities. g. Exe~cise business-like control of Hospital adm9.nistration and operations. h. ZI. . l. Board of Trustees • a. The Board of Trustees sha11 consist of seven members. Five members shall be se3.ected and appointed by the Board of Supezvisors for terms of three years; provided how- ' ever, that on the initial establishment of said Board, the five members so appointed shall draw by I.ot to fill one term o~ one year, two terms of two years, and two terms of three years, arid thereafter all terms shall be for three years. One member sha1.1. be selected by the Butte-G].enn Medical Society and appointed by the Board of Supervisors to serve for a tezm• of one year. The five members selected and appointed by the 8pard of Supervisors shall elect one member, who shalJ. be a member of the Butte County Community Hospi~Eal I~iedical Staff, fpr appointment by the Board of Supervisors to serve for a term.of one year from date of appointment. -3- . b. It is provided, however, that alI membess of the Board of Trustees serve at the pleasure of the Board of Supervisors and thus may be removed at the p~easure of the Boar@ of Supervisors.: ~ ' ' 2. Reaular Meetinas of the Board of Trustees The Board of Trustees shall mest regularl.y on the. second Wednesday of each month at the Butte County Community Haspital administrative offices at the hour of 7:30 o'clock p.m. ~ ~ 3. Special Meetin~s of the Board of Truste_es Special meetings of the Board of Trustees m~y be ca].led by the Chairman of the Board or by a majority af the members of the Boax~d by giving 1~Totice to sa~.d fellow members in writing at least 24 hours prior to said meeti.ng. SaiB special meetings may be held at the regular meeting place of the Board or at any other place within Butte County as may be ~s,pecified in sai~3 Notice of 9pecial Meeting. ~k. ~raanization of the Board of Trustees The Board of Trustees shall elect one member to ~ serve as Chair~nan for a term of one year, and oae member to serve as Vice Chairman who shall l.xkewise serve far a term of one year. Qt~orura and Conduct of Meetinqs. a. A majority of the members ot the Board of Trustees sha11 consitute a quorum for the conduct of business, provided however, that a majority vote of the total num3er o£~ Trustees shall be necessary on any action taken by the Board. ~ b. Meetings of the Board shall be conducted in an orderly manner based on "Roberts Ru].es oE Order Revised", pzovided, however, that no mem~er of the Board of Trustees may Y~e denied a vote by virtue of his position as Chairman or by any rule. c. The Chairman s~-iall conduct a11, meetings of the Baard of Trustees, and in ~-iis absence the Vice-Chairman shall so act. 6. Budget and Capital. Expenditure Requirements a. The Board of Trustees shall pzepare a budget for the Butte County Car,imun~ty Hospital for submission to and -5- approval of.the Board of Supervisors at such times as required by the County Administrati.ve Officer. ~ , ' b. The Board of Trustees shall advise and recommend to the Board ot Supervisoss such capital exper~ditures as may • be deemed necessary and/or desirable. 7. Conunittees • Various standing co~nittees inay be appointed at the discretion of the Soard af Trustees to provide information or advice to the Board.. The Chairman may also appoint, from ~ time to time, various committees for special purposes. $. l,iaison with Medical Staff - ~ The Board of '~rus~.ees s~all establish a formal neans of liaispn with the Medical Staf~ nf the Fiospita}~, preferabiy by a Soint Conference Committee. . 9. Remuneration foz Board of Trustee Members T'he members of the Board of Trustees shall be paid the sum of Twenty ($20,00) I]ollars per each meeting at~ended, and mileage and travel costs ,pursuan~ ~o ~he County Travel ResoJ.ution. . 10.
