WFIEZLFAS, the State has beeu apprwed as an agent of the U.S. I+arest Service €or tlze purpose of adrniniatering Title IV - Rural Development Act of 1972(pL 92-419) ltural Con~unity Fire Protection Program hereinafter referred to as R.D.A., and B. WHEREAS, the R.D.A. has made funds available to the State for re- distribution, under certain terms and canditi.ons to the Local Agencp,,to assist the i,ocal Agenny in upgrading the fire protection capabiliry of the Local Rgency, and C. WAEREAS, the Local Agency desires to participate in sai& R.D.A. NOW, TH~REFOR$, it is mvtually agreed tt~at: (a) The State wiil grant to the Local. Agency, from funds made available to the State by the Fed~ral Gov2r~ent, the sum of $~F,99~.~ ) 020576 pursuant to tern~s and conditions conta~ned ~n 5ection H below for specific projects identif9.ed in gchibit A attached hereto. Thia sum i.s the sole and maxi.mum payment which khe State wi.ll make purauant to thi.s Agreemeat. SBCTION I A. Any and all funda granted to the Locsl Agency under the terms of this Agreement, hereinsfter referred to as R.D.A. funds, sha.11 be matched, oa a dollar-for-dollar basis, €or each project listed on attachment/s hexeto identi- fied as Exhibit A. No amount of unpaid "contributed" or "volunteez" lahor Or services ak~all be used or con~fdered in calculating the amonat "... actuallq spent ..." by the Local Agencq. B. A pro,ject to be funded as contemplated hereuader i.s defi.ned as a dis- tinct function or two or more clpsely related functions designed or per€ormed -- -.__ .... to assist the Local,A,gency to organize, train axvl equip local forcea in xvsal areas and ea~anitiea to prevent, control and supprese fires ClireaCening life, resourees, snd :Improvementa within the con£ines of tlie area of operatian of the Local. Agency. C. In the event funds are advanced for two or more separate but c7.oseJ.y rel.ated projects, the cost aharing formula will be applied to the total cost o€ snch combined pra~ects. D. Funds advanced or otherwise paid to the Local Ageacy whi.ch are in excess of the amount "earned" by the Local Agextcq as conte~plated i.n SecC3.ons A, B, and C, above, shall be returned to Che State within 45 days after completion , o£ the project. E. The State reservea the right to examine and atudy records of the Locsl Agency which are re3.ative to a grant under this Agreement for a period ending four years a£ter the "completfon" of a project. F. In the event of any dispute over qualifqfng expenditures of the Local Agency, the dispute wi.11 be decided by the State and ite decfsion eltall be binding and final. G. In the event that the total cost of a£unded pro,~ect exceeds the e~- timate nf costs apon wrhich thie grant is made, the Local Agency rnay reapply for funds to cover the granC share of the actual "ovez' run". Ho~ver, tltere is no assurance that any such funda are or may be available. H. Expendi.ture of khe funds distr3buted by the State hereia is subject to the same iimitations as placed by Tit1e IV of Public Law 92-419, known as the Rura1 Development Act of 1972, upon expenditure of United Statea~t;overc~ent funds includix~g the provi.sions of the attached Sxhibit B. The parties hereto agree that the Loca1 Agency, its officers, emplopees, agents, aervants, contractors, voiunteers, patd ca11 firemen and others acting on beha7.f o£ the Loca1 Agency per~o~ing under the terms of thi.g ,AgreemenC, are not acting as officere or ~p].oyeea or agents of the State or the Federal Government. B. 'i'he T.ocal Agency agrees to defend, indemnify, eave and Ywld Insxmleas the State,as defined herein,.and the Departmeat of Coaservation~ their afficezs, agente and employeea, against any and all claims, demaada, causea of actio~, ox liability of any kind whatsoever ariaing out of the acta of the Local Agencyv, its agenta or employees in performance of any function prov~ided for under the terme of this Agreement. -3- ~2057b C. The texm of this Agreement is for a maximum period of one year from the date shown above not to exceed 45 ~3ays after a~ campletinn date s~t forth in ~xhibit A. rt may be exteroJed or ~nended by mutual conseat expressed in writing, subject to approvals reguired by law. D. The Local Agency shall aubmit to ehe State, prior to the texmination date provided in C above, a statement detailing the qual:Lfying expenditures made uuder Section ~ A above. E.
