1. That Etailroad he~•eby grants to Grantee the right to construct, reeonstruct, maintain and use a street o:~ k~igh~~: a5 .
hereinafCer termed "hightivay", upon and across the eea[ property described on the attachecl Fshibit "A".
2. The c•iehts herein g~•anted are expressly limited vertica]ly~ and shatl not extend beyond a plane paz•allel «•ith ancl
twenty (?Ol feet above the roadcvay sur€ace of the highway as oz•iginally constructed, except that lighting fi.~ture~ and sinu-
lar highway appurtenances may exEend above said plane, provided that any such facilities will be removed or rearranged
u•ithin thirty (30) days after notification from Railroad that such fiacilities interfere ~vith Railroad's intended use of the
space aboce said plane.
3. This ~•ant is subject and subordinate to the prior right of Raih•oad, its successors and assigns, to use all the pro-
perty desci•ibed in the performance of its duty as a common carriei•, and there is rese-ved unto Railroad, its successoi~ and
assigns, the right to construct, rewnstruct, maintain, use and temove existing and future transportation, communication,
po~ver and pipeline k'acilities in, upon, over, ^nder, across or along said property. In the event Railroad trackage f~tcilities
are removed €rom said propei~ty, Railroad shall not be obligated to make any change in the grade of said hiahcvay, nor
shall such removal affect Railroad's title to the underlying progerty.
This grant is subjeet to all licenses, leases, easements, restrictions, conditions, covenants, encumbrances, iiera and
claims of title ~rhich may affect said property, and the ~vord "grant" shall not be construed as a coven•ant agair~t the
existence thereof.
4. The rights herein granted shall lapse and becorne void if the construction or reconstruction of said high~cay i; not
commenced within t~tiro (2) 5~ears from the date £irsC herein ~vritte~.
5. This grant shall not be construed as con~eying or othettivise vesting in Grantee the right to install or to authoe•ize
the installation of any ditches, pipes, drains, se.aer or underat•ound structures, or the facilities of any telegraph. telephane
or electric po~ve~• lines in, upon, over, under, acx•os= ot' along said property, except as necessary for m2.intenance of said
highway. '
6. Grantee shall obtain any necessary gocecnmental authority to construct, reconstruct, maintain and lue said hightivay.
Any contractor performing ~c•ork on the pi•operty hei•ein described shall execute Raitroad's standard form of contractor's
agreement prior to commeneing any woe•k on Railroad's premises.
7. Except as herein otherwise provided, Grantee shall bear the entire expense o£ constructing, ~'econstructing and main-
t<'t;ning said highc~~ay. The crossing of said high~cay over an~ tracks of Raitroad shall be constructed and main~ained at the
grade of said tz•acks no~s or hereafter existing. After tlze consttvction oe reconstruction of said high~~•ay has been cumpletecl,
~iailroacl sha1l maintain the surface of that poi~tion of said highway betn-een lines two (2) feet outside the rails of each ~rack
located thereon. Should Railroad abandon tracks Eeading tr.~ said highway, kailroad may abandon its rails, ties ar.d ~x~n~.u•te-
nant materials and leave same in place. In such event, kailroxd shall not be liable for n~aintenance of the portion r..f said
high~vay snecifiecl above.
8. As pai~ consideration hei•efor, GranCee agrees to pay~~ilroad an amount equal to all assessments leeied by~ a:~s
laccfu[ hocly against the property of Railroad to de£ray any part of the expense incurred in eonneetion «~iEh tl~e constr:~c!ion
or reconstr~.~ction of said highway commenced ~~•iChin t~~~o (?~) years from the date first herein ~c-ritten.
9. Sliould Grantee at any time abandon the use of said n1•opei•ty ox• any part thereof, or fail to use tne same fo~• saiu
putPose for a continnous period of one {l) y~ehr, the rig}tts granted shall cease to the extent of the use so 2I38ri~1G'l~~l 03~

property u~ P.ailroad, to restore said property as nearty as practicable to the same state and condition in n-hich it exi;Ced
prior to construction o£ said highcvay, and to bear th2 expense thereof. Should Grantee in such event fail, neglect cr refuse
to so remove said high~vay and restore said propei•ty, sucii removal and t•estui•ation may 6e pei~formed by P.ailiroad at the
~pense o£ Grantee, ~vhich e~~;ense Gi~antee agrees to pay to Rliiroad upon demand.
