fringe parking, bicycle transportation, p~destrian waikways, and mass
transportation pro~ec~s; and

leg~sla~~or~ ~y which c~rta~n Federal funds authorized may be made
available for ~se on 3oca1 transportatior~ facilitfes ir~ accordance
with the ir~tent o~ Federal acts; and
WHEREAS, there exists a campellin~ need for impraver~ents or
restara~ion of roads, streets, highways, fringe parking, and public

WHEREAS, ~QCAL AGENCY and STATE t~erefore dESire to make use of
such FederaZ funds as may ~e made availab7e within the jurisdictionai

with respect to the right-of-way; and advertisement for a minirrwm
of 3 weeks prior ta bid opeRing, The contract ~ili be awarded by
~4CA~ AGENCY, ~ts agent, or by STA~E as may be de~ermined between
the parties pr~or to each projeCt advertisement.
5. When the IMPROYE~~NT or R~STORATIOH z~c~udes work ta be
perfarmed b~ a rai7road, t~e co~tract far such work sha~~ be entered
in~~ by LOCA~ AGENCY ar by STATE, as ~arties hereto agree. A con-
trafit entered into by LOCAL A&ENCY for such work m~st have priar
approval of STAT~. In either ~vent, LOCAL AGENCY shal] enter inta
an agre~ne~t with the ra~]road pravidi~g for maintenance of th~ pro-
tective dev~ces or ather facil~ties ~nstaited under the service
contract.
6. LOCAL A~E~CY shal~ provide or arrange for adequa~e super-
v~sion and inspection of each improvement, i~c~~ding contrac~s awarded
by STAT~. With prior State approval, surveying, inspection and test-
ing may be performed by a cons~it~ng engineer provided an emgloyee of
LOCAL AGENCY ~s in responsi.ble charge,
7. S~RT~ sha~l exercise genera1 supervision aver Federai-a~d
3mprovemen~s and ma~ d55UIll@ full a~d direct control over the pro~~c~
whenever STAT~, at its sole discretion, sha~l determine that its
responsib~lity to the United States so req~ires. LOCAL AGENCY
contracts shall so stipulate.
ARTICLE III - ~IGHTS-4F-WAY
1. Nv co~tract for the canstruction af a Federal-aid IMPRaVE-
~~NT or RESTORA~ION project shali be awarded until the necessary
rig~ts-of-way have been s~cured. Pr~or to the advertising o€ a pro~-
ec~ a~ a lacal street, 40CAL AGENCY shali certify and upon request
shaii ~urnfsh STATE with evidence that ~ecessary rights-of-way are
availab7e ~ar constructio~ purposes or will b~ available by the time
of contrac~ award.
2. LOCP-L AGENCY agrees ~o hold STATE harmless from any lia-
bil~ty which may result ~n t~e event the right-of-way is not clear
as c~r~ified, '~he furnishing of r9ght-af-way as provided for herefn
inciudes, in additivn ~o all real pro~erty req~tired for t~e improve-
ment free and clear of obstructi~ar~5 and encumbrances affecting the

disp~acement, and that LOCAl. AGENCY's re7ocatiar~ program is r~a]~stic
and is adequate to provide orderly, timely and effici~nt re7ocation
af displaced persons for the project as provided in FHPM 7-5.
ARTICLE IV w FIS~AL PRQVISI4~iS
]. When a Federal-aid IMPROYEMENT or R~STORRTIO~ cantrac~ is
to be awarded by STRTE, matc~ir~g funds wil7 be provtded by LOCAL AG~IVCY
prior to the time that s~ach fur~ds are required ta reimburse contractor.

2. The estimated tota~ cost of Federal-a~d projects, the amaunts
of Federal-aad progrart~ed, and the r~atch~ng amounts agreed upon may be

adjusted by mutua~ consent of the parties hereta, provided fu~ds are
available to cover increases and ~rovided Federa~ Mig~way Ad~i~istration
cancurs in any increase in th~ Federal-aid.

for Federal-a~d improvements, S7aTE w~~l pay ~ts agreed share a~d ff
permitted by State ~aw w~1~ adva~ce an amount equal to the 1ega1 pro
rata Federal share of ~he costs believed to he etig~b~e for participa-
~ion with Federal funds ar wi~l vouc~er Federal H~ghway Acfiinistration
for reimb~arsemer~t.

jn accordance with S~ction 8755.~ of t~e State Admini5trat~ve i~anual.
7t~e portion a~' such charges not financed wit~ Federal funds sha]1 be
paid from funds af LOCAL AG~NCY.
6. 5i~ould LOCAL AGENCY fail to pay manies due S'fATE within 30
days a~ demand or with~n s~ach other period as may ~e agreed between
the parties here~a, STA~~, a~ting t~roug~ State Contro7'ler, may with-
hold a~ equal amount from future apportior3ments due LOCAL AG~~iCY from
the High~ray llsers Tax Fund.
7. Auditors of STATE and the F~ni~ed 5tates si~ali be given access
to LQ~AI. A~G~NCY's books and records ar~d sha~] be given s~c~ assista~ce
and informa~fon as ~s rec~uested for the p~rpose of checking casts paid,
or to be paid by S'~ATE hereunder.
ARTTCL.E V - MISCELLANEOUS PROYISIONS
1. This agreemer~t shail have no force or effect with respect
ta any project unless an~ until said project has been autharized by
the Federal Highway Ac~nninistration arsd a Program Sugptementa] Agre~-
ment has been executed.
2. '~he Congress of the Ur~ited States, the tegisiature a#' the
State of Catffornia, ar~d the Governor of the 5tate af California,
each witi~in their.respective ~urisdiction, have prescribed certatn
emplayment practices wi~h respect to cantract and other work ffnanc~d

3. 4~3~~ Federal funds are to participate in the cost flf work
done by a cansul~ari~a the agr~ernent or contract w~th the consultant
may not be exec~~ed or awa~ded until ~he selection of the consuitant

soo~ as agreement or cont~ac~ wi~~ consultant ~as been awarded, two
certif~ed copies of sa~d agreemer~t or con~ract shall be submitted to
