THIS AGREEMEHT, made and entered into tlnis ~~,st day of Ju1v ~

DepartmenC of Forestry, hereinafter cal7.ed Di.rec~or and/or State, with the appraval
of the Director of the Departmen~ of General Services, as authorized in Secti.nn
~142, 4143, and 4144 of khe California Public Resources Code, and
County of Butte ,`, a iocal agency existing vnder the laws of the
State of Calffornia, Chraugh iCS duly authari.zed ofEicers, hereinafter cal}.ed
Local Agency, whereby it is agreed as £oJ.].ows:

PURPOSE
The purgose of Ct~is contractual agreement is to arrange far the State tQ
provide Local Agencq wi.th fire protection servzces which wi3.1 f~l~ill Local Agency`s
Legal fire protection rasQonsi.bi.li~ies. 5uch a contrac~ual arrangement wi~,l. be
mutua~ly advantageous to hoth tkte Local Agency and Che State in that i.t wi1L
provide a+sniEied cooperaCi~e, integrated, and effecti~re ~i.re protection system
which will satisfy the combined Loca1 Agency-State respansibiii.ties to orotect
lives~ property, and ~aturai resources from wil.d~and fire damage.

STAT~ IN CkIARGE
A. The Directox wi~.l SEL~CC and employ a State Forest 0£ficer to represent both
parties during Che period oE this Agreement aad that O~~icer so se}.ected sha11, c~nder
the supervision and dzrection of the Direc~or or ~is ~.awful represen:tati~e, have
charge oE the organization described in Schedules A and B, attached hereto and made
a part hereo£~ for the puzpose af providing fire protection services as deemed neces-
sary to satisfy the needs o~ both the 5tate and of the Local t~ ency, except upon
those lands wherein oCher agencies of government have responsibility for the same
or simi~ar fire protecti.on services.
The State wi11 be aLlowed ~lexibility in ttte assignment of avail.able
;,erscnne~ and equzp~ent in arder to provide the fire protection servi.ces as agrze::
upon herein.
H. The State sha11 assume no responsibility for fire preventio~ or suppress'cn
on lands under the jurisdiction of Che United Scates gove~nment, (except ~nder such
canditi.ons as may be separately agreed upon by Che Sta[e and tha United States govern-
ment) or, ~ands w~ithin che corporate Iimits oE cities, (except undez suc:~ conditions
as may be separaCeZy agreed ~pon by the Statie and such Cities) or by t:~e Stata ana

STATE F~RE PROTECT~ON ORGAN~ZA~ION
Under the requirements of Sect~.on 4114 of the Californi.a Public Reso~rces
Cade, and any other pextinant provisians of law, the State maintains fire preventi.on
and fire fighting services incl~di.ng the neGessary persannei apQaratus, structures,
and coa~unications as outlined in the attached Scf~edUle B.

LOCAL AGENCY FYlt~ PROTECTION APPROPR~ATIONS
Any other funds appropriated by the Local Agency whzch are to be expended
under the s~perv~,sion of, or for the use o~E, a State Forest Officer for fire pretec-
tipn services during the term oE this Agreementi shall be set ou~ i.n this ~greement
and marked Schedu~.e C. This clause shall nat limiC the ri~ht oE Che Local ~.gancy
to make additional ex~enditures whe~hez under Schedule C or oCherwise. Any additional
expenditvres made by Cfne L,ocal. Agency shall not be made f~or the purposes af augmentinst
sa~.aries of State empZayees, or ta i~~rove upon woricing conditions ~or svch 5rate
employees not muCualiy agreed upon, The State may audi.t axey expendituras madE under
Scheduie C, ar otherwise, Co veri.fy t~e expenditures were made for the purpases
intended by the Local Agency.

COOPERATIV~ OPERATZONS
All fize protection wor~C contemplated under ehis Agz~eement sha~.l be done
by both parties to the Agreement working as one unit; ehereFore, personnel and
equipment, regard}~ess of whether they are incl~ded in 5chedule A or B, may be
temporarily dispatched elsewi~ere fram time to Cisne for mutual aid,

SELF-INSiT~iANCE INBENIN~FZCATI~N
Within any self-insured retention (deductible) of the insutance coverage
required under SecCion VIII and/or XVi, the Local Agency agrees Co defend, i.ndemnify,
and hald i~arml.ess~ the State, its em~loyees, of£icers, and servants for any and al~.
claims and suits arising un~er this Agreement, except those arising out of the sale
neol.igence or willful misconduct o~ the State. A certificatior. of se~..E-ins~rance
incarpora~ing these co~enants, ~.s included herein on Page 8. (If the Loca3. Agency
eiects Ca be ful~y or part2y sel€-insured, said certi.fication must be xil].ed-in and
si~ned by an o~ffcer of the Caunty.)

WOAKERS' COMPENSATION
Va~.unteers, pai.d-call Fi.remen or casual wozkers utilizad ~n lacaJ. responsi-
bi].ity fire contral by the State Farest Officer for the p~arposes o£ pre~entian and
suppression of fires shall he the responsibility of Che Iacal ,Agenc~ ~or Warlaers'
Comgensation in the event of injury or dea~h. In tha event State is assessed Eor
the payment of claims of said persons, Local Agency agrees to indemnxfy State far
tha full amoun.t so assessed. Tlz~ts responsibility af the Local Agency for Warkers'
Campensation shail com~e~ce fram the time of the iaiti.al dispatch until the volunteers,
gaid-call Firemen or casual workers are relieved from duty.

SUPPRESSION CaS'£ RECOV~RY
As provided in Section 13Q09 of the Hea}.th and SaEety Code, the State may
bra.ng acCion for co~.Zection of suppression costs of any ~ire suppressed on 5tate
responsibility lands during the term of this Agreemen[, When using equi~menC and
personne3, under the terms of this Agreement, tl~e 5tate may, on request o~ C:-~e Local
Agency, bri.ng action ~az collection oE costs borne by the Local Agency in whi,ch
Case the Loca}~ Agency appoints and designates the State as its agent ~.n said
collectioa proceedings. In the e~ent of recovery, the SCate wi~.l apporCion ta
CI~e Local Agency its pro-rata proportian oE recovery, less costs, inc~.uding J.egal
fees.

MiJTUAL ,AID
S,~hen rendering mutual aid or assistance as author3zed in Secrion I3050
and 13054, Hea1Ch and Safeey Cade, the Staee may, on ~equest of the Local. Agencv,
demand payment of charges and seeic reimbursemenr of Loca~ Agency costs £~r personnel
as fe~nded herein, under authority gf.ven by Secti.an 13051 and 13054, Health and
Safety Code. Ths State, in seeking sai.d reimbursement will represent the Local
Agency Sn ~o].Iowi,ng the procedures set forth in Section 13052, Hea1Ch and.Safety
Code. Any recovery, o~ Local Agency cosCS, less expenses, w111 be credited .to
Che Local Agency. ~

and use of the ~espectivE property oE each,

SERVECES SY S~ATE
The "arganizarian~' ~o be provi.ded by Sta~e, and the estimatad cost o£ services
to be performed by said "organizat9.on", and all. rela~ed costs, ara set ~orth in
ScE~edule(s) A,
A. All services and directly re~ated 2xpenses provided by the SCate for the
benefft of t~ie I,ocal Agency, btith year l.ang and seasonal, iz~c3.uding: S~ate equipmen~,
personnel and buildings; the operation and nsaf.ntenance of equi.pment provid~d by
the Lacai Agency; vclunteer or other local fire forces and all related expenses bo~ne
directly by the State and to be refmbursed by the Local Agency, shall be shown ~
separately and the tota~ o£ all. services and zelaCed costs s~al~ not exceed the amount
shown in Section II~, aforamantioned. Zn the case of services provided under Section
4143 and 414~+, Public Etesaurces Code, a separaGe Schedule A, marked "A-4144", sha~1
be used ta show the cost apQortionasent to be ctzarged to the i,ocal 9gency ~or the use
of State ec{uipment, personnel and buildings during the non-fire season. .
B. Certain State ~ire stations, and/ar those State furnished fi.re protection
activities {marked "W" on the attached Schedule A) will be provi.ded on a year round
3~asis. ~,aca1 Agency wz.ll reimburse State ~or a11 such "W" szaCions and/or services
furnished dur~.ng the "perioci covared" fndicaCed an the a~orementioned Schedule A.
State does not guaxantee that the J.evel of service to be pravided outside the
"peri.od covered" will always be the same ~s ~hat ta be provid~d during the "period
covered"; and, in order to provide an efEec~ive SCa~e-wide tire protection service,
State reserves the ri.ght to sen~, at any time, persanneL and/or equipment From any
"W" station to any other lacat~on as may be deemed necessary by S~ate.
C. The Local Agency agrees to pay th,e ac~ual cost of salaries, p~us rec~.xemene
and all oCher employee bene~zts, ~ar those personnel employed in accardance wi~h
SchedUl.e(s) A, except when "contract rates" are ind3.cated, Che rate sha~l be bas~d
on an average salary plus all benefits. "Contract rares" means an all-i:~c~usive
rate coveriag Cotal cosCS, per speci~ied position, eo the State ~ar pra~~i.aing ~w-hour
fire protection coveragE during the "period covered" estab~ished in Schedule A.
D. For fire protectian services provided under ScheduLe A-4144, tE~e disCribc`ion
of costs sha11 comply with 5ection ~+3.44, Public Resaurces Code. ,
E. 8eimbursemenr to the State may be paid ~rom any funds budgated without regard
to category and, i£ necessary, from any contingency item,
F. Records, bovks, eCC., sha11 be made avaiLab~.e for audiC by the I,ocal Agency
at tE~e Office of the Director of Forestry. For any services per£ormed direcCly by
the State or procured by the State for the LocaZ Agency, as contemplated under
Schedt~le A.

VEHICF.ES

~ "Local Agency-owned vehicles", as herein defined, shall meaa any vehicies
listed in saxd Schedules A and C, any other vehicles made avai.lable hy the Local
Agency, buC not i.ncZuding 5tate-ownad vehicJ.es, ~or Che performance of ~ire protec-
Cion services under this Agteement. A"State-awned vehicle" is anq vehicle awned
and regis~ered in the name of the SCaCe of Ca].i,fornia.
A. In the case ef State-owned vehic~.es aperated on behal~ of the Lacal Agency
and listed in Schedu~.e A, the agreed cost ot operation sha~l inc3.ude a].1 costs per-
taining to running, repairing, rep7.acing~ aad insuring the aforesaid vehicles.
B. In the case o£ ttse Local Agency-owned vehic}.es operated by the State on
isehalt ot the Lacal Agency for the agreed costs as seC forth in Schedule A:
(Z) The State Shatl;
a. Provf.de gasoline, oil, lubrfcation, batCeries, tixes, and tubes;
b. Repair, exchange oz rep~.ace, when necessary, ~otaxs, hases, pUmps, spoCli.ghts,
si.rens, fi,re exLinguishers, a~d all other accessories a~Fixed to or suppLied with the
aforesaid velticles when tha latter were accepted by the StatE for aperation under
Schedule A; excepting facilities or accessories not common to tne use of the State,
and radio ins~alla~ions original~y provided by the ~,acal Agency.. All sucE~ equfpment
provided and installed by the State shall became the prop~rty of the Local Agency aad
the rep].aced equipment removeri shall became the property ofr the State; and
c. Make svch reasanabie repairs to sai.d vehicles (buC naC a.ncluding painting) as
may be necessary za fceep the veh~.cles in operatiing condiCion; pravided, however, thae
the State may cease ~a make further repai.rs on any vehicie when the 5tiate determines
that the repair costs during the period nf this AgreemenC shall exceed $1a,000 for
any one incident, ar have.exceeded, the market va~ue of tlae vehicle. In the event
the State determiaes that a vehi.cle is nat fit for further use because af obsolescence or
a wreck, the State shall nat be required to repair the vehi.c~e or maintain it in use.
Upon such detErmination, the State sha11 i.nm~ediat~ly so notify the Local Agency, and
the Local ~gency shal]. have the option af replacing said vehicle or SCa~e shal.~ disconti.nue
Che particular service required as a res~Lt af i~s previous existence.
(2) The Local Agency snail:
a. Acquire, iicense, and make ava~lable tlte 5aid vehicles.

C. In the case of Lacal Agency owned vehicI.es provided by Local Agency, ~or
performance as contempJ.ated hereunder, but not included in Sc~edulE A: ,

care and maintenance of said veh~c~es.
(2) The Lncal Agency s~all assume fu11 responsi.bz3.ity for a11 casts associaCed
with tha acquisition, operation, use, care, mai.ntenance and rep].ac~ment o£ said veE~ic~es.
