Safety Code, the California Department of Housing and Community Deveiopment (herein-
after refierred to as the State) is authorized ta provide funds for the rehabil~tation
of housing in designated areas; and
WHEREP,S, the County of But~e (hereinaf~er referred to as the Local Entity),
a local public agency organized under the statu~es of the S~ate of Californ3a, is
eligible to receive said funds, and has applied to the S~ate of California for a
commitme-t of said funds.
NOW THEREFORE BE IT RESOLVED that the Local Entity be hereby authorized to
enter into Standard Agreement with the State to accept a commitment in the total amount
~ot to exceed $57,500 for the purposes of lending deferred payment loans for ~ousing
rehabilitation, subject to the terms of said agreement and to the ruies and regulations
governing the use of said funds; and ta accept $7,500 in grant funds for purposes of
administering said deferred payment loans for a total of $57,50~; and
BE TT FURTHER RESOLVED t~a"t the Local Entity be hereby authorized to enter
into appropriate documen~s with the State arrd that the Chairman of the Board of
Supervisors is hereby autharized to execute in the name of the Local Entity said
Standard Agreement, and other documents required to consumate this transactian.
BE IT FURTHER RESOL~ED that the Chairman of the Board of Supervisors is
hereby authorized to execute a]1 documents requTred to make and record each individual
1oan under ~his program to program participants.

lI. Promissory Note and Secur~ty

12. Protection o~ Security
In add~tion to the purposes set fort~ in Sec~ion 8 above, contractnr is
autharized to u~~lize f~nds cornm~~ted ay this car~tract wh~ch have no~
~ee~ loaned to borrowers to ~rotect the securi~y interest of tf~e State
artd/or t~re contracto~^ with respect to loans previously made by the
contractar under this program. Such use of funds may include the
reins~atement' or payrr~ent af defaulted a~i~gations of borrow~rs under
secured Toans or 7iens ser~ior in priori~y to tt~e loan made under t~is
program, incTuding a1I pa,yrnents necessary ~o avoi~ foreclas~re sa~~, or
the purchase of t~e secured prvperty where such is necessary ~o pratect
the interest of tt~e State and/or the con~ractar.

f. Funds for use pursuant ~a this sec~ion shaii be disbursed upon ~he
preser~tat~o~ hy eantactor to the State of an invoice which sE~alt
3nclude:
1. The proposed use a~ ~unds.
2. 'fl~~ total ama~nt re~uested.
3. The name and address of the pay~e of t~~ f~nds or ~i~e
beneficiary under the defaul~ed loan.
4. Such o~her informatior~ as req~ired by t~e State.
g. W~th regard ~o propert~es ac~uired hy cor~tractor through fore-
clasure or bid at a foreclosure saTe ut~~izir~g the funds aut~orized
by this sec~ion, .cor~tractar shal~ within thirty (30} days after
suci~ acquisition, a~ its d~scret~on, e~ther convey such acquired
proper~y ~o the State or cammence tne sale of suc}~ pro~erty. Any
suCf~ sa~e, shal~, ta ~~e ex~~nt feasible, ens~re ~hat s~afficie~t
f~nds are generated to repay aTl amo~nts expe~ded pursuant to this
section plus the original ~oan made under this prograrn. The
thirty-day t~me period may b~ extended with ti~e approva7 of the
State. The S~ate, at its discr2tiort, r~ay also approve an alternate
plan for the dis~osition of t~e property a~ ti~e request af tf~e
contrac~ar.
13. Accounts
a. If requested by tf~e State, ~t~e contractor agrees to deposit a1~1
funds received under tf~is agreement in a segregated accaunt in an
institution with deposits ir~sured by the Federal or tY~e State
go~ernmen~.
b. The contractor ~urther agrees to estabZish an its boaks a Oeferred-
Payment Rehabilitation Loan Acco~r~t which sna3~ be mair~~ained as
long as the loan abligation ta the Sta~e remains unsatisfied.
c. The contractor furth~r agrees to mainta~n r~cards ~hat accurately
and fui ~y show the date, amourtt, p~rpose, and payee of aY 1 expen~i -
t~res dr~awn on said account.

~x~ense of tt~e contractor.
f. 7he contractar fur~her agrees to adopt program accounting proce-
dures in order ~o ensure tha~ co~tractor's disbursals are proper.ly
expende~ by or on be~alf af the property owner inc~ud~ng estabiish-
~ng on-site i~s~ect~ons of rehabiiitation and repairs, using pro-
gress payme~ts to awr~ers and c~ntractors, and incor~orating other
procedures co~only ~sed by a reasanable and pru~e~t lender.
Re~~ests fflr Qisbursais of Funds
a. For eac~ dis~ursal of fur~ds frnm the Furtd, tE~e contractor agrees to
submit, in dupi~cate•and in a~orm determined by the S~ate, a w~^it-
t~n Req~est far Disbursal and to att ach to sazd reyuest any docu-
ments required by the S~ate.
b. '~he con~rac~ar s~a1.7 submit said request so as ta be received 6y
~ne State at least ~wenty (20) woricir~g days ~r~ar ~o the corrtrac-
tor's need for the f~nds.
c. if the corttractor has been awarded a grant for admini5trative
expenses, then con~raetor sha17 ut~iize such funds only fvr the
pur~os~s perr~itted by 2S Cal. Administration Co~e Section 7415 and~'
on7y ~n accordance with the ann~al budget set fart~t in Item IV o~ /
t~e Attachment 8.
Payrrtent of tfne sa~d grant shail be ~n quarterly ~ncrements. Pay-
ments may be r~ade in advarrce, upon subr~i ssi on by contrac~flr ta the
S~~t~ of a reques~ for admin~strat7ve grants on a forr~ appraved by
the Stat~. Contractar shaT~ maice suc~ reports on tt~e use of
ad~t~nistrative grants as re~uired by the State in con,~unction witf~
ti~e quarterly reports on loan commitments as otherwise required by
thi~ Agreement.
15. Disbursals
a. T~e Sta~e agrees to provide disbursa~s based or~ requests fram con-
traCtor, ort fflrms provided by the Sta~e. With each re~uest, the
Cantractnr s#~all certify that the funds requested sha11 be use~
only far the purposes a~thor~zed hy the statute, r~gulations, and
the Toari agreement.

16. GeneraT Terms af ~se of Funds
a, Contractor shall nat lend more than $5,000 per r~sidentia7 hotel
room or $10,000 of fu~ds from the F~nd on any oth~r dwelling uni~
repaired or rehab~.l itated, except that an additional a~a~ant up to
$iO,OQ~ may he ~ent far raam additians appraved by the contractar
in accardance wit~ t~e State's reguiat~ons. Contractor may use its
own funds or other funds, in additio~ to those fram tf~e ~und, if
necessary ~o complete any rehabtl~tation or repair activity. In no
circumstance shail the maximum deferred paymen~ loan, plus other
inde~te~ness against t~e property, exceed 90 percen~ a~ the
antieipated a~Fter-rehabi 1 itation va~ue o~ ti~~ property.
b. Funds from the Fund shaT1 be us~~ only for actual appraved rehabil-
itation and repair costs an ~ach subject property and shall not b~
used for governmentaT administrative costs, overhead costs, costs
of collect~an or foreclosure, ar o~her nan-rehabiTitation or non-
repair costs.
c. The total ioan cammitment from th~e ~und sha11 be committ~d to
borrowers by t~e contrac~or wi~hin ane year from the effective da~e
of th7s agre~ment unless, for goad cause showr~, t~e De~artment ~r~
writing, extends the period fot~ ]oan co~rrtni~me~r~. Such extension
may he for a max~mur~ of ar~e addit~ona7 year, Fail~are by contractor
to cammit Toans within t~e ti~ne permi~ted sha11 ca~nst~~~,te a breacf~
of this Agreement.
d. Funds from ~he Fund shall not be substituted for Tocal or other
~unds available to the contractor far sim~lar purposes. In addi-
tian, tn the ex~en~ feasibTe, funds from the Fund si~a17 be used
witn or as part af ~ocal f~nds avai~ahle for similar activities.
e. The con~ractor agrees to minimize t~e i~pact of physica7 rehabi~i-
tatian activi~~es or~ tenants in a subjec~ property to the exten~
~easible. To the extent feasibTe and where necessary to m~ni~ize
displaceme~t of tenants, rehabi7itation act~vities, for example,
si~all include phas~d repa~rs, te€nparary or permanent relocation, or
other similar measures as reGu~red by Government Code S~ct~an
7265.3.
f. The c~ntractar agrees not to discr~m~nate in th~ use af funds from
the Fund d~e, in whole or ~n part, to the cons~deratior~s, cf~arac-
ter~st~cs, or ~rends 3n the neighbarhflod surro~nding tne property
to be rehabi ~ itated w~~fit funds ~rom tf~e Fund unl ess ti~e co~tractor
can demanstrate that such consideration in ~F~e par~ic~lar case is
required to avoid an unsafe and unsound ~usiness practice. The
contractor also agrees to comply witt~ applicab~e tru~h-ir~-lend~ng
disclosure reqvirem~nts.
g. Proper~ies reha6ili~ated with loans pursuan~ ta this agr~ement must
be located in CHFA Concentra~ed Rehabilitat~on Areas designated
p~rs~ant to Section 51302 0~ the•Hea~th and Safety Code; a Marks-
Foran rehahiiitation area desianated pursuant ~o t1~e Health and

est at tE~e ra~e af 3 percent per annum on the pri r~c~ pa~ bal ance
from th~ ~im~ af disb~rsal by the contractor until repaymer~t to the ~
CO~~ractol'.
j. Loans ta borrowers shaTl be ~for a t~rm of five years ar unt31 sale
or trartsfer a~ t~e prop~rty, w~ichever occurs firs~.
k. Laans to borrowers may be used ta finance in~avative and/or cost-
efficient methods ar rehabiTitatian including "seTf -~elp," rehabzi-
itat~an witt~ trainee la~or, etc.
Z. T~te contrac~ar shall ~stab~ish procedures ta monitor and service
the loans herein, incl~ding ~ut not lim~ted to:
(i) Er~~Forcing cond~tians of this agreement and the laan
agreem~nt between contractor and ~he ~ocai borrower;
(ii} Ass~ring that r~al estate ~axes and assessments are paid on
time and fihat fire and extended coverage ir~suran~e is in.
effect at aTl t~mes;
{iii) Preve~ting or rectify~ng waste or abnarmal deteriaration of
the security property;
(iv). Ass~ring proper r~ot~f~cation t~ t~e Sta~e in matters of loan
repayment and ot~er requiremen~s of this agr~ement;
{v) Process~ng, investigating, and making recommen~ations ta ttte
Stat~ with r~spect to locai borrowers' reques~s for exten-
siar~s of Toans; a~nd
~vi} Pre~aring and reporting to the State recomr~endat~ons with
r~spect to assumptior~s of loans by eTig~ble owner t4 whom
the improved property is transferred or conveyed.
m. TF~e State may review and approve th~ propased commitment by con-
tractor to an owner-occupie~ borrower pr~or to t~e cantrac~or's
commitment of a ~aan.

a. In the ev~nt~ the cantractor, for any reason, is unable to proceed
with the ret~a~ilitatior~ activi~ies approved by tt~e State, the State
may declare t~is agree~nent to have beer~ breached and shatl be
re~eased from any f~rther perfarmance her~under.
b. In the eve~t of any def ault or breach of the agreement by tf~e _
can~ractor, the State may dec~are any disbursemen~s to contractor
~rflrrt tf~e State to be ir~mediately due and paya~le. In 5aid e~rent,
the contractor agr~es to cor~vey to the State all it5 r~ghts, title,
and in~erest in any property secu~^ing ~he note and further agrees
to convey all rights, title, and int~rest ~r~ a1T reports, tes~s,
S~arveys, drawings, plans, maps, and other doc~ents which are the
produc~ of fu~ds disbursed under this agreement.

3. To not sell, assigr~, transfer, or otherwise convey its rights or
respansibi1itie5 pursuant to sai~ Promissory ~lotes, Loan Agreer~ents and Deeds
af Trust ~o any otf~er ~erson or entity wi~hout t~e wr3tten permission of ti~e
Department.
4. To appear i n and defend any acti on or proceedi ng af~ect i ng or pur-
pnrting 'to af-Fect said Promissory Notes, Loan Agreemen~s, and Deeds of Trust
or the rea] praperty subjec~ thereto, and/ar commence any actian or proceeding
deemed ~ecessary by Local Lender or Department to per~ect, ma~nta~n, or ~ro-
t~ct said Promissory Notes, ~.oan Agreements and Deeds af Trust and the inter-
ests, rignts, powers, and/ar dt~t~es ~ur5uant thereto, a~~ in s~ch manner and
to such ex~ent as is appropriate, and ~o give prompt notice to Department of
such ac~~vities.

5. That i~ has no knowiedge of any fact or law wi~ich wo~ld im~air the
vali~ity or ~nforceahility of 'this Agreement and has the lawful and unqua3i-
fied right to assign the pramissory Notes, ~.oan Agree~ents, and Deeds of Trust
ta ~epartment.
6. That, in the event of a default or ~iolation o~ any of the warran-
t~es, covenan~s, terms, and condit~ons of this Agree~nent, a reme~y at law may
no~ provide adeq~ate re~ief to ~he qepar~~ent an~ that tf~e Departme~t shall be
er~ti~led to temporary and perman~nt injunctive o~ other equ~tabie re]i~f in
case of any such breach, withaut th~ necess~~y o~ proving actual damages.
7. That, in the event of defau7t ~n this Agreement by ~oca1 L~nder,
Department sha~l be entitled to reasanable attorneys' fees and li~igation
costs incurred in the enfarceme~t of this Agree~ent or the subject ~hereto.
PURSUANT 74 ~his Agree~ent, Department agrees that upor~ f.ocal Lender's
def a~lt or ~erm~nat~~n of activities, whichever is ear~ier, it shall accept
assfgnment and underta~Ce and perform the obligations of ~.oca~ Lender under

~lection, may declare the Assignment due, and demand, ~r~sentment and dili-
gence in bringing suit is hereby waived. No delay or fai7ure of ne~ar~ment ir~
"t~e ex~rcise of any right ~r remedy hereunder ar under any other agreement
sh all atfect any such right or remedy, and no single or partiai exercise o~
any such right shal~ preclude any ftrrti~er exercise thereof, and no action
