Th~ ~lectric Facili~ies are ~o be constructed by PGand~. The ownersh.~p of tt~e ~lectr~c Faci'lities which are to be constructed by P~andE shal7 ves~ in A~andE, pursuant to ~be provis~ons of Sectians 10109, 301~0, an~ ~0111 of the Ca~iforn~a Stree~s and Highways Code. Subjec~ to the ~erms and cond~tions af ~h7s agreemer~t and in accordance with PGand£'s Ru1e No. 15,~ on f~le with the California Pub1ic Utilities Comm~ss7on (Comm~ss7'on}, copy attached, and made a part hereo~', PGand~ is wiliing to co~ply wi~h Cou~ty's request and w~11, at PGand~'s expense, insta11 ~he EZectric Faciiities, provided County {a) satisfies its obligation under 5ection 2 hereof, (b) pays ta P~andE any mo~~es due under 5ec~~o~ 3 fi er~of, and (c) conveys to PGand~ any requ~red faci7it9es instal1ed hereunder by County and PGandE free and c7ear of a11 ~~ens and encumbrances by gaod and s~fficient deed ar deeds. 2. County shai~ perfor~ a11 necessary trenching, excavation, backw fi1~ing, including fur~~sh3ng o~ any impor~ed backfi~l materia1 required and install cand~its re1ated ~o faci7~~ies to b~ i~s~al~ed by PGand~. In addition, Cou~ty sha11 fur~ish, i~sta11 and dee~ ~o FGandE 2" conduits and n~ne (9} protec- tive ~ubes, as show~ on Exhib~t "A," for the serv~ce connection of nine (9) s~reet 73ghts ta be insta71ed wi~hin District in the future under separa~e arrangemen~s. 3. As pravided in Section C of Ru~e ~o. 15.1, County sha11 pay to PGandE on demand ~~~ advance of any construct~on by PGand~ a ref~~dab1e advance of $~4,391 wh.lch Ts the es~t~ated cos~ a~ the ~1ec~ric Facilities as determ3ned under Section C.1.b. of Ru1e No. 15.1. ~. Any partion af the ref~ndab~e advance paid to PGandE under Section 3~ereo~ sha71 be sub~ect ~a refund ta County without in~erest, in accor- dance with 5ection D af RU1e ~o. 15.1 and th~ at~ached Appen~~x far a period o~ ten (10) years from the da~e PGand~ is ready to supp~y serv~ce ~rom the Electric ~dC1~7~i@5. As provided in Section D.5 of Rule No. 15.~, in the event any port~on of the refundab7e advance has not bee~ refunded or is not quali~ied for refund at ~he end of tw~lve (12) months after comple~ion af the underground ex~ension, Coun~y wil~ pay to P~a~dE a manth3y cost of awnership c~arge a~ those port~ons of th~ re~undab~e advance for whic~ no ref~nds have bee~ made or are ~hen eligible for refund. 5uch cost a~ ownersh~p charges shall be equa~ to 3/4% per month 2: times the difference between the to~al refundab~e advance and a~ounts prev~ous~y refunded or then eiigib1e far refund. Paymen~ of such cost o~ owners~ip charges wi~l norma]ly be made by deduction from the refundable advance, bu~ such deduc- tion wi11 not thereafter reduc~ the amount on which the cost of own~rship charges are ~etermined. PGand~ sha1~, subjec~ ~o a11 0~ ~he ~ernts and conditions hereof, operate and maintain the ~1ec~rfic ~ac~7~~~es and provide eTec~ric serv~ce in accordance wi~h PGand~'s applicab1e ra~es and ru1es es~ab1ished by PGandE, from time to ~~me, a~d on file wlth and authorized by ~he Comrnlssjon. ~2. (a) P~and~ sha11 not be responsib1e far any de]ay 1~ cons~ruct~on of the ~~ectric Facilities resu1ting from shor~age of 3abar or materials, strikes, Iabar d~sturbance, war, r~ots, weather conditians, government rule, regu~at~on or order, ~ncluding orders or judgments of any court or cor~nission, deTays in obtaining necessary rights af way, act of Gad, ar any cause or condition of like or un1ike charac~er~stic which is beyond thE contra~ of PGandE. PGandE sha11 have ~he rjght, ~n ~he event i~ is unable ~o obtain supp1ies, mater~a1s or labor ~: for a~ll of.itsconstruction requir~ments, to al~ocate materiaZs or 1abor to construction projects which it deems, in ~ts so~e discretion most ~mportant to s~rve the needs o~ ~ts cus~omers, and d~1ay in construction hereunder resu1ting ~rom such al1ocat~on sha~1 ~e deemed a cause beyond PGand~'s control. (b} In ~he even~ that Coun~y has not comp1eted ~ts obligat7ons under th~s agreement within ~welve (12) mon~hs following the date of this agree- me~~, and P~andE is unab1e ~o proceed hereu~der, PGandE sha1~ have the right to ter~~nate a~d/or supersede this agreement upon thir~y (30} days' written n0~1ce to County a~d ca~cu1a~~ any refu~dab~e or nonrefundab~e amounts that may be du~ based on ~hat portion Qf the E~ec~ri:c Fac~~~~ies ~~en completed, utiliz~ng ~he estimated costs deve1oped by P~and~ for t~is agreeme~t. The supers~d~ng agree- men~, i~ any, sha3~ be in ~he same form as ~his agreemen~, be executed by ~he partfies h~re~o and sha1~ pravide that cos~s 6e alloca~ed ~o ~~e port~o~ of the ~iectr~c Faci1it~es ~hen comp~eted, if any, cons~s~en~ with those costs est~mated by PGandE ~or ~his agreemen~. (c) Tf ~~is agreem~~t is termina~ed as set forth above, Co~~~y further agrees to reimburse PGandE for any engineering, surveying, righ~ of way acquis~~ion and other associated expenses ~ncurred by PGa~dE. Tf s~ch re~mbur- sable expenses are greater or~less ~han the excess of the r~fundabl~ payment, Co~n~y sha11 pay to PGandE ar PGand~ sha11 re~und, without in~erest, to County, as ~he case may be. 13. This agreement does not provid~ for ~he instal~ation of any underground condu~ts and/ar conductors ex~ending from the ~~ec~r~c Facilities ~o any ex~s~ing or proposed building wrtthin ~he D~stric~ by PGand~ other than as provided ~n the attached plans and spec~fications. The ob1igations of bo~h th~ p~a~~rty owners and pGandE und~r PGandE's £lectric Ru1e No• 16 on f~le with ~he ~: Camm~s~on, re~ating to serv~ce instal~at7ons, are not includ~d i~ this agreement. 1~. This agreemen~ s~al~ not be assignab~e, by o~eration of Iaw ar otherwise, un1ess ~Gand~ f~rst consents t~ereto ~n writ~~g and the assignee, in writtng, assumes and covenants ~o perform a11 0~ Coun~y's a~1igat~ons hereunder. 15. This agreement sha~1, a~ a~l times, be subj~c~ to such chang~s or modT~~catians by ~~e Commission as ~he Commission may, from time to time, direct in the exercise of its jur7sdict~on.
