Ther~fore, pursuan~ to ~.h~ provisions of Section 10109 through 10111 of the StrEets and H~ghways Code of the State.flf Cali- fornia (The Municipal Improvem~nt Act of 19~3), the parties hereto agree as fo3.lows: WIi~REAS, Aev~lap~r has prepared, or caus~d ~o be prepared, at D~velop~r's sole cast, expens~ and responsibfli~y, plans and specif~cations ~nti~led LAk~ RIbGE VILT,AGE A~SESSMEN~' DISTRIC~ WATER SYSTEM~ the plans consisting of ane she~t for construction of a water system consisting.of water main exten.- sion anc~ all appurtenanc~s ther~~o, a copy of which is attach~d h~re~o marked ~xhibi~ "A" and made a part of ~his Agreement; ~ and WHEREAS, ~he plans and specifa.ca~ions con~ai.ned ~n Exhibit "A" m~et with the Depar~m~nt of Public Health and Distr~.ct Engineer's approval; and WHEFtEAS, the ~acili~a.es and ~a.nds to b~ sErv~d by saic~ -1- water syst~m lie w~thin tha boundaries o~ the District, and are more par~icula~ly descr~bed in Exhibit "A"; and WH~REAS, Coun~y and neveloper desire ~istrict to accept sa~d wate~ sys~em into District's overall system upon comple~ion; and WHEREAS, District, subject fio th~ following t~rms and conditions, is willing ~o acc~pt said water system upon cQmpleY. tion provided the system ~s constructed in accordance w~th th~ approved plans and specifications and in a manner mee~ing District's approva~; NOW, THEREFORE, the parties mutual~y agree as follows: ARTICLE 1- RE,CITALS: Th~ reci~als conta~n~d h~rein are an in~egral part of the Agr~emen~. ARTICLE 2- APFROV~D PLANS: A~ta~hed h~~~~o marked Exhibit "A" and made a par~ of ~h~s Agreement ~s one se~ of approv~d plans (reducad to 11 ~nch~s x 17 inches) and sp~cifi- cat~ons for construc~ion of a wa~er sys~em. ARTICLE 3 W CHARGE~ AND CONNECTION FEES: Thos~ parcels describ~d in Exhibit "A", upon application for wa~~r service, shall be subject to those charges and fees as establish~d by District. ARTICLE 4- BEGINNTNG OF W0~2K: County shall Cause cOri- struc~ian of ~ha water system as shown on Exh~bit "A" to com~-ence within one (1j y~ar from the date af tnis Agreement and shall cause completion of work within six months from the da~e of commencement o~ work. This Agreement shall b~ v~id and af no force and ef~ect if work is no~ ccmmenced within such period. ARTICLE 5~ CONSTRUCTION: Exc~pt as otherwise spec~fied in Articl~ 3 of this Ag~~emen~, County shall cause th~ wat~r system described in ~xhibi~ "A" to b~ constructed by a properly l~censed con~ractor, without expense to District, and District -2- sha11 nat be responsible for any of the cost o~ said water system or for the p~rfQrmance or nonper~ormance ot the work of c~nstruction of said water system, and the County shall hold District fr~e and harmless from any axgense, claim or liability resulting from or ari5ing out of th~ canstruction work, including any claa.m tha~ pistr~ct or its employ~~s, agents or independen~ contractors are n~glig~~~ or hav~ omitt~d to take reasonable ac~icn, whe~h~r ar not such cla~m be substantiated. Nei~her the Count~ nor the Dev~loper is acting as a ca~t~aatQr, agent, official or representative of District in cons~ructing ar pro- viding such water syst~m or associated faoili~ies or in causing such syst~m and facilities to be installed. This Agreement simply prcvides for ~h~ transf~r and asstunption of responsibility for suah water sys~e~- and ~ac~l~ties upon p~rformance of all t~rms of this Agraement. The approval o~ the plana and speciti- cations as presented bx th~ Co~n~y and ~he D~'velager shall not be de~med as warranty or guarantee by District of proper design or prop8r specif~cat~ons o~ ma~eria~s or construction. District specafically reli~s upon the design and specificatians as prepar~d as being in accordance with the cond~~ions cf the geography and as having sp~cific m~teri~ls and ~quipment of th~ high~st practicable quaZity and charaater. AR~ICLE 6- N~TIFICATTON 4F DEVTATIONS OR FAILURES: District agrees ~a netify County and Dev~loper in wri~ing as to any devia~ions or failure in construction of the water system pursuant to said plan5 and specifications and r~quir~ments ot said District as soon as any deviation is•brought to Distric~'S attention, and County and Developer shall immed~a~ely eause such deviation or failure to be correct~d at th~ sola cost of Develaper. District is no~ by inspaction o~ the construction or ins~allation of the subject facilities representing County or -3- Developer or providiag a substitute for in5pec~ian and con~rQl of th~ work by Coun~y and ~eveloper. Any inspec~io~s and obser- vations of the work by Dis~rict are for the sol~ purpos~s of providing no~ice of ~he stage and character of the work. The fa~iure of the District to nQte variances trom ~he plans and specifications for the prajec~ does raot ~xcuse or exempt County and ~evelop~r from complying wi~h a11 terms of these plans and . specifications. A1~ casts and charges incurred by District shall be payable to District, amaunts payable far inspect~on work have b~en advanced by the Developer. Further payme~t is to be made by Deve~aper or Coun~y und~r this Agre~men~ as incurred by Dis~rict. ARTICLE 7- CONV~YANC~: UpDn compl~tion of the system in a manner m~eting Dist~ict's approval, County shali immedia~ely convey said wa~er 5ys~em and titl~ thereto free and clear from al~ li~ns, ~acutnbrances and expense to D~strict by such convey- ances and documents as deemed nec~ssary by Dis~rict, ~ogether wi~h the fallow~ng: 1. D'ci$~d : , 19 COUNTY By ~Y -4- 2. One set of 24 inch by 36 inch reproducible "As Built" drawing~ on MyZar, or material o~ suitable durability of the facilitie5 constructed. 3. All easements and rights of way required by District. 4. Developer or County shall furnish a cash bond to Dis~rict in an amount of not less than 20~ of cons~ruc~~on cost of the water system, protecting the District against any failure of the work due to faulty materials, poor wo'rkmanshzp, ar defective equipment within a period of one ~ear a~~er acceptance of ~he water system by District. Said bond shall name Developer as principa~ and District as Obligee. Any interest earned upon th~ amount of the ~ond, no~ utilized for performance o~ the obliga~ion, shaXl be paid at the end of the one year period. District, upon approving the work in writing, sha11 accep~ conveyance of tit~e of said water sys~em and shall operate, ma~ntain and repair said sys~em. ARTICLE 8- APP~TCATYON FOR WAT~R SERVICE: Nn wa~er sha~l be d~livered to or conveyed by or through the water sys~em shown on Exhibit "A", other than for testing purposes, until said wa~er system is conve~ed to District, formally aacepted by Aistrict and proper applications for water service have been filed with District and accepted. ARTICLE 9- OBLTC~TTONS:;FOR PIPELINES ~ND'./OR FACILTTIES: District sha~Z be under no obligation to provide additzona~ gipelines and/or facilities ~n order to serve Developer's proj~c~. Upon acceptance of the water system by ~istric~, it sha~l become the so~e property of District and shall be used and ope~ated at Dis~rict's sole disCretion. ARTICLE 1Q - RULES AND REGULATIONS: Upon the system being accepted by Dis~rict, Developer, together with its heirs, successors and ass~gns, sha11 be subject to and shall comply with al~ o~ the rules and regulatzons of District and -5- sha11 ~ay the f~2s, rates~, ~o21s;.c~arges and:sta~dby charges as may be ~evied and/or established by District from time to ~~m~. ARTTCLE 11 - ATTORNEY FEES: 5hould any party be required tQ institute iegal aatian to either compel performance af this Agree~~nt or recover daanages for nonperformanc~, ~he prevailing party shall b~ entitled to reasonable attorney's fees, cost of sui~, and a~l ather expens~s of litigation incnrred in connec- ~ion therawi~h. ARTICL~ 12 - ASSIGNr4ENT: No transfe~ or assignm~nt may he made by Daveloper or Coun4y of this Agreemen~ or any par~ or in~erest af law, unless such transfer or ass~gnm~nt is approved ~n writing by th~ District. In th~ event of such trans~er or ass~gnrnent, Aistr~ct may at its sole option and in addi~ion to any oth~r remedy tha~ it may have, ~lec~ ~c ~erminat~ this Agreement.
