RESOLUTION APPROVZNG AGREENLEN'~
WITH OROVILLE-WYAI~bOTTE TRRIGATION DISTRICT
EAST' RTDGE ASSESSMENT DIS~'RICT
The Board of Supervisors of the County of Butte resolves:
As a part pf the proceedings for improvements in East Ridge
Assessment Distxzct, County o~ Butte, State of California, this Board
appx-oves that certain agreement between ~he County of Butte,
Orovi~le-Wyandotte Irrigation District and Michael C. and.Roseanna
L. G7.aze, dated January 19
, 1982, and attached to this
resolution.
The Chairman of the Board of Supervisors is authorized to
sign the agreement and the Coun~.y Clerk is authorized to attest its
execution.

TI~IS AGRE~MENT, made and ~ntered into this 19th day
of Januaxy , 198 2, by and among the oROVILLE-
WYANDOTTE IRRIGATION DISTRICT, hereinafter r~ferred to as
"District", COtiNTY OF BU~'TE, hereinaf'~zr referred to as
"Developer", and HERITAG~ CONSTRUC'~ION COMPANY, hereinafter
referred ~o as "beveloper".
RECITALS:
WHEREAB, the County and the Develaper have begun prp-
ceedings for improvements to be made in Ea.st Ridge Assessment
District, Coun-Ey pf Butte, State of California, including a
watEr syst~ri. Said water system is to be under the owner-
ship, management and control of tne District. Therefore,
pursuant to tha provisions of 5ectior. 1.0109 -through 10111 of
the S~reets and T-Tighways Code of the State of California
(The i~iuricipal Imprevement Act of 1913), the par~.ies hereto
agree as fallows:
WHEREAS, Davelop8r has prepared, or caused to he prepared,
a~ Daveloper's sole cost, exper.se and r~spcr_szba~l~.ty, Dlans
and specifications entit3ed EAST RIUGE ASSESSNENT DISTRfCT
F7ATER SYSTEM, the plans consis~.ir_g of ona shee~ for cons~ruc-
tion of a wa~er system consisting of water main extension and
all appurter.ances LYlE7:'EtO, a copy of which is attached herato
marked Exhibit "A" and made a part of this Agreement; and
VIAEREAS, the plans and sp2cifa.cations contained in
Exhibit "A" meet with the Department of Public Health ~r.d
District Engir.e~r's approval; and

water system lie within the boundarie.s of the District, and
are rnor~ particularly described in Exhzbit "A"; and

WHER~AS, Conntp and Developer desire District ~o accept
said water systam ~nto Ais~rict's overall syst2m upon completion;
and
WHEREAS, bistrict, subject to the follow~ng terms and
conditions, ~s willing to accept said wa~er syste.m upon comple-
tion provided ~he system is construc~ed in accordance with the
approved plans and specifications and in a manner meeting
District's apprcval;
I~OW, THEREFORE, the parties mutually agree as follows:
ARTICLE 1- RECITALS: The recitals contained h~rein are
an integral part of the Agreement.
ARTICLE 2- APPROVED PLANS: Attached h~reto marked
Exhibi~ "A" and made a part of this Agre~ment is on~ set of
approved p~ans (reduced to 11 inches x 17 inch~s) and specifi-
cations for cor.sfruc~ion of a water system.
ARTZCLE 3- CHARGES AtdD CON'NECTTON FEES: Those paree~s
described in Exhibi~ "A", upan application for water service,
shall be subj~ct to those charges and fees as establish~d by
District.
ARTICLE 4- BEGINNING OF WORK: County shall cause ccn-
struction af ~.he water system as shown on Sxha.bit "A" to

~~ commence wzthin one (1) year from the datE of this Agreem~n~
and shall causa completion of work within six months fram ~he
datc of thie Agreement. This Agre~ment shall be void and of
no forc~ and ~f~ect if work is not commenced within such period.
ARTICLE 5-- CONSTRUC~`ION: Except as otherwise speca.fied
in Article 3 of this Agreemer.t, County sha11 cause the water
system described in Exhi~iit "A" to be cons~ructed by a properly
lic~nsed contractor, without 2xpense to District, and District
shall nat be x'esponsible for any oz the cost of said water
system or for the perforna:.ce or nonperforr,iance of }hs wcrk of
construction of said water system, and the Developer shall hold

Dis~rict free and harmless from any expense,, claim ar liability
zesulting from or arising out of ths construction work, including
any claim ~hat District or its employees, agents or independent
con~ractors are negligent or have omitted to take reasonable
ac~ion, whether or not such claim be substantiated. Neither
tha County nor the Developer is acting as a contrac~er, agent,
of~icial or representative of District in cons~rnct~ng or pro- ~
viding such water systEm or associated faci~ities or 'in causing
such system and faciliti2s to be znstal~ed. This Agreement
simply provides for the transfer and assumption of responsibility
far such water sys}em and facilities upon gerformance of all
terms of ~his Agreement. The approval of th~ plans and specifi-
cations as presen~ed by the County and the Developer shall not
be deemed as wa~rar.ty or guarantee by District af prop~r deszgn
or proper s~ecifica~iens of materials or construction. District
specifically relies upon th2 design and specifications as prepared
as being in acccrdanc~ with the condi~ions of ~he g~ography and
as having sp~cific mat~rials and equ?pment of the highest
practicable quality and character.
ARTICLE 6- NOTYFICATION OF DEVIATIONS OR FAILUP.ES:
District agrESS to notify County and Developer ir. writing as to
•any aeviatior.s ar failure in construction ef trie wa~er sys~e~n
pursuant to said plans and specifications and requirements of
said District s5 soon as any deviation is broughL to District's
att~ntzcn, and Developer shall immadia~ely cause suc~ devia~ion
pr failure ~o be corrected a~ the sole cost o~ Developer.
Distrzct is r~ot by inspectien of the cer.struction or
ir.stalZation of th~ subject facilitizs representing Cou~ty or
DevelQper ~r providing a substi~ute tor insnection ar.d control
of the work by Ccunty and Aeveloper. Any ir.spectior.s and obser~
va~ior.s of the work by District are for the sole purposes of
providing notice ef the stage and character of the work. The

failure of the District ~o note variances from the plans and
specifications for ~he project does not excuse or exempt County
and Developer from complying with ail ternis of these plans and
specifications. All costs and charges incurred by District
shall be payable to District, amounts payable for inspection
work have been advanced by the Develop~r. Fur~her payment is
to be made by Devalape~ or County under this Agreement as .

ARTICLE 7- CO1~lVEYANCE: IIpon comp~etion cf the system in
a manner meeting Dzstrict's approval, County shall immediat~ly
convey said water system and title thereto fre2 and clear from
all liens, encumbranc2s and expense ~o District by such convey-
ances and documents as deemed necessary by District, together
with the follcwing:
1. A signed statemeh~ offering the water system
showr. an Exhibit "A" for ded~cation to the Bistric~. The
stat~zr,ent shall be prepared by County and shall read as follows:

2. One set of 24 inch by 36 inch reproducible "As Built"
drawing° on N~lar, or mate~ial of suitable durability of the
facilities constructed.
3. All easements and rights of way required by District.
4. Developer or Coun~y sha~l furnish a cash bond to
District in an amount of not less than 20~ of construc~ion cost
of the water system, protecting the District aga~nst any failure
af the work d~e to faul~y materials, poor workmanship, or
defectzve equipment within a period of one year after acceptanae
of the water system by Dis~riat. 5aid bond shall name Developer
as principal and Dzstrict as Oblige~. Any interest earned upon
the amount of the bond, not utilized for performance of the
obligation, shall be paid at the end of the one year period.
Bistrict, upon approving the work in writing,
shall accept conveyance of tit~e of said water system and shall
operate, maintain and repair said system.
ARTICLE 8- APPL~CA~ION FOR WATER SERVTCE: No water shall
be delivered to or conveyed by or through the water system shown
an Exhibit "A", other than for testing purposes, untiX said water
system is conve~ed to Dis~rict, formally accepted by District
and propex applications for wa~er service have been filed with
District and accepted.
ARTICLE 9- OBLTGATIONS.FOR PIPELIN~S ~ND/OR FACILTTIE6:
District sha11 be under no obligation to provide addit,ional
pipelines and/or facilities in order to serve Develaper's
project. Upon acceptance of the water system by District, it
shall become the sole property of District and shall be used
and operated at District's sole discxetion.
ARTICLE 10 - RU~ES AND REGULATIONS: Upon the system
be~ng accepted by Dis~rict, Developer, together with its
heirs, successors and assigns, shall be subject ~o and sha11
comply with all of the rules and regulations of District and

shall pay f37e fees, rates., toils~ charges and standby c~arges
as may.be.levied ~nd~or establishad by'Dis~rict fro~ time ~o
time. _
~ ' ARTICLE 1Z - ATTORNEY FEES: Should any party ~e required
~o insti~ute 1ega1 acticn to either ccmpel performance of this
Agr2~ent or r~cover damages for nor_performance, the prevailing
party shall be entitled to reasonable attorney's fees, cost of
suit, and all other expenses cf litigation incurred in connec-
tion therewith.
ARTICLE X2 - ASSIGNMENT: No transfer or assignment may
be made by Developer or County of this Agreement or any part or
interest of 1aw, unless such transfer ar assignment is apgroved
in ~ri~ing by the District. In the event of such transfEr or
ass~gnment, District may at its sole option and in addition to
any other rem2dy that it may have, elect to terminate this
Agreement.
ARTiCLE 13 - TEI2M~NATION: This Agreement sh211 ~erminate
and be of no further forc~ and effect at District's discratian
if District daterminss that construction of the water system
shQwn an Exhibit "A" has not commenced within six (6) months
from the date of ~his Agreesnant.
ARTIC~E 14 - NOTTCES: The mailing addressas of Distrzct,
County and Developer for purposcs of giving any notice raquired
pu~5uant to this Agrsamen~ are as follows:
