As a part of the proceedings ~or irr-pravements in Lake-
ridge Vi1.Zage Assess~nent District, County of Bu~te, State of California,
~his Board approves certain agreements between the Coi~nty of
o~ Butte and Paci~ic Gas and Electric Company {Reference. 82-3029

attached to this resol.ution.
The Chairman of th~ Baard of Supervisors is authorized ~o
sign these agreemen~s and the Coun~y Clerk is authorized ta attest

There being adequate ~unds in the improvement fund ~or
the Lakeridge Village Assessment Distr~ct, ~he County Aud~~or is
hereby authorized and direc~ed to pay to Pac.ific Gas and Electric
Company, in addit~.on to other amounts p~ovided fo~ in the agre~-
ments, the araount of $43,531.00 in accordanc~ with Paragraph 6 of
the Agxeement ~or Installatian, Maintenance and Conveyance af New
Underground Electric Facilities and S~reet Light Facilities.

RECITALS:
1. County, pursuant to ~he pravisions of the Municipal Improvem~nt
Act of 1913, on September 1, 1981 adop~ed Resolution af Intention No. 81-2Q5
which, as amended, provides for the formation of a specia~ assessment district
des~gnated Lakeridge Village Assessmer~t Distric~ {pis~rict) ~o construct improve-
ments incTuding, among other thir~gs, the insta17ation of underground electric
and street 1-~ghting service facilities with7n the boundaries of the Dis~ric~ as
sf~own on the map en~i~led "Rroposed Soundary map of Lakeridge Village Assessment
D~strict, County of Sutte, State o~F Califarnia."
2. Subdivider is ~he owner of ~he residential tract of land known as
~akeridge Vi~lag~ Subdiv~sion (Subdivision} within the District.
3. Cou-~ty and Subdivider have requested that certain lindergraund
electric and street lighting service facilities be constructed prior to receiv-
ing applications for serv~ce within Lakeridge Vi~lage Subdivision in the D-istrict,
a lot sale ~ype of dev~lopment.

4. The e~ectric fac~lities conte~plated for construction w~thin
Lakeridge Vi~1'age Subd~visTan in the District includes (a) the necessary tren-
ching, excavat~on and backfil3, (b) the furnishing and ~nstallatian of co~dui~s
and s~bs~ructures ~ocat~d within and necessary to serve Lakeridge Vil7age Sub-
dir~s~on in ~he District ~~lectric Substr~ct~res), (c) the installation o~ n~w
underground e~ec~ric distr~butian facilities that are to be con~ected to PGandE's
existing eZectric distribu~ion system (E7ectric ~aciiit~es) and (d} ~he insta~-
~a~ion of new'el~ctric street lighting service facil~ties (Street L~g~t 5ervice
~acilities) al'1 of which are generally shown on the sketch marked Exhibit "A,"
attached and ~ade a part hereo~ and a71 0~ which are necessary to provide service
to potential new residential applicants in ~akeridge Village 5ubdivision in the
~istrict.
5. 'The ownership of the ~lectric ~acilities and Street Light
Serv~ce Fac~li'ti~s installed by PGandE s~all vest in PGandE purs~ant to the pro-
v~sions Of SEC~70n5 ~0109, 101iG and 10~11 of the California Streets and Highway
Code.
NOW, T~EREFORE, IT I5 MUTURLLY AGR~ED AS FOLLOWS:
1. Subject to the terms and cond~tio~s af ~his agreemen~ and in
accordance w~th Section E.4 of PGandE's attached Electric Rule No. 15.1 (Elec-
tric ~xtension Rule), ~Gand~ is wil~ing ta compiy with Coun~y's and Subdfvider's
requests and will construct t~E ETectric Facilities provided Caunty a~d S~bdi-
vider (a) satisfy their ob1igatians under 5ection 2, (b) pay to PGandE any monies
due under Sections 2, 3, 6 and i0 a~d (c} conv~y to PGandE any required facili-
t~es to be instalied by Subdivider here~nder free and clear of all ~iens a~d
encumbrances by good a~d su~ficient deed or deeds.

2. Cou~ty and Subd~vi~er wi71 perform {or arrange for the performance
of) al~ necessary tre~ching, excavation, backf~Zling, inc~uding furn~shing af
any i~ported back~il7 materia~ required, and ~ur~ish, ~nstall (or arrange for
the installation of7, and deed to PGandE any necessary canduit re~uired, al1
in accorda~ce with PGandE's plans and specificattons.
(a) County and S~bdivider have requested that PGa~dE perform a
por~lon of the work descri~ed in this Section 2 within the D~strict and County
agrees to pay PGandF th~ nonref~ndable amount of $39,955 for t~e electric dis-
tribution and serv~ce s~are of trench7ng and ~ackfill. In addition, County
sha17 a~so pay RGandE the nonrefundable amount af $~8,450 represent~ng PGandE's
cost to perform PT&T`s share ($7,368) and Nor Cal Ca~levisian's share ~$l1,a82}
of t~e joint trench ta be performed by PGandE within the D75~~1Ct.
(b) Subdivider shall, ~n accordance with PGandE's plans and
spec~ficatians, install the street crassings as shown on Exhibit "R." After
instailation, Subdiv~d~r shall convey th~ substructures to PGandE by a
sa~isfactary deed of conveyanc~.
(c) In the ~ven~ that retaining walls or other mechan~cal
protection is deemed necessary by PGandE for ~he adequate protection of padmount
transtormers, it will ~e the responsibility of the 5ubdivider to provide such
prot~ction according ~o PGa~dE's specifications.
3. (a) As ~abulated on ~he appendix, County shall pay to PGandE, on
demand and in advance af any construction by PGandE, the amou~t of $44,239
{~lectric Advance) wh~c~ is the estimated cost of the E3ec~ric Faciiities excZu-
sive of transformers, ~eters an~ services determined in accordance w~th
Section C.1 of the E1ec~ric Extension Rule. The total amount of Coun~y's pay-
ment shaZl be ref~ndable pravided there is no Excess Footage as defined in
3:
Section 3(b). If there is ~xcess Footage, $ nane ($2.3$ times any Excess
Footage) of Caunty's tota7 Electric Advance shali be ~onrefundable and t~e
balance shall be refundab7e.
;(b) Excess Foatage shall be t~e ~ota~ footage of proper~y
franting an stree~s wi~hin the subdiv~sion 7~ss the sum af ~25 feet ~imes the
number of residential lots within t~e D~strict and 25 feet times t~e nu~ber of
se~arately-metered dwelling units in excess of two in each muTti-famiiy
building.
4. PGandE will be required ta construct initially only that partion
of ~he Electric ~acilities that, in PGandE's judgment, is necessary to construct
in con~unct~on with road improvements. Addit~ons to the E7ectr~c Faci7ities
shall be CDnS~rUC~~~ only as necessary to provide electric service ta permanent
and bona fide app~ican~s.
5. In the event that an elect~ic extension in excess o~ 200 ~~et
outside ~he boundaries of the D~strict is required to connect with PGandE's
ex~sting e1ectric distribut7on system, ~ounty and Subdivider shall execu~e
concurrent1y with their acceptance of t~is agreeme~t, a separa~e a~reemen~
covErt~g the ov~rh~ad or underground extension ta the subdivisian in accordance
with PGandE's Ru1e No. 15.
6. In addition to t~e Electric Advance paid by the County, Subdivider,
in lieu of a monthly eost of ownersh~p charge, shali aiso pay PGandE $43,531
{~lectric Owners~ip Fund) ~epresenting ~he present worth of the annua~ costs to
PGa~dE to own, operate and mainta~n the reques~ed Electric Facilities, eq~al ta
12 perc~nt of the ~o~al cost of the Electric Faci~i~ies times the presen~ worth
factor of 8.20 based on 12.2 percent interest ~n perpetu~ty. Such i~terest rate
sha11 be equal ~a PGandE's authorized rate of return on the date of this
agreement.

7. (a) In the ~vent that PGandE shall make refunds of the ~lectric
Adva~ce as provided in Sect~on 3 hereof, PGandE sha~~ also adjust the Electric
Dwnership Fund. Refunds and adjustm~nts of the Electric Advance and E7ectr~c
Ownership F~nd wi11 ~e made annually on the anniversary of the date service is
~irst made ava~lable.
~b) In the event that PGandE sha17 make refunds of th~ ~l~ctric
Advance, they shall be paid to th~ Caunty. Such refunds of the Electric Rdvance
wi11 resul~ in an adjustment of the Electric Ownership Fund whic~ di~ference
sha17 be paid to the Subdivi~er.
(c) Interest at the ra~e of 12.2 percent annua~ly w~ll ~e added
to the unamortized balance of the E7~ctric Ownership Fund before the current
year's cost of ownership charges have been deducted.
8. ~a) Subjec~ to Sect~on R.3 and Sect~on D.6 of the E~ectric
Extension ~ule, and to subparagraphs {b) and {c} hereof, an amount equaZ to ~he
total ref~ndable advance, as described i~ 5ection 3, div~ded by the tatal num-
ber of lots wi~~in the District sha11 be eligible for refund ~o County for each
iot on which a struc~ure has been comple~ed and e~ectric service establ7shed
to a permanent customer.
(b) Amounts eligible far refund to Coun~y or Subdivider will be
accum~lated each serv~ce year. Far the purpase of this agre~men~ the first
service year shal~ end one year following the date that the Eiectric Facilities
are ins~alled and are ready to supply service as such date is recorded in
P~andE's recards. PGandE will not~fy County and Subd3vider of the date ~hat
the Elec~r3c Faci~ities are 9nsta~led and are ready to supply service within
the District.

{c) A~ the end of each service year, ~he a~ount eligib~e for
r~fund will be refunded to County ar 5~bdivider within ninety {90) days after
the end af tha~ serv~ce year.
9. PGand~ shal~ furnish and install t~e Street Light Service
FAci~~ties within the District as shown on ~xhibi~ "A" in accordance with the
provisions of PGandE's Schedule LS-1, a copy of which is attached~and made a
part hereof.
10. County shall pay PGand~ prior ta the furnishing of any wark or
materials relat~ng to the Street Light Service Facllities, the nonrefundab~e
amount of $5,682 which represents the instai1ed cost ~f 2,040 feet of street
ligh~ conduit ($4,866) and the insta~led cost ~or 23 circular t~bes far future
embedded street light poles ~$815) as provid~d in 5pecial Condit~on 6 of
Schedu~e LS-1.
~l. In accordance with the rates of Schedule L5-1, or such ather
schedules as may hereafter be applicable for service to s~ch a street l~ghting
sys~em, 5u~divider shaT1 ~e responsib~e for the mon~h~y service c~arge for a~~
Stree~ Liqht Service Facilities installed hereunder until suc~ time that the
County accepts said month~y charges.
12. Subdivider herehy grants to P~andE the r~ght and easemen~ to
construct, operate, main~ain, replace and, if necessary, remove the Elec~ric
Fac~lities aZong the routes shown upon the a~~ached Exhibit "A." Subdivider
shal~ ~xecute such other documents as PGandE may require to enable it to
rec4rd such rig~ts of way and easements. If any part or all of the Elec~ric
Facilities is to be constructed an property owned by other than Subdivider,
Subdivider shall, if PGandE is unable to do so witho~~ cost ta it, firs~
obtain from the owners thereof in the name of PGandE, a~l necessary permanen~
rights of way and easements to construct, operate, maintain, rep1ace an~, if

necessary, remove the E~ectric Facilities upan sUCh other proper~y. Such
rights o~ way and easements shal~ be ~n a form sat~sfactory to PGand~ and
withou~ cost to it.
13. PGandE shall not be r~sponsible ~or any de~ay in the construction
af the Electric Fac~~i~ies resulting fram shortage of ~abor or ma~erials,
strikes, labor distur~ance, war, riot, weat~er conditions, governmental ruie,
requlation ar order, including orders or judgments of any caurt ar commission,
delay in obtai~7ng necessary rig~ts af way, act af God, or any cause or co~dT-
tion beyond the con~rol of PGandE. PGandE shal~ ~ave the right, in the event
7t is unab3e to obta~n supp1ies, mat~riai or labor for all of its construction
requirements, to a11ocate materials and 7abar to construction project which it
deems, in its so~e discretion, mos~ important to serve tMe ~eeds of its custo-
mers, and de7ay in canstruction ~Ereunder resulting from such al~ocat~on shall
be deemed a cause beyond PGa~dE's control.
14. I~ the event that County and/or Subdivider has not complet~d
its obligations under this agreement within twe3ve (~2~ manths following the
da~e of this agreement and PGandE is unable to proceed hereunder, PGandE shall
have the right to terminate and/or supersed~ this agreement upon thirty (30)
days' wr~~ten notice to Cou~ty a~d Subdivider and ca1culate any refundabTe
or nonrefundab~e amoun~s that may be due based on that portion of t~e Electr~c
and Street ~ight Service ~acili~ies then completEd, utilizing t~e estimated
costs developed by PGa~d~ for ~his agreement. fh~ s~perseding agreement, if
any, sha17 be in the sa~e farm as t~1s agreement, be executed by a71 parties
hereto and sha~~ provide that costs be allocat~d to the portion of the distri-
bution syste~ comple~ed, if any, consistent w~th those costs estimated by
PGandE for this agreement.

~5. AI1 faciliti~s constr~cted hereunder by PGandE sha17, at a~l
times, be ~he sole property of PGandE.
16. This agreement does not provide for the constructian"of any
electric facilities by PGandE other than as provided on the attached ~xhibit "A."
Sarvice insta1lat~ons other than as shown on the attached ex~i~it are not inc7uded

in this agreement and will be construc~ed and maintained under RGandE's Electric
Ru7e ~~o. 16.
17. County and/or Subdivider may assign this agreement, ~n w}~ole or in
part, if PGandE cansen~s ~hereta in wr~ting and the assignee agrees to perform
tf~e obZigat~ons of County and/or Subdivider hereunder. Un~ess o~herw~se speci-
fied in wri~ing, suc~ assignment will be deemed to include ass~grtor's rights
to refur~ds unpaid as of the date t~er~of or which may t~ereaf~er become due.
18. County and Subdivider, jointly and severally, agree to reimburse
PGandE for any ~ngir~eering or righ~ of way acquisition expense incurred by
PGand~ as t~e result of the cance~latio~ or material change by County or Su~-
d~vider o~F the s~bdivision p~an as shown and delineated on the attached
~xhibit "A."
19. Any rearrar~gemen~, relocation, repair o~ damage, addition to ar
r~odification o# the ~iectric Facili~ies a~d Street l.ig~t Servic~ Faci~~ties as
s~own on Exh~bit "A" after commer~cement af construc~ion which ~nay be required
due to acts or omissions of County or Subdivider, their agents, servan~s,
employ~es, contractors or subcontractors shall be paid for on demand and in
advance by Subdivider.

Z0. Coun~y and Subdivider shall, upon the completian a~ ~he Electric
Facilities an~ Street L~ght Service Faciiities instal7ed hereunder and upon
demand by PGandE, execute and deliver to PGandE a deed or deeds in the ~orm
a~tach~d hereto as Ex~ibit "B" co~veying the E7ectr~c Fac3~ities and the
Street ~igh~ Service Facil~ties ~a PGandE.
21. County sha~l ma~e payment to PGandE as described under 5ec~ions 2,
3 and 10 o~ly from the proceeds o~ assessmen~s levied and bo~ds so3d in the
assessment district ~roce~d~ngs. There shali be no liabi~ity of Caunty ~o
make such payments from any other source of funds. PGandE sha~1 no~ be obligated
to proceed hereunder ~nt~l sufficient funds have been made avai~able an~ a11
payments ta be made to PGandE have been made.
22. RGandE shall, subjec~ ta a11 of the terms and candi~ians hereof,
aperate and maintain t~e Elec~ric Facilities and the Street Ligh~ S~rvice
Facilities and provide electr~c service in accordance w~th PGandE's applicable
rates a~d rules established by PGandE, from time to time, and on file wzt~ and
a~tharized by the Californ~a Public Ut~~i~ies Cammission (Cammissian).
23. County and Subdivider sha17 indemn~fy PGandE, ~ts officers,
agents and employees, against a~l ~055, damage, expense and liability resulting
~rom ~njury to or death o~ ~erson, including, bu~ nat limited ta, employees of
PGandE, County or Subdivider, ar injury ~o property, i~cluding, ~ut not
lim~ted ~o, praperty of PGandE, County or Subdiv~der, ar~si~g out of or in
any way ca~nected with t~e per~ormance of th~s agreement, excepting oniy such
loss, damage, expense or liabili~y as may be caused by t~e saTe neg~igence or
w~ll~ul misconduct of PGandE.

24. This agreement sha11, at a11 times, be subject to such chang~s
or modifications as the Commissian may, from ti~e to time, direct in the
exercise of its jur~sdict~on.
