BUTTE COUNTY
~ This is an agr~ement for ~egal services be~ween ~he
County o~ >Butte, a political subd~.va.sion of the Sta~e of
California, referred to as Client, and STURG~S, NESS, BRUNSELL &
SPERRY a p~ofessional corpora~ion, Attorneys at Law, Emeryvi~.le~,
Ca~.~£ornia, re£erred to as Bond Counsex.
1. Client reta~ns Bond Counsel as special counsel to
perform the following legal services re~a~ing ta Paradise Bluffs
Assessm~nt Distric~. No. ~., Bu~te Caunt~, California.
(a) 'Prepara~ion o~ a11 far~s o~ resolutions, no~ices,
a£fida~rits; and other documents required by tk~e
'Muna.ci.pal. ~mprovement Act of 1913, includi.ng the
~.ega~. ~ormat o~ th~ engineer's report reqt~~red by~
S~c~.ion 10204.
(b} ',The preparat~.on o~ written instructions to
C~ient's C~.erk and other staff inembers concerning
the perfo~mance o~ iegally-required duties.
~c}~,Review of documents prepared by Client's
~ngi.neering sta~f or cansul.ting engine~rs,
i.nclud~ng boc~ndary map, assess~en~ diagram,
assessment~ roll, and the general provisions of
cans~zuction specifications.
(d} At~~ndanc~ a~ ~h~ public hearing on th~
!engineer's repor~ (incl.uding con~.in~ances o~ ~he
!hearing, i~ any}. •
(e} ;Attendance at a~l other public mee~.ings of C1.ient
at which mat~~Eers relating to the assessm~nt

(i) Arrangemen~s for ~he prin~ing of ~mprovement
bonds ~o zepresent Unpaid assessments, including
'the printing of a bond register and, if required,
assessmen~ installmen~ notxces.
{j)'The preparation of a record at assessment
ins~a~lmen~s foz the use of the County Auditor,
if requi~ed.
(k)',Arrangements for the sale of improvemen~ bonds
eitner by negotia~ivn a~ by public bid, a~ the
option of C~ient, including a review of f~nancial
disc~osure requir~ments and, if required, the
preparat~on of the notice inviting bond bids.
(1} The prepara~ion of bond de~ivery documen~s.
(~)'The rendi~ion o~ a~egal opinian on ~he validity
'o~ the ~mpro~ement bonds an~ the proceedings
~eading ~o ~heir issuance.
2. The services o~ Bond Counsel und~r th~s agre~ment
shall no~ znclude the foL~owing: .
(a) Legal services ~n cannectzon with ~he acquis~tion
o~ int~res~s in real property, either through
negotiation or ~hraugh exerc~se of ~~e power of
eminent domain.
(b] L~gal servic~s in connection wi~h ~itzgation.
The performance by Bond Co~nsel of services ~xcZud~~
~;by this paragraph, i~ required by C~ien~, sha~l be
'under separate oral or written agreement.
'3. In conside~a~xon of the services se~ ~orth in
paragraph'l, Client shall pay to Bond Counse~ the follow~ng fee
a~d cos~s.

(a) The ~ega1 fee o~ Bond Counsel shall be a scaled
percentage of ~he amaun~ assessed as set forth in
'the engineer's report as finally approved under
Section ~0312 of the Streets and H~ghways Code.
(b) The ~ega~ fee sha~~ be an amount equal to two and
',onE-haZ~ pe~cent (2-1/2&) of that portion o~ the
amoun~ assessed not exceeding $~ million, plus
one percent (1~) o£ that port~on o~ the arnoun~
assessed exceeding $1 million. The fee snai~ be
nat be less than ~Z,500.
(c) ;Costs shall be reimbursed to Bond Couns~l as
'~ollows:
l) The cost of transportatzon, meals and
lodging.
2) The co~t of prepar~ng audi~or's record,
~f required: 7 cents per assessment for each
`year o~ the bond issu~, with a minzmum of
$30.Oa.
;3) The cos~ of ~ong di~tance telephone
calls: a~ bi~led cos~.
;4) The cost o~ phatocopying: ~Q cen~s per
sheet.
The eos~ o~ ~ather services far which Bond Gounsel~
makes arrangements under thi.s agreement (such as bond
;:prin~ing costs) shall be bill~d to the C1ien~ and .
~'-shal~, be paid by C~ient direc~ly ~o the payee.
(d) ;Payment by Client af the i~gal fee is conti.ngent
. upon ~.he levy of assessments and the sa~.e anc~
delivery o~ impzovemen~ bonds represent~.ng unpa~d
assessments in the assessmen~ ciis~r~.ct. I~ far
any .reason, assessm~nts are no~ canfirmed and
bonds delivered, 3and Counsel. shall be paa.d no
legal. fEe. Both the ~.egal fee and costs are
payabl~ upon delivezy of the bonds.
;4, Sond Counsel cert~fi.es tha't i~ has no interest,
either di.rect or con~ingent, in any pzoperty or contract arising
~~om or a£~ected by the assessment distr~ci~, except as Bond

Counsel under this agreement. Bond Couns~l does not ~epresent
any owner of proper~y within the proposed boundaries oE this
assessment district, an~ has not received a fee ~rom any source
for~servic,es connected with t~e pro~ect.
