B. Area. The area as shown on Exhibit A attached

Antenna Televi.si.on 5ystem , ereina te~ re erre to as "CATV system"

maintain a CAT'V system within a11, or a speci~ied ar.ea of, the County
of Butte, Any such authorizatian, in w~atever. form g~anCed, shal~ not
be deemec~ ko %nc~.ude any lzcense o~c permit ~equired Far ~he privile~e
of transacting and car~ying on a busine~s wi~hin ~he CounCy af Butte.
H. Subs~~ibe~ or tlse~: Any person or entity recezvin~
any service oE the Gr.antee s CATV system inc3.~ding, but nat limited
~o, ~.t~e conven~.i.onal br.oadcast si~nals, ~adio signals, Grantee's
origi.na~. Cable--eas~.i~g, and rhe locaJ. goveznmen~., ~ducation and publa.c
access channels. "Subscxiber or []se~" shall also ~ean any person
xeceiving other services from Grantee's CATV system, such as ~easing
of channc~~s, data and facsimile transmission, pay teZeva.saon, anc~
pa~.iCe, fire, or similar public service communication.
I. Regular Subscr.~.bEr Services. Includes the carriag~
of ~'.C.C. mandated and ~'.C.C. non--mandated broadcas~ si~nal.s but shall
naC incl~de "ancil~ary" ar "auxi.liary" ser~ices, which includE, but
ar~ not Ii~ited Co, leased channels, and programming suppl.ied on a per
program or per channel. c~ia~~e basis, i~ any; hut sha~.l nat zn~ludc~
ad~ertising services.
.7. Gross Subseribcr Revenues. Any an.d al1 campe~sation
ar~d oC.her cons~deration in any or~ whateve~ and any contribution,
grant or subsidy received by the G~an~ee, direct7.y a~ indi~ect].y, from
subscrib~rs or usc~rs, ~n paymenr fo~c C.he transmission of electronic
s~~nals or. the p~o~is~.on of ot~ex ser.~ices r~ceived, i.ncludin~, but
no~ limite~d ta, compensation, or~er consideration, ~~ants o~ subs~.dies
reeeived dir~ctly or indi~ec~ly fra~ s~bscribers o~c users zn paym~nt
for "pay television" si~,nals received within the area, provided that
gross subs~xi.be-e ~evenu~s shall not inc~ude any item o~ re~enue
prohib~ted by 1aw f~om being included in the "gross subscriber ~e~enues"
used in compu~ing th~ ~rar-chzse fee. Any such prah~bztzon should be
in effect only for that por~ion o~ tt~e ter~ o£ this agxeement durin~;
which the ~aw containin~ such prohibitian zs in ef~ect.

Sect~on 3. GRANT OF NDNEXCLUSIVE A~~HORITY.
A. There is hereby granted by th~ County of Butte
to the Grantee, 5~b~~Ct to the conditions and limitations contained
herein, the right and privile~e to canstruct, erect, oper~te and
maintazn in, upon, along, across, above, over ~nd under the streets,
alleys, easements, publzc ways and publi~ p~aces now laid our or
dedicated, and all extensions thereof, and additions the~eto, within
t~e area, a CATV sysrem ~or t~e transmission o~ tel~vision signals
and at~er signals eit~er separ.ately, or in conjunction with, any
p~blic u~ility mainCainin~ the sam~ in the a~ea zncl~ding all of the
necessar.y and desi~ab~e app~iances and app~r~enances pertaining ta a
CATV sysCem. WzChaur ~i~iting the generality o~ the for.e~oing, this
~~an~ sha~~ and daes hereby include the right in, over, under and
upon the streets, sidEwalks, alleys, easements ~nd pub~ic ~~ounds
and p~aces in the area to install, operate, erect or in any way
acqu~~e ~he use of, by leasing or licensin~, all lines and equipment
necessar.y to a CATV system a~d the right to make connections ta
subscribers and the right ta repai~, ~eplace, enlar.ge and extend
said l~nes, equipmenr and connections all subject to th~ conditions
and limitaCions of this a~reement.
B. The r.igh~ ~o use and occ~py said streets, alleys,
easements, pub~ic ways and places ~or the purposes herein set forth
shall not be exc~usive, and County of Butte reserves the right Co
grant a similar use of said st~eets, alleys, easemen~s, public ways
and places, to anq persan at any ti~e fo~ any pur_pose {incl~ding ather
CATV system franchises) during the period of ~his F~anchise.
Section 4. US~ OF ~XIS~ING POLE LINE FACILITIES. Th~re
zs hereby gran~ed ro rhe Grante~ the further right, p~ivilege, and
auChority to ~ease, rent ar in any other manner obtain ~he use af
Cowers, poles, lines, cab~es and other equipment and faCili~ies,
~rom any and a11 other holders of public li~enses and francnises
w~thin the ~imits of the area, and to use such towers, poles, lines,
Cabies and oth~r equip~ent and facil~tie5, subject to a~l existing
and fu~~r.e ordinances and regu~atio~s o£ the Caunty of Butte. Wl~~n
and whe~e pxac~i~able, the poles used fo~ Che Grantee's dis~ribution
system sha~l be those erected and maintazned by PaciFic Gas and
Electric Company ox Pacific Te~~phone Company, provided that mutually
satisfacto~y re~~al agreements can be entered into by the Grantee
with sazd companies; otherwise, the GFantee may e~ec~ zrs own poles
when and where required, subject ta ~~e approval of the Co~nty o~
B~~te. The County of Butte may, at its discr.etion, withhold approval
of C~e ezeetion o~ the Grantee's own po~es; however, if the G~ante~
is unable to utilize the poles af Pacific Gas and Electric Campany
and/az Pacific Te~ephone Company, and if t~e County of ~u~~e does

B. Ail installations of eq~ipmen~. shall be-durable,
and installed in acco~dance with good engineerin~ practice, ar~d o~
sufficient height to comply with all existing Butte Counry regulations,
ordinances and sta~e laws and so as not ta int~r~ere in any manner
with the xi~i~t of the public or any indi~idual propcrty owner, and
sha11 no~ interfere with the Cravel and ease of public places by ~.he
public and during the constructian, repai.~c or r~moval thereot, shall
not obstxuct or imp~de tra£fic.
C. In ~.he maintenance and operati.on of i~s t~le~ision
transmi.ssian and distribu~ion sys~e~ in ~he streets, a~.leys and other
public places, and in th~ course oF any new constx~ction ar addi.~zon
to its facili~ies, th~ Company st~all proceed so as to cause the least
possible inconvenience to ~.he general public; any openin~ o~ obstruc-
tion in ~~e strEets or other p~blic plaCes mad~ by the G-ean~.ee in the

The Board of Supervisors shall have ~he au~~arity at any
time during the texm oF the franchise to require th~ amount o~ such
bond to be increased to a greater s~m than th~ minimum sum herein
pro~id~d, nat exceeding t~e sum of Twenty-fi~e Thousand Dollars
($25,000}, if, in the exercise o~ its dzscretion as detErmined by
resolution, such increase is requzred ~or the bett~r protECtion of
the ri~hts a~d interests of the CoUnty of Butte. Such addztional
bond, i~ so requi~ed, s~all be furnished a~d delivezed by ~he Grantee
to the County of BuC~e within thirty (30) days ~rom the receipt by
~he GranteE of a copy of such resolution.
Neither the provisions o£ this sectian, any bond accepted
by the Caunty of Butte pursuan~ thereto nox any damages r~cover~d by
the County o£ Bu~re thereunder. shal~ be construed to excuse fait~£u1
pexformance by.the Grantee nor limit the liabi~ity o~~the Gran~ee

Section 10. INDEMNIFICATION AND LIABZLITY. The Grantee
shall be an independent con~ractor and shall not be dee~ed the agent
o~ empXoyee of the County of Butte. The Grantee sha11 indemnzfy,
protect, defend and save harmless the GounCy of Bu~Ce, its boards,
commissions, agents and employees ~~a~ and a~ainst ~osses and physical
dama~es to property, and bodily injur.y or death to persons, including
paym~nts made under any Worker's Compensation Law, whzch maq arise
out Q~ th~ Grantee's maintenance ot operation a~ a CA~V system in
the County of Butte. The Grantee sha1L carry insu~ance to protect
the parties hereto from and a~ainst al~ clai~s, demands, actions,
jud~men~s, ~os~s, expenses and liabi~ities c~hich may a~ise o~ result,
directly or indirec~ly, from ox by reason of any such claim, ~oss,
in~u~y o~ dama~e. T~e amoun~s of such insurance a~ainst liability due
to physzcal ~amages ~o property sha~l not be less than O~e Hundred
T~ousand Dol~ars {$100,D04), as to any ane a~cident and not ~ess than
Five Hundred T~o~sand Dollars ($S~O,OQO} aggr~~ate in any szngle
policy year; and a~ainst liability due to bodzly xnjury or to death
o~ persons, not less tnan Five Hundred Thousand ~ollar.s {~500,OQ0),
as to any one ~etson, and no Iess than One Million Do~lars
{~1,000,000) as to any one accident. The Grantee shal~ also carry
such insuzance as is ~equi~ed by law ta protect i~ Erom all clazms
under the Worker's Compensation Laws in ef~ect that may be applicable
to the Gran~ee. A~1 insu~ance requi~ed by thzs ordznance sha11 be,

rights hereunde~, shal~ name the County o~ Butte as an additianal

appear.s to arise out o~ Grantee'~ actions or ~ai~ur.e to act. Wher~
any such claim or demand made against Che County a~ B~tte is made by
sui~ ox oCher legal act~on, County of But~e shall give writtEn notice
to the Grantee.
SecCion ~~. CONDITIONS ON STREET OCCUPANGY.
A. A~~ transmissions and distribution structures,
lines and equip~ent er.ected by the Grantee within the County af Butte
shall be so ~oeated as to cau5e rnznimum in~er~exence with t~e pr.aper
use o~ s~r~ets, alleys, ease~ents and othex public ways and p~aces,
and to cause minimum interference with the rx~hts and reasonable
conve~ienc~ of p~ope~~y owners whase pxo~ex~y adjoins any of t~e
said 5tr~ets, aZleys ox other pub~iC ways and p~aces.
B. In case o~ the dastuxbanee of any stre~t, sidewalk,
alley, pub~ic way or paved area by the Gxan~ee, the Grante~ sha11
~esCoxe the area disturbed to as ~oad a condi~ion as before the wor~
~xeatin~ such disturbance was done.
C. If at any ti~e during t~e pe~iod o~ this Franchise
th~ County of Butte sha~l ~aw~ully e~ect to alter or change the grade
of any street, sidewaZk, a11ey or other public way, ~he G~an~ee a~ter
reasonable notice by C~e County af Butte, shall ~emove, re~ay and
reloca~e its poles, wixes, cables, und~rground condui~s, ~anholes
and other fix~ures at its own ~xpens~; p~ovided, howe~~r, that whe~e
public fund o~ funds from property awners a~e available for such
~eloca~ion p~~suant to law, Grantee shalZ not be req~ired ~o pay the
COSt.
D. Any poles or o~her. fixtures placed in any publiC
way by the Grant~e shall be p~aced in such manne~ as not to inter~exe
with the usual trave~ on such public way, or to, in any way, endange~
users of such public way.
E. T~e Grantee shal~, on ~he request of any person
holding a bu~ldxng moving permzt zssu~d by the County o~ Butt~,
temporaxily r.aise or ~ower its wires to permi~ the moving of buzl~ings.
Th~ expense of such temporar.y ~emaval or raisin~ o~ lowering of wzxes
s~al~ be paid by t~e person requestzn~ ~he same, and the GranCee sha11
have the authority to requ~xe 5~ch paymenC in advance. The Grantee
sha11 be given not less Chan forty-eagh~ (48) ho~r.s adva~ce notice
to arr.ange for such temporary wire chan~~s.

G. In a11 ar.eas of the County of Butte where the
cables, wires or other ~ike facilities of public utilities a~e placed
under~round, the GxanCee shall place zCs ~ab~es, wires or other
facilities und~rground to t~e maximum extent that existing technolo~y
reasonably per~zts the G~a~tee to do so.
SecCian 12. COMPLAINT PROCEDURE. The Grantee shall maintazn
a business oFfice in the County of B~tte for the purpose of ~ecezvin~
inquirie5 and comp~aints from zts ~ustomers and rhe ~eneral public.
Grantee 5ha11 investigate a1I complaints wit~in ten (10} busiriess days
ot their receipt and shall in good faith attempt to resalve Chem
swif~ly and ~quitab~y. Grantee's CATV system shaZ~ be insta~~ed,
maintained and operated zn accoxdance with the hx~hest and best
standards car~ied aut in the industry.
Section 13. OPERATIQN AND MAINTENANCE OF SYSTEM. T~e
Grantee shall rende~ effz~ien~ se~~ice, make zepairs promptly and
inte~rupt service only ~o~ ~oad cause and for the shortest ~ime
possible. S~ch interruptions i~~ofar. as possib~e shall be preceded
by notice and shal~ o~cu~ duxin~ pe~iods oF minimum use of the system.
Section 14. PRE~ERENTIAL OR DISCRIMINATORY PRACTTCES
PROHI~ITEti. Gran~ee shaZ~ not, as to rates, charges, services,
faczlities, rules, re~u~ations or in any other respec~ make or
gxant any undue p~e~erence or advantage to any persan, nor subjec~
any pexson to any undue prejudice o~ disadvantage.
5ection 15. FEE. The £~anchis~ Fee shall be the maxi~u~
amo~nt permitted by law and ~he method of compu~aCian of that ~ee
shall be that me~hod permitted by law which yields the highest fee.
The determination of th~ fee and the method of compuCation shal~ be
with reference to the law as i~ exists at C~e ~ime of any given
d~t~rmination ox compuCation. Grantee sha11 pay ta rhe County o~
Butte said fee quarte~ly within thirty (30) days fallawing the last
day of each MaxCh, ~une, 5eptember and December, and shaLl be comp~ted
on the basis of s~c~ ~even~es rece~ved during thE precedin~ three {3)
mont~ period. The Grantee shall fi~e wit~ the Butt~ Ca~nty Auditor
w~thin nin~ty (90} days afte~ the expiration af each fisca~ year a
statement prepared by a licensed p~blic accoun~ant showin~ in deCail
the rotal ross subsc~~ber rev~nues, as de~zned herEin, fo~ the
preceding ~iscal year and shall inelude any othex information necessary
to compuCe t~e ~ee. Far th~ pu~poses of this section the Cerm "fiscaL
year" as he~ein used s~all mean the fiscal y~ar established by t~e
Grantee for Cax pu~pases within the meaning o~ the Interna~ R~venue

SecCion ~7. EMERGENCY USE OF FACX~ITI~S. In the case of
any eme~gen~y or dzsaster, the Grantee s~a11, upon ~equ~st of the
Boaxd of Supervisors, make available its faczlities to th~ County of
BuCte for emergency use durin~ ~he eme~~ency ar disaste~ periode
Sect~on ~$. MODZFiCATTONS. Any modification of the
provisions af the rules and xegulations of the ~ederal Com~unications
Cammissian ar the Comm~nications Ac~ of 1934 res~lting f~om amendmEnt
by the FEderal Com~unica~ions Commission or Act of C4~g~ess shall be
incorporated into the franchise within on~ (1) year. of a~option af the
modi~ication or at the time o~ franchise renewal, whichever occur.s

c~eated by this Franchise s~all pass to and be binding upon the
successots and assi~ns of the Grantee; and the same sha~l not be sold,
~SSI~~Ed, transf~rr.ed, ~eased, ar otherwzse disposed of in whole or zn
pa~t, ei~he~ by fox~ed or involuntar.y sal~ or otherwis~ without the
p~io~ consent of the County o~ Butte embodied in a r~salution af t~e
Boar.d of Supervisor.s and th~n o~.ly upon such terms and conditions as
may be ~herein presCribed, grovided, howe~er, that this sec~ion shaZl
nat pre~ent the assignment o~ the FranChise by Gr.an~ee as security for
debt wit~o~t such approval; and pxovided further that transfers or
assig~ments of this FranChisE betwe~n any parent and subsidia~y
~orpo~ation ox between entities of which at least fifty percenC (SO°/o)
of Che beneficial awnership is held by the same perso~, pe~sons or
entities or transfers o£ a fractiona~ interes~ in the Grant~e as
between the pr.esent shareholders sha~1 be ~e~mitt~d witho~t the pxiox

SecCzon 21. FQRFEITURE. If the Grantee should viola~e any
of the terms, conditians ar pro~isions af this Franchise or zf Che
G~an~ee shoul~ fa~~ to comply with any rEasanable provzsions o~ any
o~dinance o~ the County af Butte ~egulatin~ the use by the ~rantee of
~he street~, alleys, easements or public ways of the County of ~utte,
and shou~d t~e Grantee further continue to vio~at~ or faal tfl comply
or to co~mence c~mpliance and diligently prosecu~e ~o completion
compliance with the same for a period o£ thirty (34) days after the
Grantee shall have been natifiEd in wr~ting by the County oE Butte
to Cease and desist from any s~ch~vio~ation or fazl~~e to comply so
specified, or in the ~vent any material provision of this agreement
or any maCerial ~~avzsion of any £ran~hise iss~ed pu~suan~ ~o this
agr~ement has become zlle~al or is held invalid or unenfo~ceab~e,
then the County of Butte shall have the right to declar.e all rights
and privileges ~ranted by this Franchise ta be for~eited; provided
that such foxfei~ure shall b~ declazed only by written decision of
the Board of Supervisors after an appropriate public hearing before

syste€n to a quali~ied purchaser at Fair marke~ value. During this
period ~he Grante~ sha11 have the right to opera~e ~his cable tele--
vision system pursuant ta th~ prot~isio~s of Ck~e F~canchise. If th~
Grant~e ~s unab~e #~o se~1, transfer, or Convey its CATV sy~stem, the
G~cantee sha~i commence the removal from the streets and a1~ public
~laces of all suct~ property and poles in accordance witl~ Section
25.
Section 22. SAFETX REQ~~REM~NTS.
A. The Grantee sha7.1 at al~. ~.imes employ o~dinary
eare and shall install and u~aintain in use co~nmanly
accepted mc~hods and devices for. pre~enting ~ailures
and accidents which are likely ta cause damage, injuries
or nuisanc~s to the pubJ.i~..
B. The Grantee sha~.l install and maintain its wires,
cables, fixtur.es and orher equipment in accordance with the
requ~rements of state and national electr~cal. codes, and zn
such manner tha~. they will not int~rfere with any installa-
tions of the County of Butte or of a public utility servin~
t~e Coun~y o~ ButCe.

Section 23. ADDITZONAL REGU~ATIQNS. The County o~ Butte
reserves the right to adopC, in add~tian to the pro~isions included
in this Franchise and in all existin~ applzcable a~reemen~s, such
ad~itional regulations as it shall fi,nci ne~essary in ~l~e exercise
o.~ its police powe~, provided, ~owever, that such re~ulations are
reasanable an~ not materia~ly in conf~ict wi.th the privilegc~s granted
by this Franchise and provided that the Company's reaso~able commerciaZ
exp~ctations a~ce not diminished thexeby.
Sectzon 24. REMOVAL OF APPARATUS. In the event thaC ~he
use of any part of the CATV system is discanti.nued ~ox any ~eason tor
a continuous ~eriod of twelve (12) months or in th~ event such sysrem
o~ property has bc~~n instailed i~,any street oz publi.c place without
~omp~y~ng with the r.eq~irements of its franchise or the fr.anchzse has
been terminated, canc~l3.ed or l~as expired, the Grantee shal~ p~comp~.ly
remo~e fxozn the st-reets or public places aJ.1 s~ach prop~rty and poles
of such syste~ other than any which Che County o~ Butte, may permit to
be abat~doned in plac~. in the even~ o~ any suc~ removal, ~he Grantee
