General A. Wark to be Performed The Grantee agrees to fuily perfarm the work described in Attachment A, Section 1, (hereir~after "~h~ Work") and mare fully described in the Application. 3. Grantee agrees to administer this grant i~ accordance with ~he ~rovi si or~s of Secti on 7098 ~hro~gh, and i nc~ udi ng, Secti an 7124 of Ti t~ e 25 of the Califarnia Administrative Code. 4. Speci a1 Candi ~i ons The Grant~e agrees to comp~y with ~he special conditions, if any, cantained in Attachment B. -3 - 5. Method af Pa ment A.- To receive gaym~nt far the Wark perfarmed, or to r~ceiv~ an o~~rating advance, the Grantee shal~ sub~it, in trip~licate and on ~orms prov~ded by the State, a duly executed Expenditure Summary and Payment Regues~ Repart. T~e Grantee shall subrnit all Expenditu~e Summary and ~ayment Requ~s~ Repfl rts to t~e Depar~ment of Ha~sing and Comm~~i~y D~veZopment, Community Development Program (63}, Attention: Prog~am F~scal Officer, 921~ Tenth Street, Sacrame~~o, Califor~ia, 95814, ar any other address of which the Grantee has been ~ot~f~ed in writing. The State shall not authar3ze payments un~ess ~~ de~erm~nes that the work has been performed in compliance wi~h the ter~s o~ ~his agr~ement and its a~tachments. B. Within 3~ days after receipt by the Sta~e of Grantee's a~propr~ately documented Expend~ture Summary and Pay~ent Request Repor~, th~ State shall make the appraved payment ta the Grantee. 6. Comme~cEment and Term ~his agreement is effective on June 3~, 1983. Hawever, Grantee agre~s that Work shall nat camme~ce prio~ to execution of this agreement by the Sta~e, unless express~y author~zed, in writing, to da so. This agreement shal~ t~rm~nate on th~ date set forth in Attach~~nt A and Grantee agrees tha~ the Work shall be comple~e by that date unless a written request for an extension is approved in advance and in writing by the State. ~- 7. Terminatifln by the State A. The S~ate may terminate this agreeme~t at any time far good cause by giving a~ least 30 days no~ice in writing to ~~e Grantee. Good cause shal~ cons7st o~ violations of this agreemen~, the regula~~ons conta3n~d tn 25 California Adm~nistrat~ve Code §§705D to 7124, 24 CFR Part 570, Subpart I, the Hausing and Community Developm~nt Act of 7974, as amended, or upan the request af HUD. B. It is mutually understood betwee~ the parties that this agreement may have been wr~~ten before ascertaining.the availabiiity af congress~onai appropriatian of funds, for ~he mu~ual b~nefit of both parties in arder to avoid program and fiscal delays whic~ would occur tf the agreement were executed after the d~termination was made. C. This agreement is valid and enforcea~le only if suffiicient funds ar~ made available to t~e State by the ~nited States Governme~t for the fiscal year 1982-83 far the purposes af this grogram. In addition, this agreement is su~jec~ to any additionaZ restrict~ons, limitat~ons, or cond~tions enacted by the Congress or State ~egislat~re or any statute enacted by ~he Congress or ~he Sta~e Leg~slature w~ich may affec~ the provisio~s, terms or funding of this agreement in any manner. D. It ~s mutually agreed ~hat if the Congress does no~ ap~ropr~ate sufficier~t funds far the pragram, this agree~ent shall be amended to reflect any reductions in fu~ds. -5- E. The State has the apt~an to term~nate this agreement under the 3d-day cancellation claus~ or to amend the agreemen~ to ref~ect any r~duction af funds. 8. Contractors and Subcantractors A. The Grantee shall not enter into any agreemen~, writt~n or o~al, w~th any contractor wit~ou~ th~ prior written approval by ~he 5tate af the Contractor's el~g~bility. The State wi11 nat approve any eontractor or subcont~actor who is nat ~icensed in California, or who is otherwise ~neligibTe to receive federal funds. 8. The agreement hetween tne Gran~ee and any con~ractor sha~3 re~uire ~he contractar and its subcontractors, if any, ta: 1} Perform the Work in accordance with t~e federal, state and local ~ousing and building codes as are applicable, 2) Comply with the Labor 5tandards described in Attachm~n~ C af this agreem~nt as are applicable. I~ addi~ion to the requirements of Attachment C, all contractors and subcontractors must comp~y with th~ provi~sions of the California ~abar Code as ar~ appl~cable. 3) Comply with such of ~~te Equal apportuni-ty Requi rem~rtts, described ir~ Attachment D of this agreem~nt as are applicable. 4} Ma~ntain at least the minimum state-required Worker's Compensation Insurance for ~hose employees who wiTl perform ~he Warlc or any pa rt of 3 t. _S.. 5) Maintain, if so required by law or the 5ta~e, unemployment ~nsurance, disability ~nsurance and liabill~y i~surance in an ama~nt to be de~ermined by the State which is reasonable to compensa~e any person, firm, or carporat~an who may be injured or damaged by the cantractar ar any subcontractor in perfarm~ng the Wark ar any part o~ it. C. Inspec'~ions A. Grantee shall ~nspect any work performed hereunder to ensur~ ~hat th~ Work is be~ng and has been performed in accardance with the ap~licable fiederal, state and/ar ~ocal req~airemen~s, and this Agreemen~. B. The State reserves the righ~ ~o i~spect any warlc pe~formed hereunder to see ~hat the worlc ~s being and has been perfor~ed in accordance w~th the appl~cable federal, state and/or lacai requirements, with ~h~s Agreement. C. R~cords A. AT1 records, accounts, documentation and all at~er materials relevant to a~iscal aud~~ or ~xamination, as specified by the 5tate, shall be retai ned for a peri od of no~ l ess ~han ~hree (3 } years fram the da~e of termination of this agreement. B. If so direc~ed by the State upon termination of th~s agreement, ~he Grantee shall cause a1T records, accou~ts, documentatio~ and all ot~er materials relevant to the wark to be delivered to the State as depasitnry. il. Audit A. Al l records, accounts , dacumentati on and othet~ materi al s deem~d relevant ~o the Work by the Department shall be accessible at any time to th~ autt~arized represe~tatives of the Sta~e, on reasona~le priar natice, far th~ pu rposes of exami nati on or a~di t. B. An expend~ture w~~ch is no~ authorize~ by t~is agreement or which canna~ be adequately dacumer~ted shall be disa~lawed and must be reimbursed to ~t~e State ar its d~signee by tfie G~^an~ee. Grantee sha1~ initiate an audit in comp~iance with Sectian 7122 of Title 25 of the ~alifornia Administrative Code of all funds and wark don~ pursuan~ to this agreement ~~~her within 90 days a~~er project comp~etion or two y~ars af~er the effec~ive date of th~s agreement, whichever is earlier. E. The State shall not apgrave a~y expendit~re far ~he audit repor~ until receipt and approval af the fina~ audit report by the State. 12. Com l~ance with State Law and ~e uiat~ons Th~ Gran~e~ agrees ~o comply with a11 S~ate ~aws and regulations that pertain to construction, health and safety, labor, fair emp~ayment pra~tices, equal opportunity and all oti~er matters app~icable ~o ~he Grantee, its subgran~ee`s, contractors, or s~abcontractorS, and t1~e lJorfC. 13. E~vironmental Requirements This agreement ~s subject to the provisions of ~~te California Environmenta~ Quality Act (C~QA). Grantee assumes responsib~lity to f~ily comply with CEQA's requirements regarding the Work. In addition, the Grantee shall comply with the pr~v~sions of the f~ational Environmental Policy Act (NEPA} by following ~he procedures contained in 24 CFR ~art 58. The release, by tf~e State, af program implementatio~t funds is hereby conditianed upan compliance w~th CEQA and NEPA. 14. Com liance with Federal Law and Re ulations The Grantee agrees ta comply with all Federal laws and r~g~lations applicable to the CDBG program and ta the Work, and with the required Federal Prov~s~ans set forth in Attachment E. -s- ~5.
