resolves:
As a part of the proceedin~s fpr improvements in
Paradise Bluffs Assessment District No. 1, this Board
approves that certain agreement between the County of Butite
and Pac~fic Gas and Electric Company, dated the 9th day oF
August, 1983, and attached to this resolution.
~he Chair of the Board of Supervisors is
authorized to sign the agreement and the County Clerk is
authorized to attest its execution.

~. County, pursuant ta the provisions of the Municipal Improvement
Ac~ of 19I3, on Marcl~ 29, 1983, a~opted Resolution of In~ention EVa. 83-47
which provides for tlte formation of a s~ecia] assessmen~ district designated
Paradise Bluf~s Assessment D~strict ~Io. 1{pistrict} to construct improvemertts
inc7uding, among otF~er th~ngs, the instaliatior~ of underground electric and
street ligh~~ng facilities within the bo~ar~daries of ~he District as shown on
the sketch marked ~xh7bit "A", copy attached and made a part hereof.
2. County has requeste~ that certain ur~dergraund eiectric and
street ligF~ting fac~li~ies be constructed prior to receTVing a~p7icat~ons for
service within District, a 7ot sale type resider~tial subdivisiar~.
3. The e1ec~ric faci1~~ies contemplated for construct7an with~n
District 7nc]ude (a) the necessary trenching, excavation and backfiil, (b) the
furr~ishing and ins~a7lation of conduits and SU~S'~~'E~CtIl1"~5 located within and
necessary to serve the District (ETectric Substructures), (c) th~ installation

of new underground electr~c distribution fac~liti~s that are to be connected
to PGandE's exis~ing electric distribution system (Electric ~acil~ties), and
(d} the instal~ation of partia7 stree~ 7Tghting ~acilities (Street Lighting
Facilities) a11 of which are generally shown on Exhibit "A" and which are
necessary to pravi~e electric serv~ce ta potential new residen~ia] ap~1~cants
in Dis~rict.
4. The ownership of the Electric Faci7ities and Street Lighting
~ac~~ities installed by PGand~ shali vest in PGandE purs~ant to the provisions
of S~ctions I01Q9, 10I1Q, a~d 1~1I~ of the Ca]ifornia Streets and Highway
Code.
NOW, THEREFORE, IT IS MUTUALLY AGREED AS FQLLOWS:
1. Subject to the terms and co~ditions of this agre~ment and in
accordance w~~h 5ect~on E.4 of PGandE's attached ~lectr~c Ru7e No. 15.1
(Electric Exte~sian Ru7e), PGandE is wi~7i~g to com~iy with Coun~y's req~est
and will construct the Electric Facilities provided County {a) satisfies its
obligat~a~s ~nder Sect~on 2, {~) pays to PGand~ any monies due under
Sec~~ons 3, 6, and IO and (c) conveys to PGandE any req~ired ~ac~Iities ta be
~~s~al7ed by County hereunder free and clear of ali liens and encumbra~ces by
goad and sufficient deed or d~eds. .
2. County shall perform (ar arrang~ for the performance of) aTl
necessary trenc~ing, excavating, backfiliing, inciuding furnish~ng of any
7mparted backfil7 materia7 required, and furnis~, insta7l ~or arrange for the
i~s~a17ation o~}, a~d deed to PGandE any necessary conduit required, a11 in

accorda~ce wtth P~andE's ~7ans and specificat~ons. In the eve~t that
retaining wails or other mechan~ca7 protec~~on is deemed necessary by PGand~
for ~he adequate protection of ~admount ~ran5formers, it wiil be the ~
responsibil~ty of the County to proviae such protection accordi~g to PGand~'s
spec~fica~~ans.
3. (a) As tabu7ated on the appendix, County sha17 pay to PGandE, on
demand a~d in advance of any construction by PGandE, the amount af $26,052
(E~~ctr~c Advance} which is ~he estima~ed cost af ~~e Eiectric Faciii~ies
inc7uding t~ansformers. The tota] amaunt of County's payment sha7T be
re~undable prov7ded there ~s no ~xcess Foa~age as ~etined in Section 3(b).
If t~ere is EXC~SS ~ootage, $2,34a (~2.50 times any ~xcess Footage} of
Co~nty's tatal Electric Advance sha17 be nonre~undable and the baia~ce shall
be refundable.

fra~ting on s~r~ets w~thi~ the su~div~sion Iess the sum of 125 feet times the
n~mber of residential iots within the Distr~ct and 25 feet ti~es the n~mber of
se~arately-metered ~wel7ing un~ts in exc~ss of two Tn each m~lti-~amily ,
build~ng.
4. PGandE wfll be required to construct initially only that par~~an
of the Electric Faci7i~ies tha~, ~n PGan~E's judgment, is necessary to
canstruct i~ conjunction w~~n road improvements. Addi~ions ~o the E~ectric
~acil~t~~s shaTl be co~structed aniy as necessary to provide e~ectric service
~o pe~manent and bona ~ide applicants within Distrfct.

5. Tn ~he event that an e7ectr~e extensian in excess ot 20Q feet
autside the bo~ndaries af the District is requtre~ to cannect with PGandE's
ex~sting electric distribution system, Coun'cy sha11 execute concurrently w~th •
i~s acceptance of this agreement, a separate agreement covering the overhead
or underground extension to Dis~rict in accordance w~th PGandE's RuTe ~o. 15.
6. In addition to the Electric Advance, County shaiT also pay
~6and~ $38,752 (Electr~c Ownersh~p Fund) representing the pr~s~nt worth of the
anriual costs to PGand~ to awn, operate and ma~ntain the requested E1ec~r7c
Fac~Tities, equal ~o ~8.6 p~rcent of the totai cost of the Elec~ric Facili~ies
times the present worth factor of 7.96 based on 12,57 percent interest in
~erpet~ity. Such interest rate sna11 be;equal to PGandE's a~thorized ra~e vf
return on the date of th~s agree~ent.
7. ~a} In the event that PGan~E shali make r~funds of the Electric
Advance as prov~ded in 5ectian 3 herea~, PGa~dE sha71 also adjust the Electric
Ownershi~ Fund. Refunds and adjustmen~s of the Electr7c Advance and Elec~ric
Ownersh3p Fu~d w~Tl ~e made ann~aTly to Gounty foilowing ~he ann~versary of
the date serv7ce is first mad~ ava~7ab]e.
~b) Interest at the rate of ~2.57 ~ercent annually wi7l be a~de~
to the unamor~~zed baTance of the Electric Ownersh7~ ~und before the current
year's cost of ow~ership charges have been deducted.
8. ~a) Subject to Sec~io~ D.3 af the Electric Extensian Rul~, and
to s~bparagra~hs (b} and (c} hereof, an amaun~ equa] to the total refundable
advance, as described in Section 3, divi~ed by the total number of 1ats wit~in
the Dis~rict s~all be eiigible tor refu~d ta Caunty for each lot an which a
structure has bee~ completed and eiectr~c service established ta a~ermanent
customer.
{b) Amou~ts e]igibie fQr refund to Coun~y wili be accu~ulated
each service year. For tne purpase o~ ~his agreement the firs~ service year
shal7 end one year fo7]owi~g ~he da~e tnat th~ E~ectric Facilities are ~
installed and are rea~y to supply service as such date is recorded in PGandE's
records. P~andE wili not~~y County of the date tha~ the ~lectric ~aci~ities
are instal~ed and are reaay ta supply service within the Distric~.
(c) A~ the end o~ each service year, the a~ou~t eiigible for
retund w~~l be refund~d to Co~nty w~thin nine~y (90) days af~er the end af
that service year.
9. As shown an ~xhibit "A", the Street L7ghting Fac~Titzes shali
cansist of protectiv~ ~~bes and conduits fo~ ~he i~stallation of a future
street ~ighting system. The tutur~ street lighting system is nat ~rovid~d for
under this agreement.
10. County sha11 pay PGandE prior ta the furnishing of any work ar
materials relating ta the Street Lighting Faci7~~ies, the nanrefundable ama~nt
of $531 wh~ch represents the instaTled cost of 290 feet a~ street Tight
co~duit and the ins~a7Ted cost fo~ two circular t~bes for future stree~ Iight
poies as prov~ded in Specia~ Canditio~ 6 0~ PGandE's Sched~le L5-l, copy
attached and made a par~ hereof.
~1. County hereby grants ~o PGand~ the right and easement ta
construct, operate, mainta~n, re~iace and, if necessary, remov~ the ElectrTc
Faci7ities a7ong th~ routes shown u~on the attached Fxhibit "A". Sub~ivider
shaTl execute such other documents as PGandE may require to enable it ~o
record such rights of way and easements. If any part or a11 af the ~Iectr~c

Faci7~ties is to be constructeQ on property flwned by other than County, County
sha~l, if PGandE is unabl~ ta da so without cos~ to it, first obtai~ ~rom the
ow~ers thereof in the name of PGandE, a71 necessary p~rmane~t r~ights of way ~
and eas~ments ~o co~struc~, operate, ~ain~ain, rep7ace a~d, i~ necessary,
remove the Electr~c Facil~ti~s upon such other prop~r~y. Such rights of way
and easemen~s shali be i~ a~orm satisfactory to PGandE and without cost ~a
it.
I2. PGandE sha71 not be responsible for any de7ay in the
cons~ruction of the Electric Facilities resu7ting from shortage o~ iabor or
ma~er~als, strikes, Tabor disturbance, war, r~ot, weather cond~~ions,
govern~ental rule, regulatio~ or order, inci~ding orders or judgments af any
court or commission, de~ay in o6ta~ning necessary rights of way, act o~ God,
or any cause or cond~tion beyond the control ofi ~Gand~. PGandE shali have the
rlght, 7n the event it is ~~able to obtain sup~lies, materiai or labor for a11
of #ts cons~r~ction requirements, to a7locate materiais and labar to
construction project which it deems, in its sole discret~on, most importan~ to
serve the n~~ds of its custor,~ers, and delay i~ constructio~ hereunder
resU~ti~g from such al7acation shali be d~emed a cause beyona PGandE's
contro1.
13. In the event that County has not comp]eted its obligations
under this agreement w~thfn ~welve (Z2) months fol~owing the date of this
agreement and PGandE is unable to proceed hereunder, RGan~E shall have the
righ~ to termi~ate and/or supersede this agreement upon thirty {30) days'
wr~tte~ notice tQ Caun~y and caicuiate any refundable or nonrefundable amounts

that may be due based on tha~ portion of th~ ETectric and Street ~9ghting
Fac~lities ~hen camp7eted, utilizing the estimated costs developed by P~andE
for th~s agreement. The superseding agreement, ~~ any, s~all be in the same
form as this agre~ment, be executed by a7i parties ~ereta a~d sha71 provide
that casts be al7ocated to th~ portion of t~e dist~ibution system completed,
if any, consistent w~th those costs estimated by PGandE ~ar t~is agreeme~t.
14. A7~ facil~ties constructed her~under by PGandE shaTl, at a~1
times, be the so7e property of PGandE.
15. This agreemen~ does ~ot provide far the canstruc~ion of any
eiec~ric ~ac~Tities by PGandE ot~er than as provided on the attac~ed Exh~bit
"A". Service insta]lations other than as shawn on the attached ~x~ib~t are
not included in ~his agreement and w~ll be constructed and mainta~ned ~nder
PGandE's Electric Ruie ~a. ~6.
16. Caunty may assign this agreement, in whole pr i~ par~, i~
PGandE consents thereto in writing and the assignee agrees to perform ~he
oblfgations of County here~nder. Unless otherwise specif~ed in writing, s~ch
assign~ent w~Tl be deemed to i~c~ude assignor's rights to re~u~ds unpaid as of
the date thereof or whi~h may ~hereaf~er become d~e.
17. County agrees to reimb~rse PGand~ for any engineering or rig~~
of way acquis~tion expense i~curred by PGa~dE as the result o~ the
cancellation or ma~erial change by County of the subdivision pian as shown and
de~ir~eated on the attached Exhibit "A".

I8. A~y rearrangement, re7ocation, repair af da~age, add~tion to or
modifica~ion ~f the Electric FaciTities and S~reet Lighting ~acilities as
shown on Exhibit "A" after cammencement af construction which ~ay jbe requ~red ~
due to ac~s or omissions af Caunty, its agents, servants, emp7oyees,
contractors or subcontrac~ors sha17 be paid far on demand and ~n advance by
County.
19. County sha17, upon the co~pletion of the Eiectric Facilities
and Stre~t Light~ng Faci7it~es installed hereunder a~d u~on demand by PGandE,
execute a~d deiiver to FGand£ a deed or deeds in the form attached hereto as
Exhibit "B" conveying the E7ectric Facilities and the Street Lighting
Facilities to PGa~dE.
20. Co~n~y shall ~ake paym~n~ to PGandE as descr~bed under
Sectzons 3, 6, and IO on7y fram the praceeds of assessments levi~d a~d bonds
so7~ in the assessment d~s~rict proceedings. There sha71 be no iiability of
Ca~n~y to make such payments from any ather source of funds. RGandE sha11 not
be vbligated to proceed hereunder until sufficient funds have been made
availab7e and a17 pay~ents to be made ~o PGandE have been ma~e.
21. PGa~dF sha~1, s~bject to alI of ~he terms and conditians
hereaf, operate and maintain the ~lectric Facilit~es an~ ~he Street Ligh~ing
Faci7~ties and provide eiectric service Yn accordance w~th PGandE's appl~cable
rates and rules established by PGa~dE, from time to time, and on file with and
au~horized 6y the California Pubiic Ut~Iities CornmissTOn (Cornmission).

emp7oyees, against al~ loss, damage, ex~ense and 7iabiiity resulting from
i~j~ry to or death af person, including, but ~ot iim~ted to, employees of .
PGand~ or Caunty, or injury to ~ra~erty, incl~d~ng, bu~ not Ii~7ted ta,
proPerty of PGandE or Caunty, arising out of or ~n any way conn~cted with the
pertormance of this agreement, except~ng on]y such loss, damage, expense or
liab~lity as may be caused by t~e sole neglig~nce or wiil~ui m~sconduc~ of
PGa~dE.
23. Th~s agree~ent shai], at a1i t~mes, be subjec~ ta s~ch changes
or modifications as the Corr~issian may, from time ~o ti~e, direct in the
exerc~se of i~s J~~75dTC~tO~.

~'he re£undable advance determined fn accordance with Section C.2 or C.3 tivilI be subject to refand

J.. T'o determine the amount to be ref~nded, the tatal refundable advanees will be divided by the total
number of (a) lots ~vitbfn the subdivision, or (b) individual dwelling ~anits within the develapment
covered by the advance, Lt3en:
2. When ia} a bu9lding has been completed on a lot within the subdivision and service is supplied to
the first permanent customer on that lat, or (b) service is supplied to a permanent customer in a
d~velling unit in a development, t~at portion o£ the advance (determined in accordance rvith b.2
above} appropria.t~ to said lot or d~-elling u~ait wxil he refunded (ar credited to the develaper's
account if the advance has been postponed in accordance witb Sectiora C.4 above).
3. When (a) buildings have been completed in 90% of t~ae total nu~nber of Iots witl~i~a tba subdivSsion
and service is supplied ta at Ieast one permanent customer in each of such buildings, or {b) ail
buildings have heen completed in fhe de~~elopment and service supplied to 90% of tbe d~veIling
vn3ts, any re~aaainder of the advance wiIl be refunded.
~4. All refunds tvitI be made proznptly and ~rithat~t interest, bt~t not later than 90 days after eligibility
far refund zs established under Sections D.2 or D.3 above.
5. In the event that any portion of an ad~~ance bas aot qualified for refund at the end of 12 months
after completion of the underground e~ension, the der•eloper ts:ill pay to t}~e Utility its orvnership
costs on that portion of the adrance for ~chieh no refunds have been made or are eligible #o be
made. T~-e diffeTence betn-een the total axraoUnt advaneed and an3 refunds xnade or eligible to be
made to the dereloper shall serre as the basis of a monthly ownership charge in accardance ~ti•ith
Section I.3. of Electric Rule No. 2.
Payment of such on~nership costs ~~i31 norma]ly be made bp deductinn fram fhe de~reloper's ad-
, vance, but such deduction ticil] npt reduce the amonr.t on wbieh the cast of a~i~nership charge is
based.

written contracts covering ljne extensians for w~iekc ad~~anees or payments ~ ill be n~ade in accord-
ance lvith the provisipns of the tariE'f scbedules. 5~ck- ~~~ritten. contracts shall be in the form an
file ~v9th the Public Utiities Commission as pari of the Ut9lity's e~#ective tari~ sck~edules.

The LTtility ~vill review its cnsts of Conatruction of nnderground tine extensions annually and shall
p:epare ~. contempl2ted tariff re~•ision ti.hen st~ch eosts l~ave changed by more than 10 perceut since
the ]ast revision of the costs set forth in Section C. ahave. A contemp]ated revision shall be sub-
mitted to the Commission for revie~~~ in ~rnposed form not less than 30 days pr4or to any cantem-
plated flling date.
3. Ruies Previously in Effed
Amounts adcanced under thp conditions estahlislted by a ritle previously in effect ~i~ill be refunded
in accordance with the requirements of such rule.
4. ExceptionaI Cases
In unusua3 circumstances, when the application of these rules appears impractical or un3ust ta
either party, the Utiiity or developer may refer the matter to the Pitblic Utilities Cammission for
special ruling or for the approval of speciat conditfans which may be mutually agraed upon, prior
to commencing conetrnction.
