AU7HORIZING EXECUTION OF A GRANT CO~TRACT WITH THE CALIFORNIA ARTS COUNCIL
WHEREAS, the Ca7ifornia Arts Council and ~he California State
Legislature have established a State/Local Partnership Program designed
to encourage 7oca1 cultural planning and decision making and to reach
previously underserved constituencies; and
WHEREAS, a plan for the arts in Butte County was submitted
to a~d accepted by the California Arts Council at its public meeting
of April 29, 1983.
NOW, THEREFORE, BE IT RESOLVED that the Board of Supervisors
of the County o~ Butte does hereby des~gnate the Soard Chair to execute
Standard Agreement Pdumber AC-3173 ~n the form a~tached and incorporated
by reference herein.

1. The Contractor agrees to indemnify, defend and save harmless the State, its officers, agents
and employees from any and all claims and losses accruing or resulting to any ar~d al~ ca~tractors,
subcontractors, materialmen, laborers and any ather person, firm or corporatian furnishin~ or
suppl~~ir~g ~s~ark, services, materiats or supplies in connectian ~~~ith the perEormance of this c~ntrlct,
and from any and all c~aims and losses aceruing or resulting to any person, ~irm or corporation
~;~ho may l~e injurec~ or d.~maged by the Contractor in #he perFormance of fhis contraet.
2. The Contr~ictor, and the agents and empioyees of Contractor, in the performance of this
a~reement, shaii act in an indepencient capacity and r~~t as of~ic~ers or employees ar agents of
State of Califarnia.
3. The State may terminate this agreement and be relieved of the payme~t of any consideration
to Coi~tractor should Contractor fai] #o perform the covenants herein contained at the time and
in the manner 17erein provided. In the e~ent of such~termSnation the State may proceed tivith the
~s~ork in an~~ manner deemed prop~r by the State. The cost ta khe State s~all be deductec} from
any sum c~ue the Contractor under this agreerr~ent, and the balance, if an}~, sha11 be paid the
Contractor upon c~umand.

Genera! Caliiornia Arts Counei! Requirements
1. Projett Defined: As used in these provisions, the term "projeci" shafl mean that praposal described an the grantee's
application and intorporated in the grantee's contract for which the grant was awarded.'
2. Grantees may not use Federal funds to match Federal funds provided by the Arts Council thraugh the Cot~nciE-grantee
contraci. ~
3. EXCESS COSTS: ER the eventthat the project costs exceed the amount specified in the a~proved budget, grantee agrees to
complete ihe project and fund the cost above said budget from sources other than State funds.
4. C057DlSALL4WANCE: Granteeagreestousethegrantfundssolelyforthepurposesoftheappfovedproject.CostiterrEs
for the purpose of determining the "cost" of the praject, as that term is used in these requirements, shall incfude cash expended
{or in lieu thereof, contractua! obligations incurred fortE~e projec~~ and the fair value, as determined by the Cauncil, af servicesor
products actually incorporated therei~. The 6urden of proof shaRl be upon the grantee to establish such cost items,and such cost
items may be disallowed if not adequatelysupported bythe records. Should grantee misapplyanygrant manies,and fail to ma~ce
restiwtion tn the 5tate of any amounts due under the terms of the grant agreement, in additian to any nther remedy provided by
law, the State shall have, to the extent of its appropriate claim, an ownership in anyfunds or propertyacquired with the use of such
misapplied #~nds.
5. RETURN OF GRRN7' FUNDS EARMAFtKED BU7 NO LQNGFR REQUIRED FOR SPEClFIC lTfMS: Where the budget
specifies tF~at grant funds are to 6e used for specific items, ancE subsequent ta the receipf ot the grant,t~e granteeobtains the same
witho~t cost, or at a reduced cost, the saving, except for good cause in the judgment of the Califarnia Arts Council, shall be
~romptly returned to the State.
6. R~DUCTION OF STATF'S GRANT: Notwithstandir~g any other provision of these requirements, should the project, to
time of completion, or terminatio~ in whole or in part, cast less tE~an the ap~roved budgeted amount on whicf~ the grant was
based, grantee's matching amounts (including funds, or services or products incorporated into the project in lieu thereof} shall be
conckusively cieemed to have been expended #irst, and the grant shal[ be reduced by any amounts remaining after completion or
termination of the project. Such remaini~g amo~nts shalf be pramptfy forwarded to the Arts Councif.
7. COSTS RECORDS: Grantee shaf] maintain Complete, accurate and current records of al! income, i~cluding obligations
incurred wit~ respe~t thereto. Sueh records, or copies of such records, shafl be kept separate frorri other cost r~cords. l~~ring the
duration of the project and for not iessthan four years aftercompEetion or termination of the project, grantee shafl make available
for examination or audit any books, documents, papers or records pertaining to the pfojed, to the Cali#ornia Arts Council, State
ControEler or w~ere pertinent, the Federal Government. Upon reqt~est of such parties, grantee shail f~rnish ai its awn expense
fegible copies of materia] tF~ey deem pertinent. ,
8. EVALUATIOIV AND FXPEh1DfTURE REPORTS: Grantee agrees Eo furnish at such times cfuring or upars the completion of
the project, as may be determined by the 5tate, ancf where requested by the State, o~ farms furnished byshe 5tate, evaluation and
expenditurc reports felating to the projecl.
9. FfDERALMINlMUM WAGFRFQUlREMFNTS: GranteeagreesthaiwherethegrantconsistsinwholearinpartofFederal
funds, and/or State that all pro(essional perforr~ers and related or supporting personnel employed an the project will 5e paid,
without subseq~ent dedvction or rebate an any account, ~ot less than ihe rnir~imurn compensation as determined by the
5ecretary of Labor to be the prevaiEing minimum wage o{ tl~e State o~ California for persons employed in similar activities. For tf~e
proper co~structian of chis section, grantee is referred to Part 505 of Title 29 of this Code of FecEeral Regulations, as iast amended
June l9, 1972 and as it may be fe~rtE~er amended from time to tirne.
30. MFN7ION QF THE 'CALlfORNlA ARTS COUNCIL" AND "NATIONAL FNDOWMENT FOR ThlE AR7S" OR ANY
FfDERAL AGfNCY SUPPOR7: in any printed, visual or retnrded matter, or in any exhibition, display or performance, which
describes or is prepared in connection with, o r resu Its i n wF~ole or pari fro m the gra nt, mentRon shall be made of the Ca lifornia Arts
Council's support, and where the grant is deri~ed in whoie or in part from Federal funds, af the sup~ort of the ~e~eral Agency.
Copies of printed matter canzaini~g such mention should be sent to the CAC wfth the eval~ation reportrequired byEhetermsof
the grant. Any documents contaiRing sueh mention shall spetify that any findings, opinion, ar concfusions conta'rned therein are
not necessarily those of the CaEifornia Arts Council and, where applicahle, nat necessariiy those of tf,e Federal Covernment or ahe
National Endowment for the Arts.

12. As an agency which receives federal funds frorr~ the hlational Endowment far the Arts, the Cali{ornia Arts Counci{, alang
with all its grantees, must compiy with the provisions of 5ection 5D4 of ihe l2ehabiEitation Act of 1973. The 5Q4 regulations requi re
all graRtees to ~onduct an evaiuation of afl ~olicies, ~ractices, and progra ms that are nat equally avai[able to f~andicapped people.
When structural modificatioas are necessary to acE~ieve accessibikity,the reg~tlations require the de~elopment af a transitian plar~
outlining the deveEapment of such a plan. Handicapped persons, or organizations representing them, m~st be induded in
developing this plan. A copy of ti~e plan must then be a~ailable for pu6Rit inspection. The 504 regulatiarts do not require.
affirmative action employmerst of thF handicapped, but they do mandate grantees to judge applicanu for employmentsolelyor~
tF~e basis of their qualifications. Nondiscriminatary em~loyment practices must also include accessible jab app~ications and pu6lic
notices af empioymenE. Grantees are responsible for self-evaluation and musc also develop tf~eir own plans for compfiance.
According to the regulations, all graniees' facilities must be architetturaily accessible by May, 1982,

~. In the performance of #his contraC#, the Contractor will not discrimina'te against any employea or appiiCant
for employment because of race, cafor, rel~gfon, ancestry, sex*, age*, national orig9n, or physical handicap*. The
Contractor will ta{ce affirmative action to ensure tha#.appEican#s are employed, and tha# employees are treaied
during employment, without regard to their race, color, religion, ancestry, sex*, age*, natior~al origin, or physica!
handicap*. Such action shafl include, 6ut not be limited to, the following: empfoyment, upgrading, demotian
or transfer; recruitrr~ent or recruitment advertising; layaff or terminatian; rates af pay or ather farms of compen-
sation; a~8 seleetion for training, including apprenticeship. '~'he ContraCtor shall post in cnnspicuous plates, avail-
abie to employees and applitants for employment, notices to be provided by the State setting forth the provisions
of this Fair Employment Practices section.
2. 7he Contractor wili permit access ta_ his/her records of emplayment, emplayment advertisements, appfica-
tian forms, and other perfRnent data and records by the 5tate Fair Emplayment Practices Cammission, or any
other agency of f~e State of California designated by the awarding authori~y, for the purpose of ir~vestigation to
ascertain compliance wi#h the Fair Employment ~ractices section of this eontract.
3. Remedies for WiIIfuE ViaEation:
{a} The State may determine a willful vioiatipn of the Fair Empfoyment Practices provisiors fo have
occurred upon receipt of a final judgement having that effect from a court in an action ta which
Contractor was a party, or upon receipt of a written natice from the Fair Employment Practite5
Commi55ion that it has 9nvesfigated and de#errr~ined that the Cantractor has violated #he Fair Employ-
ment Practices Att and has issuer# an order, under Labor Code Sectibn 1426, which has becorrre final,
or obtained an injunction under Labor Code Section 1429.
(b) ~or willful violafion of this Fair Emplayment Pra~tites provi5ian, the State shall have the right to
terminate this contrac# either in whole ar in part, and any loss or damage sustained by the State in
securing the goods pr services hereunder shall be borne and pa9d for by 'the Contractor arsd by his/her
surety ~ncler the performance bond, if any, and the State may deduct from any moneys due or that
thereafter may become due to the Contractor, the differente between the price named in the contract
and the actual cost thereof to the S~ate.
