WHEREAS pursuant to the cable television franchise agreement adopted as
Exhibit C of Resolution No. 83-120 on July 12, 1983, the Board of Supervisors
of Butte County granted a nonexclusive franchise to State TV Cable for the
installation, operation and maintenance of a cable television system within
the unincorporated areas of Chico/Durham; and
WHEREAS effective August 31, 1988 State TV Cable was dissolved and
liquidated into Western Communications, Inc. and, immediately thereafter,
Western Communications, Inc. was dissolved and liquidated into The Chronicle
Publishing Company, the parent of Western Communications, Inc. and the
ultimate parent and controlling owner of State TV Cable; and
WHEREAS pursuant to Section 20 of the franchise agreement, consent to
the foregoing transactions is not required by the County; and
WHEREAS the foregoing transactions have been completed and a written
notice from The Chronicle Publishing Company informing the county of such
occurrence has been provided.
NOW, THEREFORE, BE IT RESOLVED that the Board of Supervisors of Butte
county hereby acknowledges the transfer of the nonexclusive franchise for the
installation, operation and maintenance of the sable television system in the
unincorporated areas of Chico/Durham from State TV to Western Communications,
Inc. and from Western Communications, Inc. to The Chronicle Publishing Company
effective as of August 31, 1988.

ACKNOWLEDGING THE TRANSFER OF THE GABLE TELEVISION FRANCHISE FOR THE COUNTY
FROM STATE TV CABLE TO WESTERN COMMUNICATIONS, INC.
AND FROM WESTERN COMMUNICATIONS, INC. TO THE CHRONICLE

ADOPTED by the Board of Supervisors of the County of Butte at a
regular meeting of said Board held on November 15, 1988 by the following vote:
