HomeMy WebLinkAbout97-087_- BQ~#RD ~~ UP1~t~V~~C3Ra COUNTY ©F BUTTE, STATE Q1= ~ALFFC)RNIA Resolution No. 97-g7 RESOLUTION APPROVING AGREEMENT FOR ENGINEERING SERVICES DRESCHER TRACT ASSESSMENT DISTRICT The Board of Supervisors of the County of Butte resolves: This Board approves that certain agreement between the COUNTY OF BUTTE, and NORTHSTAR ENGINEERING, for services as Engineer of Work for Drescher Tract Assessment District, County of Butte, California, dated the 8th day of July , 1997, and attached to this resolution. The Chairman of the Board of Supervisors is authorized to sign the agreement and the Chief Administrative Officer and Clerk of the Board of Supervisors is authorized to attest its execution. J AGREEMENT FOR ENGINEERING SF,RVICES ASSESSMENT DISTRICT: DRESCHER TRACT ASSESSMENT DISTRICT This is an agreement for engineering services between the Count~_f Butte , of the State of California, referred to as COUNTY, and NorthStar Engineering referred to as ENGINEER. 1. COUNTY retains ENGINEER as Engineer of Work for Assessment District: Drescher Tract Assessment District to perform the following services: a) Preparation of a map showing the proposed boundaries of the assessment district, in accordance with the requirements of Division 4.5 of the Streets and Highways code. b) Preparation of the report required by Section 10204 of the Streets and Highways Code (Municipal Improvement Act of 1913), and modification of the report if directed by the legislative body of COUNTY. This report shall include the following: (1) Plans and Specifications of the proposed improvement. (2) A general description of the improvements to be acquired, if any, and a legal description of lands, rights of way, easements, or other interests in real property to be acquired. (3) An estimate of the cost of improvement, including the costs of acquisitions and all incidental expenses. (4) An assessment diagram showing the parcels of land to be assessed. (5) A proposed assessment of the total cost of the improvement an benefited parcels of land within the assessment district. c) Compilation of a list of the names and addresses of all owners of land within the assessment district in accordance with records of the COUNTY Assessor or in accordance with title reports provided by COUNTY. dj Construction Staking e) Verification and compilation of pay quantities of COUNTY'S contractor. fl Attendance at meetings of COUNTY's legislative body, when requested by COUNTY'S staff, far the purpose of presenting and seeking approval of the documents and reports described in subparagraphs a) through c). g) Attendance at all other public meetings of COUNTY which matters relating to the assessment district are considered, except routine matters. h) Attendance at staff meetings or meetings of property owners upon the request of the COUNTY, after reasonable notice. i) Telephone consultation with staff members and property owners to answer engineering questions about the assessment district. j) Preparation of Change Orders as may be required during the course of construction. k) Preparation of a final cast schedule after completion of the improvement and payment of all incidental expenses. 2. The services of Engineer, under this agreement, shall not include the following: a) Pre-construction Soils analysis or design b) Construction Inspection c) Final Pay Quantity report The performance by ENGINEER of services excluded by this paragraph, if required by COUNTY shall be under separate oral or written agreement. 3. In consideration of the services set forth in paragraph 1, COUNTY shall pay to ENGINEER the following fee and costs: SEE ATTACHED EXHIBIT "A" In na event, however, will the compensation of ENGINEER exceed the amount set. forth by ENGINEER far that purpose in the report, or any amended Report, prepared by him under Section 10204 of the Streets and Highways Code. 4. Payment by COUNTY of said compensation is contingent upon the levy- of assessments and the sale and delivery of improvement bonds representing unpaid assessments in the assessment district. If, for any reason, assessments are not confirmed and bonds delivered, ENGINEER shall be paid no fee. Engineer's compensation is payable upon the delivery of the bonds. 5. Independent Contractor. It is specifically and expressly understood that this agreement creates na relationship of employer jernplayee between the parties, that ENGINEER is an independent contractor and not an employee of COUNTY and that neither he nor his employees are eligible to participate in COUNTY health and dental protection, vacation, holiday, retirement, or other programs which are applicable to COUNTY employees. COUNTY will not pay for or provide Worker's Compensation insurance, State Disability insurance benefits, Unemployment Insurance benefits, or Social Security. ENGINEER shall be responsible to pay or provide far such insurance ar benefits and to pay his own federal and state income taxes responsibilities, Social Security and any other payroll tax obligations that he may owe as a result of compensation received far services rendered pursuant to this agreement. 6. Indemnification; Insurance. ENGINEER agrees to indemnify, defend and hold harmless COUNTY against casts, attorney's fees, expenses and all loss and liability which COUNTY may incur by reason of any suit, action, claim or proceeding, whether well-rounded, meritorious, or otherwise, for any injury or damage occasioned wholly or in part by any act or omission or ENC'~INEER, his associates, partners, or employees in the performance of the engineering services and jor consultation provided far in this agreement. Prior to performing services hereunder, ENGINEER shall furnish COUNTY with a certificate of insurance duly executed by an insurance company or companies authorized to transact business in the State of California, and certifying ENGINEER has in full farce and effect, coverage applying to errors and omissions in the amount of one million dollars ($1,000,000.00} per occurance. Said certificate shall specify that the insurer shall advise COUNTY 15 days in advance of cancellation, material change, or non- renewal of such policy insurance. ENGINEER shall maintain such insurance in effect during the term of this agreement and any extensions thereof. No additional biological or archeological review is included. 3. The permitting process for O.W.I.D. approval is not included. 4. Drainage problems not related to the roadway are not included.
