Terms and Conditions
The above fire sprinkler contractor offers and agrees to furnish all labor and material to install a fire protection system or the alteration and repair of such a system in
accordance with the plans and specifications of,if no such plans and specifications are so attached,then in accordance with the work to be performed and outlined in the
attached proposal. It is the responsibility of the contractor and/or owner to have adequate structural calculations for support of a complete fire sprinkler system,in
accordance with NFPA 13 and/or UBC standards. Structural calculations not limited to roof,flooring or walls.
Any alterations or deviations from the attached specifications involving extra cost or labor will become an extra charge over the sum mentioned in this contract. These
changes will become part of the original contract and are subject to the terms. Time is of the essence as to payment under this contract. Therefore,timely payments are
an expressed condition precedent to further performance. Non-payment shall therefore be considered prevention of performance. Payment shall be immediately made
after the general receives payment from the owner or financing from a banking institution,however under no circumstances,even if payment is forthcoming,may the
general delay payment for more than ten(10)days after receipt of billing from the subcontractor. If the subcontractor is not paid herein described,he has the right to stop
further work. In the event it becomes necessary to employ the services of an attorney to enforce this obligation,the signee agrees to pay reasonable attorney fees. In the
event of a failure to pay within ten(10)days of the date of the billing FOOTHILL FIRE PROTECTION may stop work on the project,and the signee waives any claims for
damages against FOOTHILL FIRE PROTECTION in the event of cessation of work for the reasons stated above. Interest will be charged at the maximum rate allowed by law,
on past due payment. NOTE: If you accept this bid and submit your contract using these figures alone,the entire terms of this bid proposal form are included and
incorporated into your contract regardless of whether or not all of these terms are actually stated in the contract you submit for the signature of FOOTHILL FIRE
PROTECTION.
Foothill Fire Protections,Inc.'s(FFP)Liability: User agrees to compensate FFP for any additional installation/service visits required as a result of cancellation,readiness or
unavailability at the company's current prevailing rate. FFP does not represent nor warrant that the system as inspected may not be compromised nor circumvented,that
the system as inspected,repaired or installed will prevent any loss by fire or otherwise,or that the system will in all cases provide the protection for which it is installed or
intended. FFP shall not be liable for any loss or damage caused to person or property of purchaser of the person or property of others which shall be caused by any
damage which the system is designed to avert or protect against. From the nature of the system inspected,repaired it is impractical and extremely difficult to fix the
actual damage,if any,which may proximately result from the failure of the system to operate or upon the failure of FFP to perform any of its obligations with a resulting
loss to the owner or anyone else. In the event FFP shall be found liable for loss or damage due to failure on the part of FFP or of the system in respect,the liability of FFP
shall be limited to the sum of$250.00,pursuant to the existing agreement,as liquidated damages and not as penalty,and this liability shall be exclusive.
LIMITATION OF LIABIILTY
The contractor makes no warranties,expressed or implied,including,without limitation,warranties of merchantability and/or fitness for a particular purpose.No promise
not contained herein or affirmation of fact made by an employee,agent or representative of the Company shall constitute a warranty by the Company or give rise to any
liability or obligation.Contractor's liability to Subscriber for personal injury,death,or property damage arising from performance under this contract shall be limited to the
contract price. Subscriber shall hold Company harmless from any and all third party claims for personal injury,death,or property damage arising from Subscriber's failure
to maintain these systems or keep them in operative condition,whether based upon contract,warranty,tort,strict liability or otherwise.In no event shall the Company be
liable for any special,indirect,incidental,consequential,or liquidated,penal or any economic damages of any character,including but not limited to loss of use of the
Subscriber's property,loss of profits or loss of production,whether claimed by the Subscriber or any third party,irrespective of whether claims or actions for such
damages are based upon contract,warranty,negligence,tort,strict liability or otherwise
NOTICE
Under the Mechanics Lien Law(California Code of Civil Procedure,Section 1181 et seq.)any contractor,laborer supplier or other person who helps to improve your
property but is not paid,for his work or supplies,has a right to enforce a claim against your property. This means that,after a court hearing,the sale is used to satisfy the
indebtedness. This can happen even if you have paid your own contractor in full,if the subcontractor,laborer or supplier remains unpaid.

2.System Compliance:If,at the time of inspection,the system is found to be out of compliance,Foothill Fire will not complete the
system inspection.Foothill Fire may provide a proposal to correct the system.(under NFPA17a)
3.Grease build-up:Foothill Fire reserves the right to refuse service on any suppression system until the kitchen hood and
appliances are properly cleaned.This will be determined by a Foothill Fire service technician or account manager.
4.Cost of replacing fusible links,rubber caps or tax on said materials.

Terms and Conditions
All inspections and testing are to comply with the current adoption of CA NFPA 25 and or NFPA 72 and or NFPA 17a and or NFPA 10 requirements as appropriate and described.
The above fire protection contractor offers and agrees to furnish all labor to perform the above selected services.
Any alterations or deviations from the above selected services that involve extra cost or labor will become an extra charge over the sum mentioned in this contract.These changes will become
part of the original contract and arc subject to the terms.Time is of the essence as to payment under this contract. Therefore,timely payments are an expressed condition precedent to
further performance. Non-payment shall therefore be considered prevention of performance.Payment shall be immediately made after the general receives payment from the owner or
financing from a banking institution,however under no circumstances,even if payment is forthcoming,may the general delay payment for more than ten(10)days after receipt of billing from the
subcontractor. if the subcontractor is not paid herein described,he has the right to stop further work.In the event it becomes necessary to employ the services of an attorney to enforce this
obligation,the signee agrees to pay reasonable attorney fees. In the event of a failure to pay within ten(10)days of the date of the billing FOOTHILL FIRE PROTECTION,inc.may stop
work on the project,and the signer waives any claims for damages against FOOTHILL FiRE PROTECTION,inc.in the event of cessation of work for the reasons stated above. Interest will
be charged at the maximum rate allowed by law,on past due payment. NOTE: If you accept this bid and submit your contract using these figures alone,the entire terns of this bid proposal
form are included and incorporated into your contract regardless of whether all of these terms are actually stated in the contract you submit for the signature of FOOTHILL FiRE
PROTECTION,Inc.
FOOTHILL FIRE PROTECTION, Inc. Liability: User agrees to compensate FFP for any additional installation/service visits required as a result of cancellation, readiness or
unavailability at the company's current prevailing rate. FFP does not represent nor warrant that the system as inspected may not be compromised nor circumvented,that the system as
inspected,repaired or installed will prevent any loss by fire or otherwise,or that the system will in all cases provide the protection for which it is installed or intended. FFP shall not be liable
for any loss or damage caused to person or property of purchaser of the person or property of others which shall be caused by any damage which the system is designed to avert or protect
against.From the nature of the system inspected,repaired it is impractical and extremely difficult to fix the actual damage,if any,which may proximately result from the failure of the system to
operate or upon the failure of FFP to perform any of its obligations with a resulting loss to the owner or anyone else.In the event FFP shall be found liable for loss or damage due to failure on
the part of FFP or of the system in respect,the liability of FFP shall be limited to the sum of$250.00,pursuant to the existing agreement,as liquidated damages and not as penalty,and this
liability shall be exclusive.
LIMITATION OF LIABLITLY
The contractor makes no warranties,expressed or implied,including,without limitation,warranties of merchantability and/or fitness for a particular purpose.No promise not contained herein,
or affirmation of fact made by an employee,agent or representative of the Company shall constitute a warranty by the Company or give rise to any liability or obligation.Contractor's liability to
Subscriber for personal injury,death,or property damage arising from performance under this contract shall be limited to the contract price.Subscriber shall hold Company harmless from any
and all third-party claims for personal injury,death,or property damage arising from Subscriber's failure to maintain these systems or keep them in operative condition,whether based upon
contract,warranty,tort,strict liability or otherwise.In no event shall the Company be liable for any special,indirect,incidental,consequential,or liquidated,penal or any economic damages of
any character,including but not limited to loss of use of the Subscriber's property,loss of profits or loss of production,whether claimed by the Subscriber or any third party, irrespective of
whether claims or actions for such damages are based upon contract,warranty,negligence,tort,strict liability or otherwise
NOTICE
Under the Mechanics Lien Law(California Code of Civil Procedure,Section 1181 et seq.)any contractor,laborer supplier or other person who helps to improve your property but is not paid,for
his work or supplies,has a right to enforce a claim against your property.This means that,after a court hearing,the sale is used to satisfy the indebtedness.This can happen even if you have paid
your own contractor in full,if the subcontractor,laborer or supplier remains unpaid.
Cancellation Policy
When you book your appointment,you are holding a space on our calendar that is no longer available to our other clients.Please call our offices as soon as you know
you will not be able to make your appointment.If cancellation is necessary,we require that you call at least 48 hours in advance.Appointments are in high demand,
and your advanced notice will allow another client to take your slot.Failure to follow this policy will result in a trip charge of no less than$345.00

MONITORING CENTER COMMERCIAL SECURITY MONITORING AGREEMENT
Agreement dated 6/9/2020 , by and between FOOTHILL FIRE PROTECTION, INC(hereinafter referred to as"FFP"or"ALARM COMPANY")and Trident
Property Management-1110 Civic Center Blvd Suite 102—Yuba City,CA 95993 (hereinafter referred to as"Subscriber"or"Buyer"). Premises where security

Subscriber owns an electronic security system and desires Monitoring Center services. The parties agree as follows:
1. PASSCODE TO CPU SOFTWARE REMAINS PROPERTY OF FFP: FFP shall install or monitor a communication device connected to Subscriber's
electronic Security System. Provided Subscriber performs this agreement for the full term, upon termination FFP shall at its option provide to Subscriber the
passcode to the CPU software or change the passcode to the manufacturer's default code. Software programmed by FFP is the intellectual property of FFP and
any unauthorized use of same, including derivative works, is strictly prohibited and may violate Federal Copyright Laws,Title 17 of the United States Code, and
may subject violator to civil and criminal penalties. The Equipment shall remain Subscriber's personal property and shall not be considered a fixture,or an addition
to,alteration,conversion,improvement,modernization,remodeling,repair or replacement of any part of the realty,and Subscriber shall not permit the attachment
thereto of any apparatus not furnished by FFP. FFP's signs and decals remain the property of FFP and must be removed upon termination of this Agreement.
2. DESCRIPTION OF SERVICE AND EQUIPMENT:

❑ CYBER SECURITY:COMPLIANT ENCRYPTION: Subscriber agrees to pay FFP the sum of$ per month
for the term of this agreement for cyber security encryption services as specified in the Schedule of Equipment and Services. Cyber security compliance and
conformance programs include guidelines in Underwriters Laboratory (UL), 2090 Cybersecurity Assurance Program or the National Institute of Standards and
Technology(NIST)Cybersecurity Framework(CSF).Encryption services are currently available for installation,inspection and monitoring of Camera and Access
Control equipment which meets Advanced Encryption Standard specifications for encryption of electronic data established by the US National Institute of Standards
and Technology[NIST],UL or any other established criteria for encryption.
Approximate date of system to be activated for monitoring: June 2020
3. INSTALLATION AND SERVICE CHARGES: Subscriber agrees to pay FFP: Check applicable services:
• (a) The sum of$ 350.00 ,plus tax for the installation of the communication device and programming for monitoring service.
• (b) The sum of$ 45.00 , plus tax,per month,payable annually in advance for the monitoring of the Security System for the term
of this agreement commencing on the first day of the month next succeeding the date hereof, and continuing monthly thereafter, all payments being due on the
first of the month. The balance of payments for the term of this agreement is due upon execution of this agreement but for the convenience of the parties and so
long as there is no default in payments,Subscriber may make the payments as provided herein.
4.TERM OF AGREEMENT/RENEWAL INCREASE: The term of this agreement shall be for a period of three years and shall automatically renew year to
year thereafter under the same terms and conditions,unless either party gives written notice to the other by certified mail,return receipt requested,of their intention
not to renew the agreement at least 30 days prior to the expiration of any term. FFP shall be permitted,from time to time to increase the monitoring charge by an
amount not to exceed nine percent each year and Subscriber agrees to pay such increase. FFP may invoice Subscriber in advance monthly,quarterly,or annually
at FFP's option.
5. MONITORING CENTER SERVICES: Upon receipt of an alarm signal,video or audio transmission,from Subscriber's security and or fire alarm system,
FFP or its designee Monitoring Center shall make every reasonable effort to notify Subscriber and the appropriate municipal police or fire department [First
Responders]depending upon the type of signal received. Fire alarms are reported to the fire department unless operator believes no fire condition exists at the
premises. Once dispatched,fire department response cannot be recalled. Not all signals or transmissions will require notification to the authorities and Subscriber
may obtain a written response policy from FFP. No response shall be required for supervisory, loss of communication pathway, trouble or low battery signals.
Subscriber acknowledges that signals transmitted from Subscriber's premises directly to municipal police or fire departments are not monitored by personnel of
FFP or FFP's designee Monitoring Center and FFP does not assume any responsibility for the manner in which such signals are monitored or the response, if
any, to such signals. Subscriber acknowledges that signals and transmissions are transmitted over telephone lines, wire, air waves, intemet, VOIP, radio or
cellular,or other modes of communication, and pass through communication networks wholly beyond the control of FFP and are not maintained by FFP except
FFP may own the radio network, and FFP shall not be responsible for any failure which prevents transmission signals from reaching the Monitoring Center or
damages arising therefrom, or for data corruption, theft or viruses to Subscriber's computers if connected to the alarm communication equipment. Subscriber
agrees to furnish FFP with a written Call List of names and telephone numbers of those persons Subscriber wishes to receive notification of alarm signals. Unless
otherwise provided in the Call List FFP will make a reasonable effort to contact the first person reached or notified on the list either via telephone call,text or email
message. No more than one call to the list shall be required and any form of notification provided for herein, including leaving a message on an answering
machine, shall be deemed reasonable compliance with FFP's notification obligation. All changes and revisions shall be supplied to FFP in writing. Subscriber
authorizes FFP to access the control panel to input or delete data and programming. If the equipment contains video or listening

devices permitting Monitoring Center to monitor video or sound then upon receipt of an alarm signal Monitoring Center shall monitor video or sound for so long as
Monitoring Center in its sole discretion deems appropriate to confirm an alarm or emergency condition.If Subscriber requests FFP to remotely activate or deactivate
the system,change combinations,openings or closings,or re-program system functions,Subscriber shall pay FFP$90.00 for each such service. FFP may,
without prior notice,suspend or terminate its services,in FFP's sole discretion,in event of Subscribers default in performance of this agreement or in event
Monitoring Center facility or communication network is nonoperational or Subscriber's alarm system is sending excessive false alarms or runaway signals.
Monitoring Center is authorized to record and maintain audio and video transmissions,data and communications,and shall be the exclusive owner of such
property.All Subscriber information and data shall be maintained confidentially by FFP.
6. SUBSCRIBER REMOTE ACCESS: If Remote Access is included in the Schedule of Equipment and Services to be installed and services provided by
FFP,the equipment will transmit data via Subscriber's high speed Internet,cellular or radio communication service from remote device supplied by FFP or
Subscriber's Internet or wireless connection device which is compatible with FFP's remote services. FFP will grant access to server permitting Subscriber to
monitor the security system,access the system to arm,disarm and bypass zones on the system,view the remote video camera(s)and control other remote
automation devices that may be installed or,when system design permits,connect the system to the Internet,over which FFP has no control.The remote services
server is provided either by FFP or a third party. FFP shall install the camera(s)in a permissible legal location in Subscriber's premises to permit Subscriber
viewing.FFP shall have no responsibility for failure of data transmission,corruption or unauthorized access by hacking or otherwise and shall not monitor or view
the camera data.Electronic data may not be encrypted and wireless components of the alarm system may not meet Advanced Encryption Standard specifications
for encryption of electronic data established by the US National Institute of Standards and Technology or any other established criteria for encryption and FFP
shall have no liability for access to the alarm system by others.
7. WIRELESS AND INTERNET ACCESS CAPABILITIES: Subscriber is responsible for supplying high-speed Internet access and/or wireless services
at Subscribers premises. FFP does not provide Internet service,maintain Internet connection,wireless access or communication pathways,computer,smart
phone,electric current connection or supply,or in all cases the remote video server. In consideration of Subscriber making its monthly payments for remote
access to the system,FFP will authorize Subscriber access.FFP is not responsible for Subscriber's access to the Internet or any interruption of service or down
time of remote access caused by loss of Internet service,radio or cellular or any other mode of communication used by Subscriber to access the system.Subscriber
acknowledges that Subscriber's security system can be compromised if the codes or devices used for access are lost or accessed by others and FFP shall have
no liability for such third party unauthorized access.FFP is not responsible for the security or privacy of any wireless network system or router. Wireless systems
can be accessed by others,and it is the Subscriber's responsibility to secure access to the system with pass codes and lock out codes.FFP is not responsible for
access to wireless networks or devices that may not be supported by communication carriers and upgrades to Subscriber's system will be at Subscriber's expense.
If Subscriber is Self-Monitoring,no signals will be received unless Subscriber has access to the selected mode of communication pathway such as cellular,radio
or Internet service.
8. AUDIO/VIDEO SYSTEM OPERATION AND LIMITATIONS: If Audio/Video System is selected as a service to be provided and included in the
Schedule of Equipment and Services,and if video equipment is attached to a recorder,it shall not be used for any other purpose. FFP shall be permitted to
access and make changes to the system's operation on site and over the intemet. If data storage is selected service,FFP shall store data received from
Subscnber's system for one year.FFP shall have no liability for data corruption or inability to retrieve data even if caused by FFP's negligence.Subscriber's data
shall be maintained confidential and shall be retrieved and released only to Subscriber or upon Subscriber's authorization or by legal process. Telephone or
intemet access is not provided by FFP and FFP has no responsibility for such access or IP address service. If system has remote access FFP is not responsible
for the security or privacy of any wireless network system or router,and it is the Subscriber's responsibility to secure access to the system with pass codes and
lock outs. FFP shall have no liability for unauthorized access to the system through the intemet or other communication networks or data corruption or loss for
any reason whatsoever. If audio or video devices are installed,Subscriber has been advised to independently ascertain that the audio or video devices are used
lawfully. FFP has made no representations and has provided no advice regarding the use of audio or video devices,and it is Subscriber's sole responsibility to
use the camera and audio devices lawfully.
9. DELAY IN DELIVERY I INSTALLATION I RISK OF LOSS OF MATERIAL: If FFP has agreed to install and program the communication devices for
monitoring of the alarm system,FFP shall not be liable for any damage or loss sustained by Subscriber as a result of delay in delivery and/or installation of
equipment,equipment failure,or for interruption of service due to electric failure,strikes,walk-outs,war,acts of God,or other causes,including FFP's negligence
or failure to perform any obligation The estimated date for activation of the system is not a definite completion date and time is not of the essence.In the event
the work is delayed through no fault of FFP,FFP shall have such additional time for performance as may be reasonably necessary under the circumstances.
Subscriber agrees to pay FFP the sum of$250 per day for each business day the work is rescheduled or delayed by Subscriber or others engaged by Subscriber
through no fault of FFP on less than 24-hour notice to FFP. If installation is delayed for more than one year from date hereof by Subscriber or other contractors
engaged by Subscriber and through no fault of FFP,Subscriber agrees to pay an additional 5%of the contract Purchase Price upon installation. Subscriber
assumes all risk of loss of material once delivered to the job site. Should FFP be required by existing or hereafter enacted law to perform any service or furnish
any material not specifically covered by the terms of this agreement Subscriber agrees to pay FFP for such service or material.If alarm system and communication
device and programming is by another,FFP has no responsibility for such performance.
10. LIMITED WARRANTY ON EQUIPMENT:In the event that any part of the security communication equipment installed by FFP,if any,becomes defective,
FFP agrees to make all repairs and replacement of parts without costs to the Subscriber for a period of one(1)year from the date of installation. FFP reserves
the option to either replace or repair the alarm equipment and reserves the right to substitute materials of equal quality at time of replacement or to use
reconditioned parts in fulfillment of this warranty. This warranty does not include batteries,electrical surges,lightning damage,software upgrades and repairs,
communication devices that are no longer supported by communication pathways,obsolete components,and components exceeding manufacturer's useful life.
FFP is not the manufacturer of the equipment and other than FFP's limited warranty Subscriber agrees to look exclusively to the manufacturer of the equipment
for repairs under its warranty coverage if any. Except as set forth in this agreement,FFP makes no express warranties as to any matter whatsoever,
including but not limited to,unless prohibited by law,the condition of the equipment,its merchantability,or its fitness for any particular purpose,and
FFP shall not be liable for consequential damages. FFP does not represent nor warrant that the security system may not be compromised or circumvented,
or that the system will prevent any loss by burglary,hold-up,fire or otherwise or that the system will in all cases provide the protection for which it is installed.FFP
expressly disclaims any implied warranties,including implied warranties of merchantability or fitness for a particular purpose. The warranty does not
cover any damage to material or equipment caused by accident,misuse,attempted or unauthorized repair service,modification,or improper installation by anyone
other than FFP.Subscriber acknowledges that any affirmation of fact or promise made by FFP shall not be deemed to create an express warranty unless included
in this agreement in writing;that Subscriber is not relying on FFP's skill or judgment in selecting or furnishing a system suitable for any particular purpose and that
there are no warranties which extend beyond those on the face of this agreement,and that FFP has offered additional and more sophisticated equipment for an
additional charge which Subscriber has declined. Subscriber's exclusive remedy for FFP's breach of this agreement or negligence to any degree under this
agreement is to require FFP to repair or replace,at FFP's option,any equipment which is non-operational.This Limited Warranty gives you specific legal rights
and you may also have other rights which vary from state to state If required by law,FFP will procure all permits required by local law and will provide a Certificate
of Workman's Compensation prior to starting work
