Washington, D.C. 20426 RE:DeSabla-Centerville Project, FERC No. 803-087 Quarterly Status Report Dear Secretary Bose: On June 16, 2017, the Federal Energy Regulatory Commission (FERC or Commission) issued a letter order to Pacific Gas and Electric Company (PG&E) approving PG&E’s Plan and Schedule for the Sale and Transfer of the DeSabla-Centerville Project, which was filed with the Commission on May 19, 2017. The Commission’s letter order directed PG&E to file quarterly progress reports starting on September 1, 2017, that include the following information: (1) an update on the implemented plan and schedule; (2) the progress made in negotiating the sale and transfer of the project; and (3) any other relevant information. PG&E’s quarterly update is provided below: 1) Update on the implementedplan andschedule. PG&E issued a Request for Offers (RFO) seeking proposals for the acquisition of the DeSabla-Centerville Project (DeSabla) on September 6, 2017. Following is a brief summary of the RFO process: PG&E received twenty-eight signed Non-Disclosure Agreements (NDAs) from various parties, including independent power producers, public utilities, institutional investors, and local government entities on or before October 16, 2017. Bose, Secretary Page 2 August 16, 2022 PG&E received seven indicative proposals from interested parties on or before January 5, 2018.The four most qualified parties submitted final proposals to PG&E on or before May 4, 2018. PG&E selected a prospective buyer for the Project and executed a non-binding Letter of Intent on June 21, 2018. 2) Progress made in negotiating the sale and transfer of the Project. PG&E and the prospective buyer engaged in good faith negotiations since execution of the Letter of Intent. These negotiations were adversely impacted by myriad challenges, including the 2018 Camp Fire, PG&E’s bankruptcy proceedings, the completion of technical interconnection studies, several local wildfires and other physical conditions that hampered due diligence. Unfortunately, PG&E and the counterparty wereunable to reach conclusion on the final terms for sale and transfer of the Project and have mutually agreed to terminate negotiations. 3) Other relevant information. PG&E does not intend to initiate another RFO or otherwise seek proposals for the sale and transfer of the Project at this time. Further, PG&E does not intend to submit a notice of withdrawal of its October 7, 2007, application for new license. Considering the above, PG&E hereby requests that the Commission move forward with any actions necessary to continue the FERC Licensing Processfor the Project initiated by PG&E’s October 7, 2007 application for new license for the Project. Because PG&E no longer intends to sell the Project and expects the Commission to continue with the relicensing process for the Project, this will be PG&E’s final submittal related to the Commission’s June 16, 2017, order directing it to file quarterly progress reports on the implementation of its Plan and Schedule for the Sale and Transfer of the DeSabla-Centerville Project.
